PAYONEER ECOMMERCE FESTIVAL – TERMS AND CONDITIONS

1. Binding Agreement
To participate in the Payoneer Ecommerce Festival (the “Ecommerce Festival”), you must first agree to
these terms and conditions (the “Terms and Conditions”) and to be bound by the decision of Payoneer
Inc. (“Payoneer”, “us”) which are final and binding on all participants. Therefore, please read the following
terms prior to participation to ensure you understand and agree. Your participation in the Ecommerce
Festival constitutes your agreement to the Terms and Conditions. You are not eligible to receive the
offerings described in the Terms and Conditions unless you agree to the Terms and Conditions. These
Terms and Conditions form a binding agreement between you and Payoneer with respect to the
Ecommerce Festival.
2. About Payoneer
Payoneer is a Delaware corporation and a provider of payment processing services. Payoneer is a Money
Service Business (“MSB”) registered with FinCEN and is a licensed money transmitter under the laws of
various states in the United States of America.
3. Definitions
Capitalized terms used herein and not otherwise defined herein shall have the meaning ascribed to them
under the Payoneer Services Terms and Conditions (defined below).
"Benefit” a relevant offering under this campaign for a benefit that may be activated.
“Eligible Volume” means any payments received to your account with Payoneer though the Payoneer
Services in any of the following currencies USD, GBP, EUR, CAD, AUD, and JPY within the time frame July
1st, 2023 until the end of the Period, except for payments made to your Payoneer account from another
registered customer’s Payoneer account.
“Existing Customer” shall mean a person or entity that has applied for registration as an account holder
with Payoneer or with a Payoneer Affiliate for the Payoneer Services before the beginning of the Period
and was approved until the end of the Period.
“Landing Page” shall mean the Ecommerce Festival landing page that is accessible upon clicking on the
call-to-action button in Payoneer’s invitation email, jumbotron, banners and other means of
communication by Payoneer.
“New Customer” shall mean a person or entity that has applied for registration as an account holder with
Payoneer or with a Payoneer Affiliate for the Payoneer Services from July 11th, 2023 until July 31st, 2023
and who has been approved until the end of the Period.
“Participant” or “you”, shall refer to the person or entity who entered the Ecommerce Festival by fulfilling
the respective conditions listed in Section 6 below.
“Payment Threshold” shall mean the aggregated amount of Eligible Volume that each Existing Customer
and New Customer must reach to qualify for any benefit offered under this Ecommerce Festival, as
communicated to you either via an email inviting you to participate in the Ecommerce Festival or as may
be displayed on the Landing Page. The amount of the Payment Threshold may vary from Participant to
Participant.
“Payoneer Affiliate” shall mean any entity or corporation, which Payoneer directly or indirectly controls,
is controlled by, or with which it is under common control.

“Payoneer Services” shall mean the products and services and any other features, and functionalities
offered by us on our website at www.payoneer.com or through any other means.
“Payoneer Services Terms and Conditions” are any applicable terms and conditions provided on the
Payoneer website which governs the Payoneer Services.
“Period” shall mean the Ecommerce Festival period as described in section 5 below during which the
offerings are available.
“Requirements” shall mean with respect to (i) Existing Customers the fulfillment of Section 6 (i) and for
New Customers the fulfillment of Sect. 6 (ii).
4. Privacy Policy
To enable your participation in the Ecommerce Festival, Payoneer requests and stores personal
information applicable to you. If you choose not to provide this information, you may not be able to
submit your participation to the Ecommerce Festival. The information you provide, and Payoneer’s use of
it, is subject to Payoneer’s Privacy Policy. By accepting these Terms and Conditions, you will also be
deemed to have indicated that you have read and understood Payoneer’s Privacy Policy and agree to its
terms.
5. Ecommerce Festival Period
The Period is from July 11h, 2023 until September 30th, 2023. Any and all offerings and Benefits become
unavailable after the end of the Period.
6. How to enter the Ecommerce Festival
(i) Existing Customers who wish to participate in the campaign must:
a. apply for at least one or more of the offerings displayed on the Landing Page by selecting
benefits as applicable and submitting such selection via the Landing Page until July 31st,
2023,
b. reach their Payment Threshold, and
c. remain in good standing with Payoneer.
(ii) New Customers who wish to participate in the campaign must:
a. apply for registration with Payoneer until July 31st, 2023 by providing all required
information via the online registration pages in the Payoneer website, after having arrived
at such pages through the link available on the Landing Page; and
b. receive their Payment Threshold, and
c. remain in good standing with Payoneer.
7. Rewards and Benefits

(i) General

a. Participants may be eligible for the below listed rewards with respect to each
corresponding Benefit if they fulfill their respective Requirements. For the
avoidance of doubt, Existing Customers must select each Benefit they wish to
activate and validate such submission on the Landing Page and the sole selection

 of a Benefit does not automatically qualify a Participant for it. Benefits will only be
activated once a Participant has reached his Payment Threshold.
b. Not all benefits will be available to all Participants.

(ii) Monetary Reward

Participants who reach their Threshold and fulfill their respective Requirements are entitled to receive a
monetary reward in the amount as stated in their invitation email or on their Landing Page. The monetary
reward will be credited to your Payoneer account within up to 14 business days after the end of the Period.

(iii) Cards Benefit

a. Participants who are eligible for the Payoneer Business Premium Debit Mastercard®
or the Payoneer Corporate Purchasing Mastercard® and who successfully activate one
of these cards will receive a one-time USD 30 (thirty) (the “Card Activation Reward”)
into their Payoneer account.
b. You may receive the Card Activation Reward only one time, solely for the activation of
the first card. In the event that a Participant activates multiple cards, this Card
Activation Reward applies only with respect to the first card activated.
c. Participants who have already signed up for a Payoneer Business Debit Card or the
Corporate Purchasing Master Card prior to the Period but have not yet activated it
prior to start of the Period must activate it within the Period. Participants who sign up
for a new card must activate it by October 31st, 2023.
d. This Card Activation Reward will be credited to Existing Customers within up to 14
business days after the end of the respective month in which the card was activated
and to New Customers within 14 business days after the end of the Period.
e. Card type is subject to your eligibility and/or availability in your territory.
f. Card usage, as well as pricing and fees, are subject to applicable card terms and
conditions provided by either card issuer or Payoneer.
(iv) Working Capital Benefit
a. For each Working Capital Offer which you accept during the Period, you may be eligible
to receive a fee refund in an amount equal to 0.5% (zero point five percent) of the paid
fee for the first Working Capital offer accepted per each store, provided however that
the total amount of the fee refund will not exceed USD 2,500 (two thousand five
hundred) (or equivalent according in other currencies) per approved offer (the
“Working Capital Activation Benefit”).
b. This Working Capital Activation Reward will be credited to your Payoneer account
within 14 business days following the full settlement of each offer with Payoneer.
c. Territorial and other eligibility criteria and restrictions may apply.
d. A Working Capital Advance offer or Early Payment offer in China is not warranted or
granted and is subject to eligibility criteria in Payoneer’s full discretion and is further
subject to applicable Capital Advance Terms and Conditions or Early Payments Terms
and Conditions. Payoneer reserves the right to change, amend and/or terminate any
term at any time and in its own discretion.

(v) Refer a Business Benefit
a. Participants who refer another businesses during the Period to become a Payoneer
customer using a personalized link are entitled to a reward in the amount of USD 25
(twenty-five) in the event that the referee signs up with Payoneer and is successfully
accepted as a Payoneer customer and receives a minimum of USD 1,000 (one
thousand) (or the equivalent in other currencies) into his/her/its Payoneer account
according to Payoneer’s Refer a Friend Terms of Use within the Period and, in the event
that the referee receives a an additional USD 1,000 (one thousand) within the Period,
the referrer is entitled to an additional USD 25 (twenty-five) award (the “Refer a
Business Activated Benefit”).
b. This Refer a Business Activated Benefit may be credited to your Payoneer account in
two batches, each within up to 14 business days after the end of the Period.
c. Territorial and other eligibility criteria and restrictions, including Payoneer’s Refer a
Friend Terms of Use.
(vi) Checkout Benefit
a. A Participant who is an Existing Customer, signs up and gets approved by Payoneer to
use the Payoneer Checkout service during the Period is entitled to receive a one-time
refund on processing fees paid within the Period, with a maximum refund in the
amount of USD 1,500, (one thousand five hundred) provided the Participant’s
chargeback rate does not exceed 1% (one percent) throughout the Period according
to the risk assessment conducted by Payoneer (the “Checkout Activated Benefit”).
b. This benefit will only apply to users of the Payoneer Checkout service when Payoneer
Checkout will be used to payments processed via Payoneer Checkout when Payoneer
acts as a payment facilitator.
c. For the avoidance of doubt, a Participant who has signed up for the Payoneer Checkout
service prior to the Period is not eligible for the Checkout Activated Benefit.
d. Payoneer will credit the Checkout Activated Benefit to the Participant’s Payoneer
account in USD within 28 business days following the end of the campaign period.
e. Payoneer reserves the right, in its sole discretion, to terminate this offer any time
without prior notice to you.

8. Additional Terms and Conditions

(i) This Ecommerce Festival may not be clubbed with any other prevailing promotions and offers as may
be offered by on or behalf of Payoneer from time to time.
(ii) Payoneer reserves the right, in its sole discretion, to modify, withdraw, suspend, or terminate this
Ecommerce Festival or change these Terms and Conditions in whole or in part without any prior notice
of the same, at its sole discretion at any time without prior notice.
(iii) If it comes to the notice of Payoneer that any governmental, statutory or regulatory compliances or
approvals are required for conducting the Ecommerce Festival or if it comes to the notice of Payoneer
that conduct of any the Ecommerce Festival or any part of it is prohibited, then Payoneer may
withdraw and / or cancel such Ecommerce Festival without prior notice to any you. You agree not to
make any claim in respect of such cancellation or withdrawal of the Ecommerce Festival in any
manner.

(iv) Payoneer may, at its sole and absolute discretion, disqualify any Participant from the Ecommerce
Festival and reserves the right to withhold, forfeit or refuse to award the benefits of the Ecommerce
Festival to a Participant
a. in the event that Payoneer determines in its sole and absolute discretion or reasonably believes
that the Participant infringes upon or violates any applicable law or does not comply with these
Terms and Conditions or the Payoneer Terms and Conditions,
b. if such Participant engages in or is found that to be engaged in any illegal, unlawful or improper
conduct (with regard to any of the Ecommerce Festival or otherwise), or
c. who is ineligible or has gained unfair advantage in participating in the Ecommerce Festival, or
obtained eligibility status using fraudulent means.
(v) Payoneer will interpret these Terms and Conditions and resolve any disputes, conflicting claims or
ambiguities concerning the Terms and Conditions or the Ecommerce Festival and Payoneer decisions
concerning such disputes shall be final. If the conduct or outcome of the Ecommerce Festival is
affected by human error, or by any mechanical, technical, electronic, communications, telephone,
computer, hardware or software errors, malfunctions or failures of any kind, intentional interference
or any event beyond the control of Payoneer, Payoneer reserves the right to terminate this
Ecommerce Festival or make such other decisions regarding the outcome as Payoneer deems
appropriate. All decisions will be made by Payoneer and are final.
(vi) These Terms and Conditions and the Ecommerce Festival are also subject to the Payoneer Terms and
Conditions and any applicable terms and conditions of the eligible entrant, which are incorporated
herein by reference. Terms used but not defined herein shall have the meanings ascribed to such
terms in the applicable terms and conditions.
(vii) The failure of Payoneer to exercise or enforce any right or provision of these Terms and Conditions
shall not constitute a waiver of such right or provision.
(viii) Payoneer is not responsible for lost, late, destroyed, incomplete, unreadable, corrupted, or
misdirected entries; printing errors; internet malfunction; server unavailability; or computer or any
other electronic or telecommunications malfunction. Similarly, Payoneer does not have any obligation
to advise entrant of any late, destroyed, corrupted, or otherwise incomplete entry.

9. Waiver of Liability and Agreement to Indemnify

By participating in the Ecommerce Festival, each Participant, its, his, her or their heirs, successors and
assigns thereof releases, discharges and covenants not to make a claim against Payoneer, its subsidiaries
and affiliates, licensees, employees, officers, directors, representatives, successors and assigns related in
any way to the Ecommerce Festival or the receipt or use of any reward. Each Participant waives and
foregoes the right to seek injunctive relief against anyone related in any way to the Ecommerce Festival.

10. Disputes

Except where prohibited by any applicable law, entrant agrees that: (1) any and all disputes, claims and
causes of action arising out of or connected with this Ecommerce Festival or any reward awarded shall be
resolved individually, without resort to any form of class action; (2) any and all claims, judgments and
awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering
this Ecommerce Festival, but in no event attorneys’ fees; and (3) under no circumstances will entrant be
permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental
and consequential damages and any other damages, other than for actual out-of-pocket expenses
incurred by the entrant due to Payoneer’s breach of its obligations hereunder. All issues and questions

concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or
the rights and obligations of the entrant and Payoneer in connection with the Ecommerce Festival, shall
be governed by, and construed in accordance with, the laws of the State of New York without giving effect
to any choice of law or conflict of law rules.

11. Severability
In the event that any provision of these Terms and Conditions is determined to be indefinite, invalid,
unlawful, void or otherwise unenforceable, such provision shall nonetheless be enforceable to the fullest
extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from
these Terms and Conditions, such determination shall not affect the validity and enforceability of any
other remaining provisions of the Terms and Conditions.

12. Entire Agreement

These Terms and Conditions, and all other additional or modified terms and conditions and policies in
relation to the Ecommerce Festival are incorporated herein by reference, constitute the entire agreement
and understanding between the Eligible Customers and Payoneer, and supersede any prior or
contemporaneous agreements, communications and proposals, whether oral or written, between the
Eligible Customer and Payoneer in relation to the Ecommerce Festival.

Any ambiguities in the interpretation of these Terms and Conditions shall not be construed against the
drafting party.

13. Force Majeure

Payoneer shall not be liable for any delay or failure to perform resulting from causes outside its reasonable
control, including but not limited to any failure to perform due to unforeseen circumstances or cause
beyond Payoneer’s’ control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military
authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation
facilities, fuel, energy, labour or materials.
