COLLABORATION AGREEMENT

This Collaboration Agreement is executed at Delhi, on this ______ day of _______ 2020

AND WHEREAS the builder is engaged in the business of promotion, development and
construction of real estate and are well established in this business.

any right, title or interest in the said property in any manner whatsoever and the owner has full
power and authority to enter into this agreement.

AND WHEREAS the builder has agreed to develop, construct the

AND WHEREAS the first party, for their bonafide needs and requirements, have agreed to enter
into this collaboration agreement with the second party for the construction of their above said
property to be built by the second party with his own funds and resources.

AND WHEREAS all the taxes (i.e. House Tax, Income Tax, Wealth Tax) claims, levies,
damages, penalties, telephone, electricity and water bills, ground rent, lease money, dues and
demands of the D.D.A./M.C.D. or any other Authorities concerned whether assessed or hereafter
till the commencement of the construction as aforesaid shall be paid and borne by the first party.

AND WHEREAS the second party will get the plans sanctioned in the name of the first party at
his own costs from the Municipal Corporation of Delhi. The first party has agreed to sign all the
relevant documents and to appear in person wherever and whenever necessary and also deliver
photo copies of all relevant documents of the said property.

AND WHEREAS the second party shall have right to prior booking of his proposed portion/floor
i.e. _________ Floor and receive earnest money of any other person or buyer(s) and execute
Agreement to Sell, Sale Deed or any other related documents etc., of the above said property.

AND WHEREAS the first party shall hand over the vacant and physical possession of the above
said property to the second party at the time of execution & signing of this agreement, for
carrying out the construction over the land of the said property. The construction of the said
property is to be completed on or before _______ months approx. from the date of construction
work will start of the said property i.e. ____________, subject to abnormal circumstances (viz.
war, flood, earthquake, emergency, or any Act of God) if arises and are beyond the control of
the second party and if the second party shall not complete the construction work of fixed period
then the second party shall be liable and bound to pay Rs. _________ (Rupees
________________________________________ Only) per day penalty to the first party.

NOW THIS AGREEMENT WITNESSETH AS UNDER:-

1. That the first party will deliver the photo state copies of the original title documents
pertaining to the above said property to the second party. The first party further undertakes to
produce the original documents whenever required by the second party.

2. That in addition to the cost and expenses to be incurred/spend by the second party for
construction of the above said property, the second party has agreed to pay to the first party an
amount of Rs. ___________/- (Rupees __________________ ________________________
Only) out of which the second party has also paid an amount of Rs. _________/- (Rupees
_________________ _________________________ Only) to the first party at the time of
signing of this agreement, the receipt of which is hereby acknowledged by the first party and the
balance consideration amount of Rs. ___________/- (Rupees ____________________________
__________________________________ Only) shall be payable by the second party to the first
party on or before ___________ from today, and the first party will be liable & bound to
execute proper documents i.e. sale deed as per circle rate of govt. in favour of the second
party/builder or his nominee(s) or in the name of prospective buyer(s) (as per requirement of the
second party), regarding the portion of the second party i.e. Second Floor (upto ceiling level).

3. That all the expenses or liabilities of construction work will be borne by the Second Party and
the First party will be not responsible for the same.

4. That the second party builder will also be responsible for any accident on the site and all the
responsibility of DDA/MCD/police shall also be handled by the second party.

IN WITNESSES WHEREOF, the first party and the second party have set their respective hands
on this collaboration agreement on the day, month and year first above written, after duly reading
and understanding its contents in the presence of the following witnesses.

any right, title or interest in the said property in any manner whatsoever and the owner has full
power and authority to enter into this agreement.

AND WHEREAS the builder has agreed to develop, construct and build Stilt + Four Storey i.e.
Ground Floor, First Floor, Second Floor & Third Floor and Lift as per rules, regulations, bye-
laws and norms of concerned authority.

AND WHEREAS the first party, for their bonafide needs and requirements, have agreed to enter
into this collaboration agreement with the second party for the construction of their above said
property to be built by the second party with his own funds and resources.
AND WHEREAS under the terms of this agreement, the first party have agreed to deliver the
ownership transfer rights of ________

in the above said Property, to the second party.

AND WHEREAS all the taxes (i.e. House Tax, Income Tax, Wealth Tax) claims, levies,
damages, penalties, telephone, electricity and water bills, ground rent, lease money, dues and
demands of the D.D.A./M.C.D. or any other Authorities concerned whether assessed or hereafter
till the commencement of the construction as aforesaid shall be paid and borne by the first party.

AND WHEREAS the second party will get the plans sanctioned in the name of the first party at
his own costs from the Municipal Corporation of Delhi. The first party has agreed to sign all the
relevant documents and to appear in person wherever and whenever necessary and also deliver
photo copies of all relevant documents of the said property.

AND WHEREAS the second party shall have right to prior booking of his proposed portion and
receive earnest money of any other person or buyer(s) and execute Agreement to Sell and other
documents etc., of the aforesaid property.

AND WHEREAS the first party shall hand over the vacant and physical possession of the above
said property to the second party at the time of execution & signing of this agreement, for
carrying out the construction over the land of the said property. The construction of the said
property is to be completed on or before 12 months approx. from the date of construction work
will start of the said property i.e. ____________, subject to abnormal circumstances (viz. war,
flood, earthquake, emergency, or any Act of God) if arises and are beyond the control of the
second party.

NOW THIS AGREEMENT WITNESSETH AS UNDER:-

WHEREAS the First Party is the absolute owner and in possession of Property

AND WHEREAS the owner is desirous of getting the said property developed/constructed and
due to financial constraints and lack of experience in construction, have therefore, approached
the builder to develop the said property for and on behalf of the owner at builder’s cost.

AND WHEREAS the builder is engaged in the business of promotion, development and
construction of real estate and are well established in this business.

AND WHEREAS the owner has represented that the said property is free from all sorts of
encumbrances charges, liens, claims, prior agreements and except the owner no other person has
any right, title or interest in the said property in any manner whatsoever and the owner has full
power and authority to enter into this agreement.

AND WHEREAS the First Party and the Second Party agree to develop, construct and build a
residential building on the said property after demolish the old construction, hence this
Agreement mutually entered and executed between the said owner and the builder being the
parties of the First and the Second Part of this Agreement on the terms and conditions contained
herein.

AND WHEREAS the builder has agreed to develop and construct Stilt floor, Ground Floor, First
Floor, Second Floor and Third Floor with lift as per rules, regulations, bye-laws and norms of
concerned authority, at the cost and expenses of the second party and as per sketch shown by the
builder and the first party has also passed the sketch according to which the building will be
constructed by the second party.

AND WHEREAS the first party, for their bonafide needs and requirements, have agreed to enter
into this collaboration agreement with the second party for the construction of their above said
property to be built by the second party with his own funds and resources.

AND WHEREAS all the taxes (i.e. House Tax, Income Tax, Wealth Tax) claims, levies,
damages, penalties, telephone, electricity and water bills, ground rent, lease money, dues and
demands of the D.D.A./M.C.D. or any other Authorities concerned whether assessed or hereafter
till the commencement of the construction as aforesaid shall be paid and borne by the first party.
But from the date of possession of the aforesaid property to the builder upto completion of the
building shall be exclusive responsibility of the builder.

AND WHEREAS the second party will get the plans sanctioned in the name of the first party at
his own costs from the Municipal Corporation of Delhi. The first party has agreed to sign all the
relevant documents and to appear in person wherever and whenever necessary and also deliver
photo copies of all relevant documents of the said property.

AND WHEREAS the second party shall arrange the finance for the construction of the entire
building either from his own source or by way of prior booking of his proposed portion of the
aforesaid property which are agreed to be sold to the subsequent buyer(s) or to the nominees of
the second party.

AND WHEREAS the first party has handed over the vacant and physical possession of the above
said property to the second party at the time of execution & signing of this agreement, for
carrying out the construction over the land of the said property. The construction of the said
property is to be completed within __ to __ months from the date of taking over possession of the
said property/plot, subject to abnormal circumstances (viz. war, flood, earthquake, tempest,
emergency, or any Act of God) if arises and are beyond the control of the second party and if the
second party shall not complete the construction work of fixed period then the second party shall
be liable and bound to pay Rs. 1,000/- per day penalty to the first party.

NOW THIS AGREEMENT WITNESSETH AS UNDER:-

1. That the first party will deliver the photo state copies of the original title documents
pertaining to the above said property to the second party. The first party further undertakes to
produce the original documents whenever required by the second party.

2. That the first party shall have access to the construction site for inspection at all times.

3. That the second party shall construct the building with the superior quality material as per
list of specification attached/annexed herewith.

First Party: Entire Upper Ground Floor & Entire First Floor Portion upto ceiling level
(without roof/terrace rights), with common entrance, passage and stair-case, with lift, with the
rights to use 50% Undivided share in stilt only for parking, with electrical meter & water meter
for each floor, alongwith 50% undivided proportionate undivided, indivisible and impartable
ownership rights in the land underneath, with all fittings, fixtures, connections, structure standing
thereon, with all rights in other common facilities and amenities provided therein, in the above
said Property.

Second Party: Entire Second Floor Portion & Entire Third Floor Portion with roof/terrace rights,
with common entrance, passage and stair-case with lift, with the rights to use 50% Undivided
share in stilt only for parking, with electrical meter & water meter for each floor, alongwith 50%
proportionate undivided, indivisible and impartable ownership rights in the land underneath, with
all fittings, fixtures, connections, structure standing thereon, with all rights in other common
facilities and amenities provided therein, in the above said Property.

5. That in addition to the cost and expenses to be incurred/spend by the second party for
construction of the above said property, the second party has agreed to pay to the first party an
amount of Rs. ___________/- (Rupees ___________________ ______________)

PAYMENT SCHEDULE

(1) Rs. _________/- on dated __________ at the time of this


agreement as advance.
(2) Rs. _________/- on dated __________
(3) Rs. _________/- on dated __________
(4) Rs. _________/- on dated __________
And the balance amount of Rs. _________/- shall be paid by the second party to the first party
on or before ____________, but the first party will be bound to execute the transfer
documents/sale deed of entire second floor & entire third floor with roof/terrace rights of the said
property in favour of second party or his nominee or any other party at the time of
completion/standing the structure of said property.

6. That the first party will execute proper documents of entire second & third floor, of the
said building in favour of the builder or in the name of prospective buyer(s) (as per requirement
of the second party) at the time of receiving the balance consideration amount as mentioned
above.

7. That the second party can receive and accept the earnest money, part payment and
consideration amount from the prospective buyer(s) of the portions falling on his share in whole
or in parts, by way of cash, cheques, drafts, pay orders etc. in his own name.

8.That the plans with structural and architectural designs prepared by the Architect of the Builder
shall be shown to the Owner and his comments shall be incorporated in the drawing/plans by
mutual agreement between the Owner and the Builder. The plan/drawing shall be submitted for
sanction, approval by the related authority only after the same have been seen by the Owner.

9. That the first party and the second party undertake not to do any act, which may in any
manner contravene the terms and conditions of this agreement.

10. That no changes, modifications or alterations to this agreement shall be done without the
written consent of the first and second party.

11. That the second party/builder will also be responsible for any accident on the site and all
the responsibility of DDA/MCD/police shall also be handled by the second party.

12. During the construction period if the owner wants any modification in the plan then the
second party shall have no objection for the same.

the second party.

NOW THIS AGREEMENT WITNESSETH AS UNDER:-

1. That the first party will deliver the photo state copies of the original title documents
pertaining to the above said property to the second party. The first party further undertakes to
produce the original documents whenever required by the second party. That the second party
shall construct the said building as superior quality material (Annexure attached herewith, which
is mutually decided by both the parties).

That to be more specific, the proposed property shall be divided by the first party & second party
in the following manner:-

Portion of First Party:Entire Ground Floor, Entire Second Floor and Entire Third Floor, with
roof/terrace rights, with common entrance, passage, stair-case & lift) with 3/4th undivided share
in stilt for six car (3 for small & 3 for big) parking space, alongwith proportionate undivided,
indivisible and impartable ownership rights in the land underneath, with all fittings, fixtures,
connections, structure standing thereon, with all rights in other common facilities and amenities
provided therein, in the above said Property.

Portion of Second Party: Entire First Floor portion, upto ceiling level, with common entrance,
passage, stair-case & lift) with 1/4th undivided share in stilt for 2 car (1 for small & 1 for big)
parking space, alongwith proportionate undivided, indivisible and impartable ownership rights in
the land underneath, with all fittings, fixtures, connections, structure standing thereon, with all
rights in other common facilities and amenities provided therein, in the above said Property.

2. That in addition to the cost and expenses to be incurred/spend by the second party for
construction of the above said property, the second party has agreed to pay to the first party an
amount of Rs. ___________/- (Rupees __________________ __________ Only) out of which
the second party has also paid an amount of Rs. 10,00,000/- (Rupees Ten Lac Only) through two
cheques bearing No. ________, dt. _______ an amount of Rs. ________/- & Ch.No. _________,
dt. ________, an amount of Rs. __________/- both drawn on
____________________________________ to the first party at the time of signing of this
agreement, the receipt of which is hereby acknowledged by the first party and the second party
will also pay Rs. _________/- (Rupees __________________________________ Only) to the
first party as part payment after the demolish of said building,

and the balance consideration amount of Rs. ___________/- (Rupees

second party to the first party at the time of completion of said building, and the first party will
be liable & bound to execute proper documents i.e. sale deed as per circle rate of Govt. in
favour of the second party/builder or his nominee(s) or in the name of prospective buyer(s) (as
per requirement of the second party), regarding the portion of the second party i.e. first floor
(upto ceiling level).

3. That all the expenses or liabilities of construction work will be borne by the Second Party and
the First party will be not responsible for the same.

4. That the first party will not obstruct in any manner construction of the property by the
second party. However the first party shall have access to the construction right for inspection at
all time.

5. That the second party builder will also be responsible for any accident on the site and all the
responsibility of DDA/MCD/police shall also be handled by the second party.

6. That if there is any dispute arise between the parties, then Sh. Atul Gupta S/o Late Sh. C.P.
Gupta R/o ____________________ as Arbitrator will decide according the Arbitration Act and
same will be binding on parties.
7. That no changes, modification, alteration to this agreement shall be done without the
written consent of both the parties.

property to be built by the second party with his own funds and resources.

AND WHEREAS all the taxes (i.e. House Tax, Income Tax, Wealth Tax) claims, levies,
damages, penalties, telephone, electricity and water bills, ground rent, lease money, dues and
demands of the D.D.A./M.C.D. or any other Authorities concerned whether assessed or hereafter
till the commencement of the construction as aforesaid shall be paid and borne by the first party.

AND WHEREAS the second party will get the plans sanctioned in the name of the first party at
his own costs from the Municipal Corporation of Delhi. The first party has agreed to sign all the
relevant documents and to appear in person wherever and whenever necessary and also deliver
photo copies of all relevant documents of the said property.

AND WHEREAS the second party shall have right to prior booking of his proposed portion and
receive earnest money of any other person or buyer(s) and execute Agreement to Sell and other
documents etc., of the above said property.

AND WHEREAS the first party shall hand over the vacant and physical possession of the above
said property to the second party at the time of execution & signing of this agreement, for
carrying out the construction over the land of the said property. The construction of the said
property is to be completed on or before _______ months approx. from the date of construction
work will start of the said property i.e. ____________, subject to abnormal circumstances (viz.
war, flood, earthquake, emergency, or any Act of God) if arises and are beyond the control of
the second party.

NOW THIS AGREEMENT WITNESSETH AS UNDER:-


1. That the first party will deliver the photo state copies of the original title documents
pertaining to the above said property to the second party. The first party further undertakes to
produce the original documents whenever required by the second party.

undivided, indivisible and impartable ownership rights in the land underneath, with all fittings,

2. That in addition to the cost and expenses to be incurred/spend by the second party for
construction of the above said property, the second party has agreed to pay to the first party an
amount of Rs. ___________/- (Rupees __________________ __________ Only) out of which
the second party has also paid an amount of Rs. _________/- (Rupees
_________________________ Only) to the first party at the time of signing of this agreement,
the receipt of which is hereby acknowledged by the first party and the balance consideration
amount of Rs. ___________/- (Rupees __________________________________ Only) shall be
payable by the second party to the first party on or before ___________ from today, and the first
party will be liable & bound to execute proper documents i.e. sale deed as per circle rate of
govt. in favour of the second party/builder or his nominee(s) or in the name of prospective
buyer(s) (as per requirement of the second party), regarding the portion of the second party i.e.
________________________________.

3. That all the expenses or liabilities of construction work will be borne by the Second Party and
the First party will be not responsible for the same.

4. That the second party builder will also be responsible for any accident on the site and all the
responsibility of DDA/MCD/police shall also be handled by the second party.
IN WITNESSES WHEREOF, the first party and the second party have set their respective hands
on this collaboration agreement on the day, month and year first above written, after duly reading
and understanding its contents in the presence of the following witnesses.
