    ARTICLES OF AGREEMENT

    This ARTICLES OF AGREEMENT is made on the 20th June, 2011


    BETWEEN

    M/s SAKU PRINTING HOUSE PVT.LTD a company incorporated under the


    provision of companies Act, 1956 having its corporate office at A-64, Defence
    Colony New Delhi-110024 and Site at plot No-68 & 67A, Ecotech -01, Extension
    Greater Noida (U.P) India through its authorized signatory Mr.Vinod Gulati
    ( hereinafter called “the Owner”) of the one part.

    AND

    M/s.GREENTEK CONTRACTS PVT.LTD. A company incorporated under the


    provision of companies Act, 1956 having its registered office at F-213D, Lado Sarai
    New Delhi-110030 India through its Director Mr.Ashok Kohli (hereinafter called
    “the contractor”) of the other part.

    WHEREAS the owner is desirous of construction a factory building at plot No-68 &
    67A, Ecotech -01, Extension Greater Noida (U.P) India (hereinafter called “the
    work”) and has prepared Drawings and Bill of Quantities showing and describing
    the work to done, prepared by and under the direction of M/s DESIGN SYSTEMS.
    E-261, First floor, Greater Kailash-II, New Delhi-110048.
    AND WHEREAS the contractor has supplied the owner with a fully priced copy of
    the said Bills of Quantities (which copy is hereinafter referred to as “the Contract
    Bills”)

    AND WHEREAS the said drawings (hereinafter referred to the as “the contract
    drawing s”) and the contract Bills have been signed by or behalf of the parties
    hereto.

    NOW IT IS HEREBY AGREED AS FOLLOWS:-

    1. For the consideration hereinafter mentioned the contractor will upon and
    subject the conditions annexed hereto and complete the work shown upon
    the contract Drawings and described by or referred to in the contract Bills
    and in the said conditions.
    2. The Owner will pay the contractor the sum of Rs. 6,55,72,910.00 (Rs. Six
    Crore Fifty Five Lacs Seventy Two Thousand Nine Hundred Ten Only)

    (Hereinafter referred to as “the contract Sum”) or such other sum as shall


    become payable hereunder at the times and in the manner specified in the
    said conditions.
    3. The said conditions and appendix thereto shall be read and construed as
    forming part of this agreement and the parties hereto shall respectively abide
    by themselves to the conditions contained.
    4. AS WITNESS our hands this 20th June-2011.
    5. Insurance of workers is in Contractors scope.
