Resident Physician (Medicine)

SERVICE AGREEMENT

This Agreement is made on this 6th February, Two Thousand and Sixteen of Christian Era.

BETWEEN

......................................................, having its registered office at ................................................., a


teaching Hospital of .............................................. Medical College situated
at ................................................................, Chittagong, represented by its
Chairman ..................................................................................................... (hereinafter referred to as the
“The First Party” which expression shall include its representatives, heirs, successors or assigned).

AND

Dr. ............................................................., Present Address: Senior Registrar, Department of Medicine,


Khwaja Yunus Alli Medical College, Enayetpur, Sirajgonj, Bangladesh, Permanent address: House #
395/1, Post Office: Kajla, P.S: Motihar, District: Rajshahi, Bangladesh (hereinafter called
Dr. ....................................................., as the Second Party).

WHEREAS, the ............................................. Hospital Ltd. a private hospital established to cater to the
health care services to the people of Chittagong & Bangladesh at large and also provide teaching facility
for the students of .......................................... Medical College or any other associated institutions, at
“.............................................., Chittagong or any other place sponsored by ..................., a charitable
organization engaged in imparting education in medical, pharmaceutical and Science Business or other
related subjects. The hospital requires the service of a Resident Physician (Medicine) on full time basis
in the hospital at “..............................................., Chittagong, to ensure smooth functioning and
management affairs.

AND WHEREAS, the First Party requires one Resident Physician (Medicine) on full time basis to carry out
various related jobs as assigned or prescribed or entrusted to accomplish and the Second Party has
offered his services to act as Resident Physician (Medicine) on full time basis of the First Party.

AND WHEREAS, the First Party agreed to accept the offer of the Second Party subject to various terms
and conditions mutually agreed and herein contained; and

WHEREAS, both the parties hereto have agreed that in order to avoid future misunderstanding, it is
desirable that the terms and conditions of mutual agreement be reduced in writing;

Now, this Agreement witnesses and it is hereby agreed by and between the parties hereto as follows:

Clause 1: APPOINTMENT

1.1 The Second Party shall be appointed as Resident Physician (Medicine) on full time basis of
the First Party for a period of 05 (Five) years from the date of joining.

1.2 The Agreement may be renewed 06 (Six) months prior to the expiry of this Agreement on
mutual discussion.

Clause 2: CONTRACT PERIOD

2.1 This agreement is made for an initial period of 05 (Five) Years. After the successful
completion of the said period, the performance of the Second Party will be reviewed for the
purpose of extension of this Agreement.

2.2 This agreement shall take effect from the date of joining by the Second Party at his place of
work.

Clause 3 : PLACE OF WORK & DUTY HOURS

3.1 The Second Party’s assigned place of work shall be at “..........................................,


Chittagong.
3.2 (i) Working day
. : 6 (six) days in a week
(ii) Working Hour: From 8-30 A.M. to 2-00 P.M. and 4-00 P.M. to 8-00 P.M. and rest of the day
the Second party shall be available on emergency call. Working hour may be changed by
the First Party as and when required.

(iii) The Second Party shall enjoy all National holidays and Weekly holidays except Inspection
duty or any other emergency duty scheduled by the First Party.
3.3 The Second Party acknowledges that the nature of his work may require him to be at work
longer than the normal office hours as required by ........................ Hospital Ltd.

Clause 4: DUTIES AND RESPONSIBILITIES


4.1 The Second party shall work directly under The Director (Medical Services) of the
Organization or any authorized representative.
4.2 The Second party shall act as Resident Physician (Medicine) of ..............................
Hospital .... and will be fully responsible to provide services as Resident Physician
( Medicine ) to the ..........Hospital Ltd. during 24 hours as and when required.
4.3 The Second Party shall attend hospital 6 days in a week and enjoy weekly holiday on any day
of the week subject to mutual understanding with other duty doctors so that no gap has fallen
in the patient treatment.
4.4 The Second Party shall have to attend hospital in weekly holidays also in case of emergency
treatment and he will enjoy compensatory leave for that extra duty without causing any lack of
treatment in the hospital.
4.5 The Second Party shall attend ........Hospital Ltd., ............., admit patient in the Hospital and
carry out necessary treatment of IPD/OPD patients as and when required procedure etc. as
may be consistent with his specialization and discipline and do all the necessary and related
activities as a Resident Physician (Medicine).

4.6 The second party shall carry out the responsibility both at ............... Medical College and
................. Hospital Ltd. (an affiliated hospital of ............ College for Teaching of
students)

4.7 The Second Party shall organize and ensure proper functioning of the Department of
Medicine in ............... Hospital Ltd. and attend all the emergency treatment.
4.8 The Second Party shall provide consultation, treatment advice and support to patient for
routine/ emergency patient management at .......... Hospital Ltd. as and when required.
4.9 The Second Party shall attend IPD/OPD patients in .... Hospital Ltd. during day/ night time as
and when required.
4.10 The services of the Second Party will be guided by the rules, regulations and statutes of .....
Hospital Ltd. and Government of the Peoples Republic of Bangladesh.
4.11 As regards the transparency of the management system and to facilitate the accounts
department for computing the remuneration, the electronic attendance & recording
system and/or any other computerized system which has been installed by the First

Party, the Second Party shall strictly follow the system of management for his better
performance.
4.12 The Second Party shall maintain and strictly follow the dress code as fixed by the First Party
which includes proper apron wear in practice by medical professional.

Clause 5: CODE OF CONDUCT

5.1 The second party shall carry out the responsibility both at ............. Medical College and ............
Hospital Ltd. (an affiliated hospital of ............. Medical College for Teaching of students)

5.2 The hospital (...) is an affiliated hospital of ............. Medical College for teaching purpose. The
hospital is an independent organization and being run and organized by separate National and
International experts in the field of Hospital management, the second party shall abide by the
rules and regulations set by the hospital authority. Any behavior with the staff and member of
management of hospital which are considered against the etiquette, norms and ethics of the
organizations will be treated as gross violation of contract.

5.3 The second party shall not create any untoward circumstances or involved in any immoral and
illegal activities which can damage the reputation of the college and hospital. Such case shall be
treated as gross violation of the contract.

Clause 6: REMUNERATION AND BENEFITS

6.1 Remuneration

The Second Party shall receive remuneration from ......................... Hospital on monthly
basis as detailed in Annexure-01

6.2 Annual Increment


Upon completion of each and every year continuous service the Second Party may be
considered for salary increment as per pay scale (.............) of .................... Hospital Ltd.
depending full satisfaction of the First Party which is sole discretion of the first party. However,
considering the effective, efficient and good performance of the Second Party, the First Party
shall consider special increment/ allowance for the Second Party.

6.3 . Bonus

The second party shall be entitled to get 2 (two) festival bonuses in each calendar year, each
shall be equivalent to one month’s basic pay only. This entitlement will be considered only after
completion of ....................days of continuous service.

Clause 7 : FACILITIES

In addition to the monthly remuneration the Second Party shall be given the following facilities:
7.1 Reasonable mobile ceiling will be provided by the First Party.
7.2 The Second Party shall be provided free furnished quarter adjacent to ................ with all
utilities (Electricity, Water and 1 (one) no. Gas Cylinder per month).
7.3 The Second Party shall be provided free shared transport for any official work outside of
the Hospital area.

Clause 8 : INCOME TAX

Any income tax liability, which become due and payable by the Second Party as per existing
rules and regulation of the Govt. of Bangladesh will be paid by the Second Party.

Clause 9: LEAVE

The Second party shall be entitled to enjoy 30 (thirty) days leave in each calendar year out of
which 15 (fifteen) day’s leave can be availed on medical ground and rest 15 (fifteen) days can be
availed on casual or personal ground. Such leave shall not be encashed and carried forward to
the next year. For services less then 12 (Twelve) months the annual entitlement of leave will be
set proportionately reduced.

Clause 10 : TERMINATION

10.1 This Agreement shall stand terminated with due notice of 01 (One) month from either
side or surrender 01 (one) month’s basic salary in lieu thereof.

10.2 No notice will be required in case the Second Party acts in the manner, which amounts to
an action equivalent to gross misconduct, negligence, unprofessional, unethical or
unreasonable behavior. His service will be terminated forthwith and no compensation will
be considered in such cases.

10.3 In case the Second Party resigns by giving part/short notice (less than one month) he
shall be liable to pay compensation for 1(One) month’s notice period. This payment will
be consisted of one basic pay only.

10.4 The Second Party shall be evaluated for 1 st 6 (six) months. During this period he may be
terminated by the First Party at any time without showing any notice or cause
whatsoever. After that, this Agreement shall stand terminated with due notice of 1 (one)
month from either side, unless due to circumstances created by the Second Party or due
to his failure to tackle any untoward circumstances for which the First Party may consider
his services as undesirable at any time and without any compensation.
Clause 11 : SECRECY

11.1 The Second Party shall not at any time, except under legal process, divulge any matter
relating to secrets of the Hospital to outsiders which may become known to him by
reason of his position.

11.2 Both the parties shall keep the contents of the agreement strictly confidential and shall
not disclose the contents of the agreement to anybody.

Clause 12: ARBITRATION

All differences or dispute, if any, that may arise in connection with or from this Agreement shall be
settled by the parties hereto in an amicable way and in the spirit of their collaboration so that it
may be fair to both parties hereto. In the case of lack of amicable settlement, all disputes shall be
referred to and settled by Arbitration in accordance with the Arbitration Act, 2001. The
Determination of the Arbitration panel shall be final, binding and conclusive upon the parties
hereto.

Reference to the Clause No.11.2, this annexure is absolutely confidential and not to be disclosed to
others. If it is disclosed to others by the second party, it will be treated as gross violation of this
contract.
