Congratulations on joining us as “Software Trainee”.

For us at Versatile, success is the outcome of choice and expectations more


than a matter of circumstance and we are delighted that you have chosen us.

We have an introductory session on your day of joining, which will provide


you with a brief overview of our Company, its Policies and Practices. This would
come in handy to help you settle in at work. We also have a specially
designed, interactive workshop to introduce you to something close to our
heart and our way of life-the Spirit.

Your Salary per month would be Rupees 10,000 till 6 months of probation period.
Compensation after probation period would range from 2.4LPA till 4LPA.
Performance is tracked at regular intervals. Depending on the individual
performance we shall revise the CTC after probation and there would be statutory
deductions as per the law in your CTC.

In the next few weeks, you will meet your colleagues and managers. Feel free to

APPOINTMENT LETTER
November 21st, 2022

Dear Panchal Tukaram,

It is our pleasure to appoint you as “Software Trainee” in Versatile Commerce at


Hyderabad. Please note that the employment terms in this letter are subject to Company
policy.

1. APPOINTMENT

a. Your date of appointment is effective from the date of joining which shall
be as soon as possible but not later than 28th November, 2022.

b. You will be on probation for a period of 6 months from the date of your
joining. On completion of the probation period, your appointment shall be
confirmed and communicated to you in writing if the Company finds you to
be suitable for the appointed post. Unless confirmation is communicated in
writing, your probation period is deemed extended.

c. The retirement age is 58 years.

d. During the period of employment, you will be governed by the rules and
regulations of service of the Organisation that may be in force and which may be
amended, altered, extended from time to time. Your acceptance of this offer
carries with it, your acceptance to observe all such rules and regulations.

e. You are liable to be transferred or sent on official business to any unit/ branch /
department of the Company and its associates whether existing or proposed in
future at any time and at any place in India or abroad. On such posting (transfer
/ deputation) you will be governed by the terms and conditions of service of the
company applicable to your category of employment in that unit / branch / office
etc. On employment verification, should the particulars / information furnished
found to be false / not true, at any point the service stands terminated at once
without any payment in lieu of such termination.

f. We provide support to our global customers from various locations in India
to suit customers differing time needs on 24x7 basis. You would be operating
from any of these locations and in any of the shifts, including night shift,
as may be decided by Versatile Commerce keeping in mind business needs
and deliverables to customers and if called upon, will work beyond normal
working hours at the discretion of your superiors.

g. This appointment can be terminated by either side at any time by serving due
notice as applicable in the Exit Policy of the company.

h. This contract may also be terminated without any notice on the discretion of the
management in case of non performance and in case of non adherence of policies
mentioned by the company.

2. COMPENSATION AND AGREEMENT

a. Salary credit will be under the registered name of the Organisation i.e, Versatile
Commerce.

b. Tax Deduction at Source (TDS) - The income tax calculation is based on the
current Income Tax Rules. Any change in the Rules will impact the Income Tax
projections. Based on the calculations made the tax so arrived will be deducted at
source from your Gross monthly pay.

c. Provident Fund (PF) - You will become a member of the Provident Fund Scheme,
as per the rules mandated in the act. You will be required to submit necessary
enrolment/transfer forms to the HR Department immediately upon joining. Will
be eligible after probation period.

d. Employee State Insurance (ESI) – Eligible employee will be enrolled into ESIC
scheme as per act based on the prescribed slabs as per eligibility.

e. You will be entitled to other compensation and benefits in accordance with


policy as modified and intimated to you from time to time.

f. You agree to enter into the agreement to work with us for 2 years from the date
of joining and agree to pay the sum of rupees 2 Lakhs in case of breaking the
agreement.

3. RESPONSIBILITIES

a. In view of your position and office, you must effectively, diligently and to
the best of your ability perform all responsibilities and ensure results. There
may be times when you will be expected to work extra hours to achieve
the above when the job so requires. In this connection, you are required not
to engage in activities that have or will have an adverse impact on the
reputation and business of Versatile Commerce, whether directly or
indirectly.

b. You may be required to undertake travel on Company work for which


you will be reimbursed travel expenses as per the Company norms
applicable to you.

c. We at Versatile are committed to ensure ' Integrity' in all aspects of its


functioning. You are expected to comply with the policies of the
Organisation including the Code of Business Conduct and other policies as
they form an integral part of the terms of employment with us.
Consequently, you are required to understand the scope and intent behind
these policies and to comply with the same. These Policies are updated /
modified on a periodic basis and new policies may be introduced and
notified to employees from time to time.

d. Consistent with (c) above, any matter or situation or incident that may arise
that could potentially result, or has resulted, in any violation of the Policies
or the terms of your employment, shall immediately be brought to the notice
of your Management.

4. CONFIDENTIALITY

a. In consideration of the opportunities, training and access to new techniques


and know-how that will be made available to you, you will be required to
comply with the Confidentiality Policy of Versatile Commerce. Therefore,

please ensure that you maintain all Confidential Information (as defined from
time to time in the Confidentiality Policy of the Company) as secret and
confidential and do not use or disclose any such Confidential Information
except as may be required under obligation of law or as may be required by
the Organisation in the course of your employment. This covenant shall
endure during your employment and also after cessation of your employment
with Versatile Commerce (irrespective of the circumstances of, or the
reasons for, cessation).

b. In your work for Versatile Commerce, you will be expected not to use or
disclose any confidential information, including trade secrets, of any former
employer or other person with whom you have an obligation of
confidentiality, and by signing below you affirm that you have no conflicting
obligations or non-compete agreements that would prevent you from
working without limitation for the Organisation.

5. ASSIGNMENT OF INTELLECTUAL PROPERTY

In connection with your employment and during the term of your employment upon
conception or creation, you shall disclose and assign to the Organisation as its exclusive
property, all inventions, ideas, concepts, discoveries, techniques, and improvements
(including without limitation legal documents, training materials, computer software and
associated materials) developed or conceived by you solely or jointly with others
(whether or not during business hours), and shall comply with the Policies of Versatile
Commerce relation to Intellectual Property.

6. NON-COMPETE

In the course of your employment with us, you will be providing services to our
customers or clients during which process you would be handling sensitive information
including but not limited to information of our key customers, competitor information,
customer sensitive information ('Confidential Information'). You acknowledge and
recognize that Confidential Information available to you, if leaked, would cause
irreperable harm to the Organisation and its protection is of utmost importance to
us. You confirm that for a period of 1 year after separation of your employment
from us (irrespective of the circumstances or the reason for separation), you will not
accept any offer of employment from a customer or client with whom you have
interacted or worked in a professional capacity representing us during the 1 year
preceding the date of separation.

7. GENERAL

a. We trust that you have not provided us with any false declaration or willfully
suppressed any material information. If you have, you will be liable to be
removed from service without any prior notice. Please note that you are
required to inform us if there are any agreements, oral or written, which
you have entered into and which may relate to or affect your commitments
under this Agreement.

b. Your employment terms may be specifically enforced legally, if required. In


this connection, if any of the provisions of this Agreement are declared or
found to be void or unenforceable due to any reason whatsoever, the
remaining provisions of this Agreement shall continue in full force and
effect.

c. These employment terms supersede and replace any existing agreement or


understanding, if any, between Versatile Commerce and you relating to the
same subject matter.

d. You warrant that you are not prevented by a court or by any other
administrative or judicial order from providing the services required under
this agreement. In the event that you are not a citizen of the country of
posting, you should have a valid work permit to work in the country of
posting.

e. During the period of employment you are required to comply with all
Versatile Commerce policies. These policies are updated/modified on a
periodic basis and new policies may be introduced and notified to employees
from time to time.

f. On employment verification, if the particulars / information furnished are


found to be false, at any point the service stands terminated at once without
any payment in lieu of such termination.

8. NOTICE PERIOD

This contract of employment is terminable, without reasons, by either party giving


one month' s prior written notice during probationary period and Two month' s

prior written notice on confirmation of employment and after bond/agreement period.
Versatile Commerce reserves the right to pay or recover salary in lieu of notice
period. Further, at its discretion relieve you from such date as it may deem fit even
prior to the expiry of the notice period. However, if the management desires the
employee to continue the employment during notice period, the employee shall do so.

You are hereby appointed as the employee of the company and will hold the said office,
subject to the provisions made here in after, for the term of 2 years from the date of joining.
As a guarantee, employee is agreed to pay rupees Two Lakh in case of breaking the bond
and agree that company can withhold certificates in case of breaking the bond within 2
years of this agreement period.

When an employee remains, absent without permission for a period of 5 (five) consecutive
days it will be construed as Voluntary abandonment of service on the part of the
employee.
No Full & Final settlement shall be done for the employees who have abandoned service
on their own.

As a part of exit formality, employee is expected to return any property belonging to the
Management, failing which, he will be liable for deduction from his salary towards recovery
of office assets.

Please confirm that the above terms and conditions are acceptable to you and that
you accept the appointment by signing a copy of this letter of appointment.

ANNEXURE - I

CONFLICT OF INTEREST

Versatile Commerce LLP has adopted a conflict of interest policy in respect to its
employees. This policy is intended to avoid conflict when an employee has an interest that
prevents him/her from acting impartially or limits their ability to act solely in Organisational
interest. The conflicting interest may be self-interest of the employee, or may be a competing
duty or obligation to a third party or individuals doing or seeking to do business with
us in India or in any other country. All employees are required to comply with this policy by
disclosing actual or potential conflicts if required.

A suspected, reported, or known violation will be addressed in accordance with applicable


investigative and disciplinary procedures. Violation of this policy is considered as an
actionable misconduct which may lead to legal consequences.

directly or indirectly impact the Organisation.

Personal Information with Versatile Commerce for the following purposes:

a. Validating my CurriculumVitae and retaining records on the same for


any future reference/verification;

b. Processing my job application including background verification checks and


medical checks;

c. Employment-related actions including record keeping, processing


compensation and benefits and any action required in the context of my
employment with Versatile Commerce.

In this context, I also agree to the retention of such Personal Information by


Versatile Commerce for any future reference/verification and authorize to transfer
the same to a third party.

I understand that 'Personal Information’ means any information, relating to me


that is available with Versatile Commerce and is capable of identifying me.
