    DEED OF DONATION

    KNOW ALL MEN BY THESE PRESENTS:

    This Deed of Donation, made and executed by CHARLIE G. BAUTISTA,


    Filipino, of legal age, single, and a resident of Unit 1505, 15 th Floor, Tower A,
    Antel Seaview Towers, Roxas Boulevard, Pasay City, hereinafter referred to as
    the “DONOR”, in favor of ______________, of legal age, and a resident of Unit
    1505, 15th Floor, Tower A, Antel Seaview Towers, Roxas Boulevard, Pasay City,
    hereinafter referred to as the “DONEE”

    WITNESSETH That:

    WHEREAS, the DONOR is the owner of shares of stocks of


    NORTHEASTERN COLLEGE INCORPORATED;

    That for and in consideration of the love and affection which the DONOR
    has for the DONEE, the said DONOR, by these presents, hereby transfers and
    conveys, by way of DONATION, unto the said DONEE, his heirs and assigns,
    THREE HUNDRED THIRTY NINE (339) shares of stock of NORTHEASTERN
    COLLEGE INCORPORATED, free from any and all kinds of liens and
    encumbrances of whatever nature and kind.

    That the DONOR does hereby state, for the purpose of giving full effect to
    this donation, that he has reserved for himself in full ownership, sufficient
    property to support him in a manner appropriate to his needs;

    That the DONEE does hereby accept this donation of the Property, and
    does hereby express his gratitude for the kindness and liberality of the DONOR.

    IN WITNESS WHEREOF, the DONOR and the DONEE have hereunto set
