e-Auction Catalogue on the live e-auction Floor Should be Treated as Final and Binding.Only Buyers registered with MSTC will be able to participate in this e-
auction.

The buyer will not be required to deposit the EMD for those lots which fall under the category of STA. Only when the lot is approved by the Principal, a mail will be
fired by our portal to the buyer to submit the requisite EMD within a period of 7 days from the date of approval.

PRE-BID EMD NOTE

:In order to participate in bidding for lots which require pre bid EMD, the bidder is required to have sufficient balance in the EMD wallet
provided to the bidder for the purpose. A bidder can add money to its EMD wallet anytime through e-payment mode only and by following the link Pay Pre Bid
EMD provided in the dashboard. Bidders in their own interest are advised to keep sufficient balance in their EMD wallet to bid in any auction and avoid any last
minute hiccup. MSTC/Seller shall not be responsible for any delay in crediting of the money in MSTCÃÃÃâs bank account due to any reason
resulting in delay in updating the EMD wallet of the bidder.

IF THE SUCCESSFUL  BIDDER FAILS TO PAY POST BID EMD OF ANY LOT, PRE BID EMD WILL BE FORFEITED. PRE BID EMD MUST BE ADJUSTED WITH POST BID
EMD AND BUYER HAS TO PAY ONLY DIFFERENTIAL AMOUNT OF POST BID EMD TO MSTC/SELLER & SEND WRITTEN PAYMENT DETAILS FOR THE SAME TO
SELLER & [email protected].
IN CASE OF SUBMISSION OF POST BID EMD AND NON PAYMENT OF BALANCE MATERIAL VALUE ,ONLY POST BID EMD
WILL BE FORFEITED BY THE SELLER.

Pre Bid EMD must be paid by the bidder (NEFT/RTGS) through Pay Pre Bid EMD link only otherwise the automation will not work.

Refund of Pre Bid EMD to the bidders as per their online request (by using "EMD Refund Request" link) will also be processed from HO on the next working day.

No Payment except Post Bid EMD,IT TDS & MSTC's Service Charge(inlcuding ITDS of 1%) will be accepted into MSTC account. Hence Buyers are Requested that
They should make payment of Balance payment in Seller's account only .Balance payment done into MSTC's account will not be accepted and will be returned to
Buyers .Sole responsibility of any loss of payment time due to Balance payment done into MSTC's account will be of Buyer's Only.

NOTE 1: BUYERS HAVE TO INSPECT THE MATERIAL THOROUGHLY AND SATISFY THEMSELVES ABOUT THE NATURE , HAZARDOUS/EXPLOSIVE PROPERTIES, IF
ANY, BEFORE SUBMITTING THE BID. IN CASE THEY COME ACROSS ANY MATERIAL BEYOND THE SCOPE OF THE DESCRIPTION OF MATERIAL, IT SHOULD BE
INFORMED TO SELLER/MSTC. MSTC WILL NOT BE RESPONSIBLE FOR ANY COMPLAINT IN THIS REGARD.

NOTE: PAYMENT OF COST OF MATERIALS ALONG WITH ALL TAXES AND DUTIES HAVE TO BE MADE BY THE BUYER IN ONE INSTALLMENT i.e 15 days & LIFTING

1. MSTC Ltd. Shall hereinafter be referred to as MSTC and DVVNL, Agra as owners.

Payment Terms:

1.1)Draft / PO issued by Co-operative banks will not be accepted. No arrangement instrument where more than one bank is involved will be accepted.

The successful bidders are required to pay EMD/SD Payments as mentioned below:-

(a) 10% of Total Bid Value for Confirmed Lots.

Above EMD/SD payments, as applicable, are required to be submitted on or before the 7th day from the date of closing of e-auction/acceptance of sale of lot by
Seller (in case of STA lots). Thereafter EMD/SD shall not be accepted under any circumstances.

1.2) It should be noted that failure to submit post bid EMD / SD within above stipulated time will result in automatic deactivation of buyer's login from MSTC
System for a minimum period of 06 (Six) months. Thus the bidders shall be debarred from participation in any auction being conducted by MSTC for a minimum
period of 06 (Six) months. Buyers login may however be re-activated only if full payment (Material Value + Applicable Taxes & Duties) is received within 22 days
from the date of closing of e-auction/acceptance of sale of lot by Seller (in case of STA lots).

1.3) Payments submitted by the buyers after the 22nd day from the date of closing of e-auction/acceptance of sale of lot by Seller (in case of STA lots) may be
accepted at the sole discretion of MSTC/Principal subject to payment of penalty @1% on total material value (excluding taxes) per week for a maximum period of
upto 2(two) weeks. However this shall not construe any right to the buyer to make any late payment of Material Value or Balance sale Value or applicable duties &
taxes, after due date. No payments thereafter shall be accepted under any circumstances. 

1.4) Failure to deposit balance sale value (after depositing post bid EMD as stated in Clause 1.1, above) shall lead to forfeiture of EMD deposited by the buyer.

1.5) In the auctions where pre-bid EMD has been called for and is not kept as Security Deposit, buyers have to pay the EMD as well as balance amount (Including
Applicable Taxes & Duties) within 22 days from the date of closing of e-auction/acceptance of sale of lot by Seller (in case of STA lots) and Pre Bid EMD will be
returned to the buyer after issuance of Acceptance Letter and only after receiving written request for the same from the buyer's end. In case pre-bid EMD is
converted into Security Deposit (as stated in Special Terms & Conditions), then buyers shall be required to deposit full material value (including taxes & duties, as
applicable) within 22 days from the date of closing of e-Auction/acceptance of sale of lot by Seller (in case of STA lots).

2. All the offer shall be valid for a period of 90 days from the date of closing of e-auction.

3. The materials offered for sale must be inspected prior to due date of e-auction.

4. The bidders shall submit Earnest Money Deposit by RTGS/NEFT/E-Payment/Bank Draft in favor of Executive Engineer (ESD) payable at Agra within 7 days of e
auction for SOLD lots only. The EMD must be @10% of the net sale Value quoted (excluding taxes &duties). Upon issue of the sale order the EMD shall
automatically be converted into Security Deposit. The Security Deposit as specified in Sale Order shall be adjusted only at the time of final payment.

5. The Contract shall be treated as having been entered into as soon as the bid is confirmed in favor of the successful bidders. The period of contract shall be of
sixty days from the date of last Delivery order by MSTC against full payment made by the party. The contract shall be deemed to be complete as soon as the Area
is cleared of the entire material allotted or on completion of the period of contract as mentioned above, whichever is earlier.

6.0 All the materials are offered for sale on AS IS WHERE IS basis Ex works Owners, RATE MUST BE QUOTED ON UNIT BASIS FOR EACH LOT SEPARATELY NOT
PART THEREOF i.e. in Rupees per unit only. The quantity indicated against the lot are purely indicative.

6.1 The quantity in actual may turn out to be more or less than the estimated quantity. In the event of quantity turning out to be more than the estimated quantity
the buyer has to lift the allotted quantity(+/-10%).In the event of actual quantity turning out to be less than the estimated quantity, the buyer shall not be
entitled to claim any damages, loss of interest or compensation on this count.

6 2 For lifting waste oil batteries non ferrous waste such as lead copper zinc waste etc following certificate should be available with the buyer These may be

6.2 For lifting waste oil, batteries, non-ferrous waste such as lead, copper, zinc waste etc following certificate should be available with the buyer. These may be
checked by MSTC/DVVNL at any point of time after the contract has been entered into.

I) Valid letter from the pollution control under air & water act.

II) Valid authorization from the appropriate authorities as per law for handing of hazardous wastes under the hazardous wastes (Management & handling) rules
1989.

In the absence of the about valid certificates), MSTC/DVVNL is authorized to forfeit the EMD of the successful buyer.

7. Rate must be quoted exclusive of GST as applicable which will be charged extra. Any variation in GST will be borne by the buyers.

8. Bidders shall submit his/their income tax clearance certificate (latest) partnership deed of org. as and when demanded by MSTC / Owners.

9. The Bidders/customers workmen shall have to abide by the rules regulation including safety & security regulation of the relevant statutory Acts. Entry inside
the works should only be against Gate pass for the men and equipment for which purchaser will have to apply well in advance before lifting commences.

10. The Buyer will employ his own labour and means; at his own cost and risk for removal/collection/shifting of scrap as per schedules and payment of
wages/compensation to the laborers will be the sole responsibility of the buyer. The purchaser shall ensure that his workmen do not loiter around within the
stores area of the factory areas. They shall not touch any material except those material shown to them. If any of his workmen is even found violating these
restriction, the purchaser shall be responsible for making good the loss to the owners on which their decision shall be final and binding.

11.0 PAYMENT PERIOD : The cost of each lot of materials along with all taxes and duties must be paid by the buyer in one instalment, i.e 15 DAYS FROM THE
DATE OF SALE ORDER OR LAST DATE OF EMD WHICH EVER IS EARLIER. In case lots under STA are approved by the Seller, 15 days for payment for those lots,
will be applicable from the date of issue of Sale Order for STA lots. Payment favouring MSTC is to be made through RTGS/NEFT.

11.1 LATE PAYMENT PENALTY : If the payment is not made within the free payment date mentioned in the Acceptance Letter, the payment may be accepted
upto a period of two weeks from the due date of payment, on payment of late payment penalty @ 1% per week on the total sale value. Acceptance of payment
beyond the late payment period of two weeks shall be at the sole discretion of DVVNL AGRA .

11.2 In case payment is transferred to DVVNL through RTGS, then it is the responsibility of the bidder to intimate DVVNL Agra, immediately and get the
payment confirmed to MSTC Ltd, so that Delivery Order is issued timely. Lifting time will be as per clause 12.

Payment deposited without amount of GST and TCS will not be accepted.

12. DELIVERY PERIOD: The successful bidders shall lift the all allotted material lying in the lot allotted to them by employing their own labor and transport at
their own cost within 21 Days (Twenty One Days) from the date mentioned in the Delivery Order by MSTC Ltd, Lucknow or 21 days from the last date of
submission of balance payment whichever is earlier.

12.1 The bidders have to contact DVVNL Agra office with 7 days after submission of payment at MSTC Ltd, Lucknow. This has to be strictly adhered to, failing
which DVVNL,Agra/MSTC Ltd, Lucknow will not be responsible, in case of imposition of ground rent charges by DVVNL,Agra. The last date of lifting of the stores
mentioned in the Delivery Order issued by MSTC Ltd, New Delh, will be FINAL & BINDING and can be extended only by DVVNL,Agra at its sole discretion.

13. Ground Rent @ 2 % per week or part there of beyond 21 Days will be levied and up to 1 week maximum, provided written request is received before the
expiry of 21 days free lifting period, if no such request for extension is received, the sale order stands cancelled & security deposit forfeited on completion of free
lifting period.

14. Hazardous waste: The scrap materials/ items which comes under the category of Hazardous Waste as per Hazardous waste (Management & Handling) Act
1989 and Amendment Rule 2002 & 2003 shall be sold only to those buyers who are registered with Ministry of Environment & Forest, GOI/ Central Pollution &
Control Board.

15. DVVNL reserves the right to withdraw in part or full or to close the contract any time during the currency of contract without assigning any reason thereof.
This will not entitle the buyer to demand compensation or right for delivery of full qty. by way of extension of contract.

16. MSTC/DVVNL reserves the right to call all the eligible bidder(s) for revised bid along with requisite EMD for any lot.

15. After the submission of bid(s) by the Buyer, a presumption would be drawn that the buyer has inspected the material and has satisfied himself about the
nature, quantity ,quality, other technical specifications, taxes-duties and legalities prior to the e-auction. No complaint, whatsoever, on the points referred above,
would be entertained after the submission of the bid.

17) The Sale will be governed by the Material List & Special Terms & Conditions (STC) displayed on the Live eAuction Floor (and not under Forthcoming Auctions)
as well as the General Terms & Conditions (GTC) and Buyer Specific Terms & Conditions ( BSTC ) already accepted by the Bidder at the time of eAuction
Registration with MSTC. The Material List & STC displayed under View Forthcoming Auctions on MSTC's eAuction Website are tentative and subject to change at
MSTC's sole discretion before the start of eAuction. Bidders should therefore download the Material List and STC displayed only under "View Live Auctions" for
their record purpose, if required. The BSTC and GTC can be seen and downloaded by going to the Home Page of the eAuction Website and clicking on NEW USER.
Participation in the eAuction will be deemed to imply that the Bidder has made himself thoroughly aware of and accepted the STC, BSTC and GTC. In case of any
conflict between the STC and BSTC , the STC shall prevail. MSTC shall have the right to issue addendum to the STC or BSTC, to clarify, amend, modify, supplement
or delete any of the conditions, clauses or items stated therein and the Addendum so issued shall form a part of the original STC.

18) The Principal/Owner of the materials reserves the right to withdraw at any stage the sale of any item or quantity of material either by number or by weight or
any other specific unit etc, even after issue of Sale Order/Delivery Order. The Principal/Owner will not be bound to assign any reason or details thereof. Value of
the materials so withdrawn, if any, and paid by the buyer will be refunded. The Principal will however, not be responsible for any damage, loss, direct or
consequential compensation whatsoever to the buyer nor for payment of any interest.

NOTE : (1) GST rates as indicated in this e-auction catalogue are only indicative. Actual GST rates as applicable on the date of lifting shall be applicable. Bidders
are required to satisfy themselves about GST rate through their own sources/means before bidding in this e-auction and any discrepancy should be intimated to
MSTC / Seller at least one working day prior to the e-auction. No complaint from any bidder thereafter, regarding any variation will be entertained after the e-
auction goes on live floor. Non-payment of sale proceeds on the ground of any discrepancy of GST rate will be treated as default and action as deemed fit
including but not limited to forfeiture of EMD/SD will be taken against the bidder.

19) ARBITRATION CLAUSE:

Any dispute or difference arising between the seller, MSTC and the bidder/buyer in connection with the interpretation or
implementation of the terms and conditions shall be referred to the Sole Arbitration of the Chief Executive of the Principal for a Company registered under the
Companies Act. in case of a PSUs; the Head of the Department in case of a Govt. Department. Ordnance Factory Board Units/defense Units, who may act himself
or nominate in his stead any officer subordinate to him or of MSTC being not below the rank of General Manager/Director in the Govt. Dept. who shall act as the
Sole Arbitrator,. The provisions of the Arbitration and Conciliation Act, 1996, as amended, shall apply to such arbitration. The place where the concerned office of
MSTC conducting the e-auction is situate shall be the venue of such arbitration proceedings and the language of such arbitration shall be English. The award of
such Sole Arbitrator shall be final and binding on the parties.
