MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (“Agreement”) is entered into this _____ day of ________,
2022 in ____________ City, Metro Manila, by and between the following Parties:

____________________, of legal age, Filipino, married and a resident of


______________________, hereinafter referred to as the “SELLER/OWNER”;

and

___________________, of legal age, Filipino, married, with residential address


at ____________________________________ hereinafter referred to as the
“AGENT”;

WITNESSETH, THAT:

The Parties have entered into this Agreement on their own free will and agree to the following:

1. SUBJECT MATTER PROPERTY. The SELLER is the legal owner and has the rights to sell
the subject matter property. The SELLER hereby grants the Agent an exclusive right to sell
the Property to ________________, of legal age, Filipino, married and presently residing at
___________________ (“BUYER”). The Property is a land with building and improvements,
situated at ___________________________________, with a total area of
____________________ covered by Transfer Certificate of Title No. ______________, more
particularly described as follows:

2. RESPONSIBILITY OF THE AGENT. The Agent has offered to sell the Property to the
BUYER in behalf of the SELLER and the SELLER has accepted the offer. It is the
responsibility of the Agent to:

a. Obtain all information necessary for the sale of the property.


b. Market the Property to the BUYER in behalf of the SELLER.
c. Arrange for the BUYER to inspect the property.
d. Conduct negotiations and submit the BUYER’s offer to the SELLER.
e. Assist the SELLER in entering into a binding agreement for the sale of the
Property with the BUYER.

3. PRICE. The final contract price (“FCP”) for the Property shall be
________________________ (Php _________________).

4. COMMISSION: In the event that the SELLER enters into a binding Contract of Sale with the
BUYER, through the Agent, the SELLER is liable to pay the AGENT’s commission of five
percent (5%) of the final contract price of the Property, excluding taxes.

5. SCHEDULE AND MANNER OF PAYMENT OF COMMISSION: The Commission shall be


paid in check in the name of the AGENT and shall be released as follows:

Upon Payment of Reservation Fee P 5,000.00


When Payment Reaches 5% of the FCP: 30% of Commission less P 5,000.00
When Payment Reaches 10% of the FCP: 20% of Commission
When Payment Reaches 15% of the FCP: 20% of Commission
When Payment Reaches 20% of the FCP: 20% of Commission
Upon Receipt of Bank Proceeds: 10% of Commission

6. OFFICIAL RECEIPTS. Upon every payment of the Commission, the AGENT shall issue a
BIR-registered Official Receipt to the SELLER, and the SELLER shall deduct the
corresponding withholding tax from the Commission as required by law. The SELLER shall
also issue to the AGENT the corresponding BIR Form for the tax withheld;

7. COVENANT TO EXECUTE ADDITIONAL INSTRUMENTS. The Parties agree to execute


and deliver any instruments in writing necessary to carry out this Agreement or any term,
condition, or assurance in the Contract of Sale with the BUYER whenever such occasion shall
arise and request for such instruments shall be made.

8. BINDING NATURE. The covenants, terms, conditions, provisions and undertakings in this
Agreement or any modifications, revisions or supplements thereof shall extend to and be
binding upon the heir, executors, administrators, successors and assigns of the SELLER, as if
they were in very case named and expressed and shall be construed as covenants running
with the Property.

9. VENUE. All suits for any breach of this contract shall be instituted and maintained in the court
of competent jurisdiction in ____________ City only to the exclusion of all other courts.
