Best Offer Commercial Terms & Conditions
Payment Terms : 30% of total value of the order as an irrevocable security deposit
advance. The balance payment along with all other incidental
charge and any other charges and duties are extra & are to be
paid before delivery. The deposit is interest free and will be
forfeited in the event of cancellation of order (It is understood
that order once placed cannot be cancelled without our consent
in writing and without payment of cancellation charges).

ANNEXURE - III
TERMS AND CONDITIONS OF SALE
1. Quotations are subject to confirmation or amendment by us at the time Customer’s order is received and to the goods referred in the
quotations being available then.
2. Customer The customer means person/s, firm, company, and institution. Government or any other Authority who place the purchase
order on us.
3. Prices: Prices given are on the basis of Ex-works. All other applicable taxes, Octroi, duties and other statutory duties levied by the
Government will be charged as applicable at the time of delivery. Quoted prices are based on import duty and exchange rates
prevalent as of now; if these changes even within the validity of offer/order, then our prices will stand revised accordingly.
4. Taxes: Sales and other taxes and duties are not included in our prices and will be charged to your account as an additional item at
the rate prevalent during the time of delivery/despatch. Concessional sales tax form if applicable, must accompany the purchase
order otherwise full sales tax should be levied.
5. Insurance: By you or can be arranged by us covering all risks (except war risk) from our factory to the destination indicated by you
at the rate of one percent which will be to your account. In case insurance is arranged by us on your behalf, it is your responsibility
to inform us about damages etc. within 7 days from the receipt of goods at your end. No claims shall be entertained thereafter. When
insurance is arranged by us the process of claim with the underwriter is to be initiated and processed by the purchaser.
6. Octori: If applicable will be paid by you directly to the appropriate Authorities. Arrangement and payment of Octroi charges incurred
or incurrable by the transporter will have to be paid immediately by the customer on arrival of transporter, failing which the
transporter can deny to handover the material. Any retention charges arising out of any delay from customer side will have to be
mutually settled between customer and transporter without involving us.
7. Excise Duty: The duty applicable at the time of delivery will be charged extra
8. Payment : 30% advance with order and balance with full taxes, duties, freight, insurance charges and erection and commissioning
charges in full against Proforma Invoice before despatch. Interest at 20% per annum will be charges on all the bills not paid within
due date, for documents presented through Bank whenever this terms of payment has been agreed. Any demurrage arising out of late
retirement of documents will be to your account.
9. Inspection: Manufacturer’s inspection before despatch shall be final. Any inspection by the customer or their approved authority will
be carried out at our works, prior to despatch, if stipulated so in the Purchase Order.
10. Delivery: Deliveries quoted are subject to prior sale and confirmation by us. All delivery periods start from the date of receipt of
the necessary advance as per payment terms above and only when all details of execution have been made clear and both parties are
in agreement with the conditions of the contract. Its strict observance presumes the fulfillment of the contractual obligations of the
customer, particularly the conditions of payment agreed upon. Delivery promised is based on the current manufacturing programme.
We will endeavor to keep to the date given, but accept no liability for failure to do so. Delay in the delivery quoted shall not ender
the contract voidable on the part of the purchase and no claim either direct can be made on us on account of delays. In no case shall
the purchaser have the rights to withhold the balance payment or reject goods on account of delay in delivery.
11. Specifications: Illustrations, Drawings, descriptive matter, weight, power, dimensions and other particular submitted in connection
with our quotations are approximate only and without any obligations, are not guaranteed and subject to change without any notice.
12. Liability: Liabilities will pass over to the customer immediately upon despatch ex-works. Shortages will not be entertained by us
unless informed in writing, within 7 days after arrival of goods at the destination when dispatched by Road or Airfreight.
13. Warranty: The machines offered are warranted for a period 12 months from the day of receipt of the equipment / machine by the
customer against any manufacturing inadequacies, under proper use therein and arising solely out of faulty design or workmanship.
Any breakages, damages etc. arising out of careless handling etc. are not covered under the warranty conditions. Expendable items
like bulbs, fuses etc. are not covered under the warranty condition. For promptness expected out of the warranty services, it is your
obligation to inform us about complaints in fullness in the format of the complaints questionnaire that will be given to you with the
supplies or at the time of commissioning.
14. Force majeure: We shall be under no liability under any contract arising out of our quotation wherever fulfillment of our or our
supplier’s obligations is hindered or prevented by causes such as war, strikes, lockouts, fire accidents, epidemics, failure or supply of
electricity or other power shortages of materials or labor, or orders of Government or other duly constituted authority.
15. Ownership: The consignment will be the property of the customer only after receipt of all payment to be made by him in accordance
with the delivery contract.
16. Despatch: All goods will be sent by Road Transport on freight TO PAY Basis. If you want us arrange for transportation (freight paid
basis), the same will be arranged by us and charged at actuals extra in our bills. We normally send all our full machines by full
truckload.
17. Contract: The contract will deem to be completed on receipt of order confirmation from us. Order once placed cannot be revoked
without our consent. Telegraphic and Telephone alterations regarding quantities or specifications require written confirmation by us
before execution and are deemed to be entered in to in PUNE and no proceedings to enforce any claim and no suit arising out of any
contract shall be instituted except in a court of complaint jurisdiction located within the Municipal limits of Pune.
18. Cancellation: In the even of order cancellation after placement of order with advance we reserve the right to forfeit the advance.
19. Jurisdiction: This contract is deemed to be entered in PUNE and all disputes arising there under shall be subject to the jurisdiction
of PUNE.
20. Arbitration: We reserve the right to refer any disputes or claims whatsoever arising on or out of, or in connection with this order
acceptance to two Arbitrators, one to be appointed by us and he other by the customer, in accordance with the provisions of the
Arbitration Act 1940
21. Price Variation: The prices quoted above are based on the current manufacturing costs, and will be subject to adjustment at rates
ruling at the time of supply
22. Post Warranty Service: This is available through service contract.
