CSP Agreement
This Agreement is entered on_____day of____________20___ (hereinafter called the “Effective Date”)
at _________________, by and between:
M/S. “PAY POINT INDIA NETWORK PRIVATE LIMITED”, a company registered and existing under the
laws of Indian Companies Act, 1956, with its registered office at and having its corporate office at 108-
109, Everest Grande, Mahakali caves Road, Andheri (E), Mumbai 400093, hereinafter referred to as the
“PPINL or “ Pay Point India” or “the company”” of the First Part.
And
Mr./Mrs./Ms./M/s. ________________________________________________________________, an
Individual / Partnership firm / a company registered under the and existing under the laws of Indian
Companies Act, 1956 with its registered office/ residing at
__________________________________________________________ hereinafter referred to as “CSP-
Retail” of the Second Part.
PPINL and the CSP- Retail are hereinafter collectively referred to as “Parties” and individually as “Party”.
It is agreed between Pay Point India Network Pvt. Ltd and Customer Service Provider (CSP- Retail) as
follows:
1) DEFINITIONS:
In this agreement, including the schedules to this agreement, the following words and phrases shall
have the following meaning:
a. "Agreement" shall mean this Agreement and shall include all Annexures and any modifications
and alterations hereto made in writing.
b. "Bill Issuer" shall mean any service / product provider with whom PPINL has entered into
direct or indirect arrangement.
c. "Banks" shall mean any bank which is represented by "Pay Point India Network Pvt. Ltd" as
their 'Business Correspondent' (BC), or for any specific service, on request of Bank through CSP
Network.
d. "Customer" shall mean such customer of the Bill Issuer, service / product provider, who is
eligible and desirous of availing the Services.
e. "Non - Refundable Deposit" refers to the initial amount given by the CSP-Retail to the
company for the purpose of provisioning the company's service(s) relating to specified banking
services as business correspondents (BC) to be distributed by CSP-Retail to being service and is
not refundable.
f. “Effective Date" shall be the date of signing this agreement.
g. "Services" shall include the (i) the collections of Bills (as defined below), (ii) Air Booking, Bus
Booking, Rail Booking and Hotel Booking or any Travel related services (iii) Kiosk Banking
Services (through business correspondences banking) (iv) Domestic Money Transfer (v) Cash
Card Sales & Reloading of Cash Cards, (vi) Distribution of Financial Services, and any services
mentioned in Annexure or any services introduced by PPINL in future.
2) PREAMBLE:
The Second Party wishes to become a Customer Service Point (CSP- Retail) of the company for
providing specified banking services as business correspondent & Pay Point Services being
offered by the company in association with the banks. The Company wishes to appoint the
Second Party as a customer service point for distributing the specified banking services & Pay
Point Services offered by the company on the terms and conditions described herein and agreed
by the CSP- Retail. The CSP- Retail can carry out the specified banking services & Pay Point
Services offered by the company only if sufficient balance is maintained by the CSP-Retail with
the Company and/or "Pay Point India Network Pvt. Ltd" In the form of trading balance covering
the value of CSP- Retail's transactions. The Parties accordingly wish to record the basis of their
respective rights and obligations as under.
3) SCOPE OF SERVICES:
The CSP-Retail agrees to distribute/provide various services offered by Pay Point India as
specified banking services & Pay Point Services from time to time and broadly described here
under:
a. BF Activity through CSP- Retail for FIP Rural Area Villages and NON FIP Area
b. Tiny Savings Bank Account through (CSP) Model (No Frill)
c. Cash Deposit / Withdrawal / Pay Point - ATM
d. Loan Deposit
e. Flexi Term Deposit
f. Recurring Deposits
g. Fund Transfer (Non Cash Transaction)
h. Tatkal Money Transfer
i. IMPS Transaction
j. AEPS Transaction
k. E-KYC / Aadhar Seeding
l. E-KYC based Tiny Saving Bank Account
m. Payment for Utility Bill Payment Collection.
n. Any other service(s) as Pay Point India may introduce from time to time.
Unless otherwise agreed in writing, the CSP-Retail agrees to give a onetime non-refundable
deposit to the Company for enrolling the CSP-Retail and setting him up as a registered CSP-
Retail of the Company. His area of work includes distributing specified banking products
/services through Computer System where Pay Point India will provide Link with login ID and
Password or through Internet. This deposit shall be non-refundable and is a charge towards
setting up costs of specified banking operations by CSP- Retail.
5. DISPENSION OF SERVICES:
The Company shall have exclusivity at the CSP-Retail. Hence, CSP- Retail shall source and provide
services of the bank authorized by the company only. The CSP-Retail appointed shall be assigned
the nearest bank branch (if required), bank will provide login ID and Password to access their
data of A/C holders. CSP-Retail must have required space in his possession for carrying out the
services of CSP as per bank's guidelines / Pay Point India guidelines.
CSP-Retail must have a reasonably good computer system(s) with licensed software and
adequate antivirus software to run the BC's prescribed program / Pay Point India web links.
The cost and maintenance of computer system(s) and software will be borne by CSP-Retail. Pay
Point India shall have complete ownership pertaining to the device(s) given to CSP-Retail. Any
damage or wear and tear of such device(s) shall be borne completely by CSP-Retail. Also, any
breakdown in hardware and software should promptly be informed to the company. CSP-Retail
shall be provided necessary guidelines and support besides training to start the business
effectively. CSP-Retail shall maintain secrecy of transaction carried by its customers according to
Fair Practice Code. It will not resort to harassment and intimidation for lending and collection of
dues from borrowers of its customers, relatives or their friends. CSP-Retail shall issue receipts of
online transactions to customers generated through system;
Offline transaction & manual receipt will not be valid. Responsibility of issuing online receipt
shall be of CSP-Retail and any non-compliance will result in cancellation of registration. All the
cost related to off-line transactions & Manual receipts, including any legal cost, penalties,
charges by Bank or regulatory will be borne by CSP-Retail, Pay Point India reserves a right to
cancel registration of CSP-Retail.
Issue of fake notes: If CSP- Retail is found issuing fake notes against the withdrawal by customer
using CSP- Retail network, All the cost related to fake notes including any legal cost, penalties
charges by Bank or regulatory will be borne by CSP-Retail, wherein Pay Point India reserves a
right to cancel registration of CSP-Retail.
In case of illiterate customers, the CSP-Retail shall follow guidelines of IBA, RBI or the Bank
issued from time to time.
6. MAINTENANCE OF RECORDS
CSP-Retail shall maintain and ensure safe custody of all records so as to enable the Banks and
RBI or any other inspection agency appointed by them to inspect him. The Company shall have
all the rights to monitor and assess the performance of CSP-Retail and instruct CSP-Retail to
rectify the deficiencies as pointed out as a result of audit conducted by the Company/Bank/RBI.
CSP-Retail has to maintain all types of registers prescribed by Bank. It has to be maintained and
shown towards Pay Point India Network Pvt. Ltd and Bank officials. Format of the register will be
given by company and register will be at the cost of CSP-Retail.
7. CONFIDENTIALITY:
CSP-Retail is aware that all information disclosed by the bank or received by CSP-Retail are
confidential in nature and having regard to the sensitive nature of such information and record.
CSP-Retail specifically agrees to maintain secrecy and confidentiality to all information. CSP-
Retail agrees to indemnify bank and the company against all actions, claims, losses, frauds
including legal fee which bank may impose due to breach of confidentiality clause. Such claims
shall be binding on CSP- Retail. The CSP- Retail shall not, without the prior written consent of the
company use or disclose any information whatsoever relating to any transactions to any other
person or otherwise use any information acquired by it in relation to the customers other than
for the purposes of this agreement, unless such information is required to be disclosed by
statutory or regulatory authority of competent jurisdiction.
It is specifically agreed that the CSP-Retail shall act as independent service provider and shall not
be deemed to be the agent of bank; except in respect of banking transactions which gives rise to
principal agent relationship by implication. Neither CSP-Retail nor its employee(s) shall be
entitled to claim permanent absorption or benefit against the bank. The company and the CSP-
Retail are independent Business and the arrangement between them is purely contractual as
governed by the terms and conditions of respective agreement and nothing contained herein
shall be interpreted in such a way as to imply that the company, RO and the CSP-Retail are
partners or employer/employees, joint undertakers or shareholders for any purpose
whatsoever.
The CSP-Retail shall not, without the prior written consent of PPINL, perform any of its
obligations under this Agreement by employing sub-contractors or agents.
CSP-Retail shall be liable for applicability of laws concerning rendering of services as provided
under this agreement. CSP-Retail shall maintain and procure necessary licenses and approvals
from relevant authorities as per the law. CSP-Retail shall be liable for compliance of applicable
labor laws and retirement benefits, in respect of his /her establishments.
CSP-Retail shall be paid fees and commission in the manner announced by the company from
time to time or as amended from time to time and will be subject to TDS and other taxes as per
the applicable laws.
This agreement may be terminated in case of the company, by giving the CSP-Retail thirty (30)
days written notice or in case of the CSP-Retail by giving the company thirty (30) days written
notice.
The CSP-Retail shall be liable for any amount due or those have become payable prior to the
date of suspension/disconnection. The company reserves the right to offset any payment due
from the trading balance if any, payable to the CSP-Retail and shall also be entitled to
appropriate, without prejudice, any such payment to any other liability, which, at its own
discretion it deems, the CSP-Retail owes to the company/ RO relating to the company Pay Point
India Network Pvt. Ltd services. The company shall have the right to terminate this agreement in
case of voluntary winding up, unable to pay its valid debt, deficiency in services, and fraud by
CSP-Retail or any of its employees.
12. DAMAGES:
The company is hereby exampled from and shall be liable under any circumstances whatsoever
to the CSP-Retail for any loss, damage whether direct, indirect, consequential or otherwise, or
for any loss of profits, or other special damages of any kind whether within contemplation of the
parties or not, that the CSP-Retail may suffer as a result of any breach by the company on any of
its obligations under this agreement or otherwise. The CSP-Retail indemnifies the company
against any action for damages or otherwise (resulting as a direct or indirect consequence of the
company's performance), brought against it, by customer, and/or an end user and/or any other
party in bank.
13. DISPUTES:
The CSP-Retail shall be liable for all legal costs (including attorney and client costs) incurred by
the company in enforcing its rights in this agreement as well as for expenses incurred by the
company in exercising any rights arising out of breach of the CSP-Retail’s obligations herein
including but not limited to collection charges and/or tracing fees. Without prejudice to the
provisions hereof, in the event of any dispute, difference, conflict or question arising between
the parties hereto relating to or concerning or arising out of this agreement, the same shall be
referred to the sole arbitration of the chairman of the company or his nominee, whose decision
shall be final and binding on the parties. All disputes, obligations, performance, interpretations
arising out of this agreement shall be construed under Indian laws and subject to the jurisdiction
of courts at Mumbai.
The CSP-Retail shall be liable for the replacement costs of any of the relevant items should it fail
to return such equipment within thirty (30) days in good working order condition. All risks
including the risk of destruction by any kind or loss of equipment in any way shall pass on the
CSP-Retail, upon taking delivery of the equipment from the company/Pay Point India Network
Pvt. Ltd. The CSP-Retail is not permitted to sell/ transfer/ assign/ sublet the rights under this
agreement to any third party and/or assign terminal to any other party. The CSP-Retail is not
permitted to transfer or shift the place of business from one place to another place without the
prior approval of the company. Ownership and copyright to any software program associated
with the computer system shall vest solely with the company. The CSP-Retail shall be
responsible and held liable for any unauthorized copying or modifications thereto.
The company may amend or substitute any terms and conditions of this agreement and/or any
charges by giving a thirty (30) Days’ notice addressed to the CSP-Retail or by including the
amendment or substitution on or with statement sent to CSP-Retail. The company shall, with
notice to the CSP-Retail cancel or withdraw, with immediate effect, any effective discount
applicable to the CSP-Retail account. A notice sent to the CSP-Retail shall be deemed to have
been received by the CSP-Retail within seven (7) days after the dispatch date. The CSP-Retail
shall be bound by the amendments and/or substitutions unless the company has been notified
otherwise in writing within seven (7) days after receipt of notice.
The CSP-Retail undertakes not to do anything that damages the good name and reputation of
the company, its subsidiaries or its holding company and/or the Bank and shall protect and
enhance the good name and reputation of the company in the fulfillment of its obligations
under this agreement. To procure that such promotional or advertising material(s) as may be
provide by the company / Bank from time to time to CSP-Retail displayed at all times in the CSP-
Retail outlets in accordance with the directions and requirements of the company/ Pay Point
India Network Pvt. Ltd. To indemnify the company against any losses, penalties or damages
suffered by the company as a result of CSP-Retail or its outlet failure to comply with all
obligations, which may fall on the CSP-Retail arising out of this agreement, including annexure
hereto and any service level procedure manuals, as shall be made available to the CSP-Retail
from time to time. To procure the compliance of the CSP-Retail’s outlets with all provisions of
this agreement in the same manner as the CSP-Retail is obliged to comply therewith. In the
event of the company being aware of any breaches of the provisions of this clause or any
provisions of the agreement by any of the CSP-Retail outlets, the company shall be entitled,
without prejudice to any of its rights, to terminate services to CSP-Retail. Not to sell the
products/ services at prices above or below the marked price as indicated by the company
and/or not to overcharge the end user the fee/ charges prescribed by the Company/Bank. The
CSP-Retail shall be directly liable to the company, in case of breach of this condition. Not to
indulge in or promote any unlawful, illicit or illegal activity or purposes pertaining to the line of
business of the agreement or products mentioned herein. Any such activity noticed by the CSO
in the market place must be brought to the notice of the company immediately. Not to provide
service of a similar nature from a competing company from the premises during the validity of
this agreement.
CSP-Retail commission is strictly on sharing based. The company is solely authorized to decide
the percentage of sharing. Commission will be distributed after receipt from concern Bank or
from operator only. Process time will be up to 15 working days. If company is changing
commission then company will inform you by mail only.
18. GENERAL
The company shall have sole and exclusive right of whether to approve or decline to enter into
this agreement with the CSP-Retail or alternatively to exclude the offering of certain plans as
contemplated herein. The CSP-Retail agrees that all the terms and conditions mentioned herein
are all material to this agreement and agrees to comply therewith. The obligations herein shall
apply jointly and severally to CSP-Retail and his assigns. The provisions of this agreement shall,
as far as permitted by law, be binding upon the parties, executors, trustees, curators, legatees,
heirs and other successors in title. The CSP-Retail may not cede or assign any of its rights or
obligations in terms of this agreement without the prior written consent of the company.

I have understood all particulars of the investment plan chosen by me, trading process, and
margins and related terms & conditions at which services provided by Pay Point India Network
Pvt. Ltd as applicable on this date and emended from time to time. I confirm that the
Information(s)/particulars are supplied by me is correct in all respects.
AEPS Services:
Retailer should provide self-attest following documents to get register with Pay Point India.
