requirements at load/disport. (Freight basis min 65,000 MT - All-inclusive WS 2021)
3. Laydays:29-30 December 2020 (TBN 1 Day at CHOPTION)(Cancelling – 1200 hrs).
4. Loadport: Zirku Island (UAE)
5. Total laytime: 72 hours SHINC;
6. Disport: Jetty / SBM, New Mangalore;
7. Disch. Rate: Laytime as above;
8. Load/disport restrictions: Owners to ensure vessel meets all load/disport
requirement/restrictions.
9. Vessel type/Requirements: Owners to confirm vessel meeting loadport and
discharge port acceptability norms at all times.
• If suitable vsl's loadable Qty is below 65,000 MT, Charterers have the right to
reject the vsl.
• OCIMF compliant suitable vessel equipped with SPM mooring equipment.
Vessel to have minimum 40 meter parallel body length on either side of
manifold.
• Height of ship's manifold above waterline min 6 m max. 21 m. Vessel complies
with "Oil Major Approval" requirement of loading terminal as and when
applicable and with valid SIRE.

11. Notices: as per Charterers requirement.


12. CP Performa: MRPL adapted ASBATANKVOY CP with Special & Rider Clause.
13. Other terms:
a. B/Ls to be issued as per terminal procedure /requirements.
b. If vessel is available prior to laycan and Charterers have no objection in loading
her prior to laycan, the time saved at loadport to be added to the laytime
allowed to Charterers.
c. Owners confirm vessel acceptable to the loading port terminal(s) and disport(s)
and conform to supp. Country's laws.
d. Vessel to be sub to daylight inspection at the loading port. Vessel to be fit in all
respects to the satisfaction of the terminal.
e. Age not exceeding 18 years; however if vessel is above 18 years, should have
valid CAP-1 or CAP-2 rating (Condition Assessment Program) for Hull,
Machinery and Cargo equipment from IACS with SBT/PL. Reg. age norms DG
Shipping Guidelines to be complied with. However, suitability at Loadport may
have specific requirement for age of the vessel.
f. Vessel to have (3 Nos.) of 12" reducers on board.
g. Delay due to waiting for daylight /suitable Tide at discharge port will be on
owners account.
h. If quantity loaded is less than minimum due to draft restrictions at Load
/discharge port, no deadfreight on charterers account. Freight to be payable on
loaded quantity as mentioned in B/L.
i. In the eventuality of bad weather half time to count as laytime or time on
demurrage.
j. Ex Drydock, Ex Layup or Ex Dry Cargo Vessels may not be considered. If such
vessels are being considered, they will be subjected to owners agreement to
MRPL’s Clingage Clause without any deviation -
Charterer has the right to deduct the landed cost of the cargo 'short received'
above 0.15% of the Bills of Lading Quantity. The cargo ' Short received' will be
calculated as the difference between Bill of Lading figures and shore tank
receipt, as certified by single independent surveyors jointly appointed by

charterers and owners. Owner to accept one among the panel of independent
surveyors nominated by charterers.
k. Owners confirm vessel /owners comply with ISPS code/requirement. Chevron
ISPS clause to apply.
l. Shortage in Transit:
• Transit losses shall be asses on the basis of the difference between the gross
quantity, based on ship’s ullage at load port(s), after loading and the gross
quantity based on ship’s ullage at disport(s) on arrival which shall be
determined by the joint surveyor of Charterers and Owners. The joint survey
cost to be shared equally between the owners and charterer.
• In case the representative of Charterers / surveyors appointed by Charterers
are not present at the time of STS operations measurements determined by
the master / Owners representative shall be final.
• Owners shall subject to the provisions hereof be responsible for any and all
shortages in excess of 0.3% (zero point three per cent) of loaded quantity as
determined by vessel’s ullage at the load port for each voyage. The amount
equivalent to the landed cost of the cargo towards such excess losses shall be
recovered from any payments due to owner, by the Charterer. Charterers
shall provide to the Owners documentation for the landed cost of the cargo.
m. In addition to usual notices, after finalization of vessel, owners/Master to
keep MRPL, New Delhi informed every 24 hours about vessel's position.
n. Please be advised that at Loadport the suppliers may give the total cargo
separately (Viz Arab Heavy and Arab Light making Arab Mix), Owners confirm
that the above grades will be mixed onboard as per Charterer’s instructions
without the requirement of LOI from the Charterers, instead suitable
instructions will be given in the voyage orders for the same.
o. 2.5% address commission to Charterers MRPL on freight/deadfreight and
Demurrage, if any payable. s. MRPL reserves the right to take vessels (substitute
– O/O substitute vessels).

r. ADDITIONAL CLAUSE ON ACCOUNT OF CORONAVIRUS:
If the vessel is delayed in berthing, loading and/or discharging due to any measures
enacted by the port authority (incl. Declaration of force majeure) related to the corona
virus outbreak, including vessel quarantine, at any of charterer's nominated ports
(hereinafter called a “corona virus delay”), be the corona virus delay prior to or after the
expiration of laytime, the laytime used or, if the vessel is on demurrage, time on
demurrage equal to the period or periods of coronavirus delay as just described shall
count as fifty percent laytime or fifty percent time on demurrage if the vessel already
on demurrage.

Half time shall count as used laytime or time on demurrage where valid nor has not
been tendered due to delay in obtaining free pratique as a result of precautions
pertaining to the coronavirus. If charterers are unable to discharge cargo due to ullage
constraints caused due to outbreak of coronavirus and / or should charterer's
nominated port be closed or force majeure is declared by the port authority due to
coronavirus or corona virus related causes, all time waiting caused thereby shall count
as fifty percent used laytime and/or fifty percent time on demurrage.

In case any crew member/vessel is found infected with symptoms of coronavirus, any
waiting time including quarantine time at load/discharge port will not count as used
laytime or time on demurrage and any waiting / delay/cost therein shall be strictly on
owner's account

14. PAYMENT TERMS:

In case of Indian Entities: Freight/Dead freight/ Demurrage/Extra if any is to be


invoiced in INR by applying the reference rate for the currency as determined by the
Reserve Bank of India (FBIL rate) on the date of completion of discharge. If the
reference rate is not quoted on the date of completion of discharge, reference rate
available for immediate preceding date would be applicable.

In case of Foreign Owners: As per MRPL Enquiries.

Additionally following is also required to be complied with:

The Vessel/ Flag/ Vessel Owners (Registered, Technical, commercial and


Disponent) including freight/ Demurrage beneficiaries should not be featuring in
OFAC SDN LIST (OFFICE OF FOREIGN ASSETS CONTROL SPECIALLY
DESIGNATED NATIONALS AND BLOCKED PERSONS LIST) and also should not
have featured in OFAC SDN LIST in the past.

Owners to confirm that their intermediary Bank, Beneficiary Bank is ready to


handle the freight/ demurrage remittance in USD, despite their earlier call to an
Iranian port/ any other port in OFAC sanctioned countries (if any) by the vessel
for according credit to the beneficiary subject to local laws, regulations, internal
compliance, policies etc.
All foreign exchange transactions shall be in compliance with US OFAC / EU
regulations.

In case of any incorrect declaration on any of the above, causing delay in Crude
FOB payment, the vessel owner shall be liable for any additional cost incurred by
MRPL for settling the above FOB payment.

15. Time Schedule


Firm offers to be received for covering/ meeting above requirement with Bidders full
details including guarantee to perform the voyage without any difficulty. The offers to
be submitted between the given time window.
Except the Financial Part of Bid, all the documents as mentioned above to be
sent simultaneously by email to [email protected]

A. MRPL’s GUIDELINES OF OFFER AND PROCESS FOR EVALUATION


1. DEFINITIONS & CONTENTS
1.1 Offers against the subject enquiry shall be submitted, as follows:
Bid is expected to indicate the acceptance of all terms and conditions indicated
in the subject enquiry and Governing CP. It shall, however, inter-alia indicate
the following:
1. Complete Name and Address of the Vessel Owner
2. Vessel and its specifications
3. Quantity - Cargo Size with maximum loadable
4 Freight and demurrage rate
5. Acceptance of Loading Date Range/ Loading Period, including
options if any.
6. Acceptance of Delivery and Load port
7. Acceptance of Laytime
8. Details of Contact Persons, indicating their fax nos., e-mail
ids, telephone numbers, mobile numbers.
9. Period of Validity as specified in the subject enquiry
1.2 Complete Offer received by Owner and / or Broker on behalf of OWNER shall
constitute ‘Binding Offer’ as referred to hereinafter.
1.3 Time being the Essence; the Offer shall be kept open for about 3.5 hrs after
the closing period of enquiry or as mentioned in the offer itself for consideration
and evaluation of the offers by MRPL for taking vessel on subjects.
2.0 PROCESS FOR EVALUATION OF BIDS
The following Methodology would be adopted for evaluation of Offers”:
a. It is expected that Owners shall submit their bids indicating the contents as
requested, strictly in line with Terms & Conditions of the subject enquiry and
shall not take any deviations/ exceptions. If however, while scrutinizing the bids,
it is observed that there are any points in the bids, which needs to be clarified,
Owners would be requested vide a fax/ Email to clarify on these points and

would be required to submit their replies/ clarifications within a prescribed time,


indicated in the fax / Email.
b. Non-response or part-reply/clarification or maintaining the offer, initially
submitted or reply after the prescribed time, would lead to outright rejection of
offer without any further communication. However, if the reply/ clarification is
received before the prescribed time and it is observed that the bidders have not
replied/clarified in totality, as requested or maintained its initial offer, they would
be requested again to reply/clarify within prescribed time. Unless otherwise
specified, Prescribed Time, as indicated in fax/email would however be final.
c. The bidders are requested to submit their offers only at designated Fax Machines
only within prescribed time and without waiting for the closing time.
d. In case there is any inconsistency in the amount of Freight given by the Bidder in
figures and words in their offers, the amount of Freight given in the words shall
be considered as final. Further notwithstanding what is stated above, in case (a)
the Bidder quotes Freight only in figures or only in words or (b) the Bidder quotes
Freight both in figures as well as in words but one of these is received garbled in
system, MRPL shall have sole discretion either to evaluate the offer or reject the
same.
Subject to meeting all terms and conditions of the Enquiry:
I. The lowest bid in terms of freight may be considered for taking fixture on
subjects.
II. In case, the two or more bidders have quoted the same freight, the L1 will
be decided basis lower demurrage rate quoted by these bidders.
III. In the event of identical lowest bids (similar quote in more than one bid)
w.r.t to Freight and Demurrage, concerned bidders will be notified and
given the opportunity to resubmit an improved offer, maintaining the initial
bid valid at MRPLs Option, which will be received as per the prescribed
time as advised in the message inviting the revised improved offer.
IV. Bidders may also be requested to extend the Period of Validity, if required.
V. Offers may not refer directly or indirectly to another enquiry already in
force. Bidders must not take advantage of any apparent errors or omissions

in the Enquiry. In the event that bidders find any errors or omissions, they
are requested to immediately notify the Shipping Department, MRPL
3.0 GUIDELINES
(i) Offers received on Fax Nos. other than the designated ones (as mentioned
in the enquiry) or by any other mode such as email shall not be
considered by MRPL till the time MRPL adopts e-commerce platform or
any other mode.
(ii) Offers and the intermediate correspondence shall be done by Ship Broker
along with Owners Authority for same, and shall bear inter-alia reference
of Enquiry No., Number of pages faxed with numbering of pages.
(iii) The Fax should be originating from the entity registered with MRPL.
(iv) Shipping Department, MRPL would be guided by offers as received in its
system. Therefore, Bidders are requested to ensure clear transmission of
their offers/ clarifications/ replies.
(v) Offers received beyond/ outside prescribed time period shall not be taken
into cognizance.
(vi) MRPL reserves the right in its absolute discretion to accept / reject offers
without assigning any reasons whatsoever.
4.0 OTHER TERMS & CONDITIONS REGARDING SUBMISSION OF OFFERS
4.1 Enquiry would be issued through e-mail to the registered broker’s / Owners/
INSA on the Mailing List of MRPL at the e-mail addresses as authorized in the
Undertaking, received from time to time. The bidder should ensure that bids are
submitted by said authorized officials as per Undertaking. Accordingly, bids
from only these registered entities would be acceptable.
4.2.a All correspondence subsequent to issue of enquiry would be carried out through
FAX only unless otherwise specifically requested.
4.2.b Owners / Bidders are required to mention their fax numbers / designated email
id of registered broker in their offer. All correspondence would be carried out
only through FAX numbers / designated email id as mentioned in the offer,
unless otherwise specifically requested. Shipping Department, MRPL would not
be responsible for non-receipt of communication, if any, at the bidder’s end.

4.3 If not clearly mentioned, all terms and conditions of the Enquiry shall be
deemed to have been accepted, by them.
4.4 No Amendments or Modifications shall be made to the submitted offers unless
otherwise specifically requested by MRPL. No withdrawal of Offer shall be
permissible during the Period of the Validity of the Binding Offer. Shipping
Department, MRPL shall be entitled to accept the Offer made within the Closing
period without modifications, unless amendments or modifications were
specifically requested for by MRPL. Any withdrawal/ modification of Offer by the
Bidder shall entail cancellation of Registration of such entity and also
revocation of the special status (if any) of such entity. This is in addition to
other rights of MRPL in this regard.
4.5 The contents of this Enquiry are strictly confidential and non-transferable. This
Enquiry is specifically issued to the Entities in consideration of their being
Registered Entities on Mailing List of MRPL. Accordingly, it may be noted that
this Enquiry is for the limited circulation to these Entities only and therefore
shall not use or attempt to use any such information in any manner which may
injure or cause loss either directly/ indirectly to MRPL. Any further circulation
or transmission of the Enquiry or subsequent communication is strictly
prohibited. Accordingly, the offer/ communication from only Registered Entities
would be taken cognizance of.
4.6 The mailing/ communication system of MRPL has state of art technology
enabled with inbuilt security systems for scanning the e-mails/information
leaving MRPL system. However, MRPL would not be responsible for either non-
receipt of Enquiry or damages caused, if any, to the systems/ networks/
computers at the Bidders end.
4.7 Since offers would be received by fax, the following conditions shall also apply:
A. Bidders to confirm that they are authorized to make their offer by fax mode and
by exchange of Fax messages shall be a valid and binding contract between the
parties at their end.
B. By participating in the offer, Owners confirm their acceptance to MRPL’s Terms
and conditions in totality and the decision of MRPL will be final and binding.

C. The bidder whose Offer is ultimately accepted by MRPL shall send by courier /
Hand delivery, for the sake of confirmation and records, the hard copies of
following documents duly signed by authorized official, sent or received by such
party, through Fax / email, to MRPL Shipping Dept. at the address mentioned
below
1. Enquiry received through E-mail at bidders end.
2. Original Copy of Bidder’s offer Faxed from bidder’s end.
3. Faxed copy of Clarification Letter to offer, if any, received at bidder’s
end.
4. Original Copy of Reply to Clarification Letter Faxed from bidder’s end,
if any.
5. Faxed copy of Acceptance Letter received at bidder’s end.
6. Original copy of Letter of Authority from the vessel owners to the
broker.
7. Any other correspondence concerning the Enquiry and till lifting of
subjects.
8. Signed copy of CP.
Such hard copies of the abovementioned documents shall be couriered to
Shipping Dept. MRPL at the following address by the successful bidder
immediately on receipt of communication from Shipping Dept. MRPL that the
Offer of such party has been accepted and the Contract has been awarded.
