A COURSE DESCRIPTION:
Legal rules for business in Nigeria. It comprises of: The Nigerian Legal System, Law of
Contract, Contract of Sales of Goods, Law of Agency and Hire Purchase Contract

B COURSE OBJECTIVES/GOALS
At the end of this course, students are expected to:
1. Understand the rudiments of Business Law in Nigeria.
2. Appreciate the principles and the legal rules regulating the business environment
in Nigeria as well as areas in need of reforms.
3. Be equipped to survive in the business world, the corporate world and the society
in general.

MODULE ONE: GENERAL INTRODUCTION OF THE COURSE AND THE


NIGERIAN LEGAL SYSTEM
Weeks 1: Introduction to Law. Definition of Contract. Types of Contract. Elements of a valid
Contract
MODULE TWO: LAW OF CONTRACT
Week 2:Vitiating Factors of a Contract: Duress and Undue Influence, Misrepresentation, Mistake
and Non est factum.
Week 3: Privity of Contract, Discharge of Contract and Remedies for breach of Contract
MODULE THREE: SALES OF GOODS
Week 4: The Nature and Formation of the Sales of Goods, Conditions and Warranties
Week 5: Sellers’ obligations, Duties of the buyer. Remedies for breach
MODULE FOUR: LAW OF AGENCY
Week 6: Creation and types; authority of agents; rights and duties of principals and agents and
termination of agency
MODULE FIVE: HIRE PURCHASE
Week 7&8: Nature of Hire Purchase Transaction. Obligation of the parties and right of disposal.
Discharge of a Hire Purchase Contract.

MODULE SIX: ALTERNATIVE DISPUTE RESOLUTION


Week 9: Alternative Dispute Resolution
Week 10: Revision.

METHOD OF GRADING

 Mid-Semester Test = 20%


 Test and Assignments = 10%
 End of Semester Exams = 70%

GROUND RULES AND REGULATION

 The University guidelines on attendance requirements will be observed in this course


 Improper behaviour and dressing will not be tolerated during lectures.
 Active class participation will be required.
