OFFER LETTER

This is in reference to your candidature in AWC Software Private Limited (the “Company”) for the position
of Tech Lead in Operations department.
We are pleased to confirm that you have been selected for the aforementioned position with effect from
15th March, 2021 (subject to clearance of background verification report) (the “Effective Date”). As
discussed, this offer is conditional upon completion of satisfactory references that may include but is not
limited to, a review of past employment and education records.
You will be placed on a probationary period of 6 (six) months (the “Probation”) from the Effective Date; and
your confirmation shall be subjected to the satisfactory completion of services, as per the Company’s
standards; however if you fail to perform during the aforementioned period, the Company has the sole right
of either extending your probation for an additional period of 6 (six) months; or terminating your association
with the Company and the same shall be conveyed to you by the management.
The details and terms of this offer letter are incorporated and enclosed under Schedule “A”. Kindly sign and
send a copy of this letter along with the self-attested copies of documents enlisted in Schedule “B” to
indicate acceptance to the terms and conditions of this letter within 3 (three) days from receipt of this letter.

SCHEDULE A
This Schedule outlines the terms and conditions of employment with the Company during the Probation.
The Company reserves the right to change these terms and conditions as required, with due notice.
1. EMPLOYMENT

Location As determined by the Company from time to time
Hours of Work The Employee’s working hours shall be Monday to Friday as determined by
the Company and in accordance with a weekly/fortnightly/monthly shift
schedule.
Payroll Schedule Your salary will be paid to you on a monthly basis on the 1st working day of
each month for the preceding month. In case it is a holiday it will credited on
the following working day.
Probation Period To assess your fitness within Company, the first 6 (six) months of your
employment will constitute a probation period; however, the same can be
extended for an additional period of 6 (six) months if your services are found
unsatisfactory as per the Company’s standards.
2. COMPANY’S POLICIES
During your probation, you shall adhere to the rules and policies of the Company including without
limitation, the leave policy, the anti-sexual harassment policy, code of conduct, and other rules,
policies or guidelines as introduced or amended by the Company from time to time.
3. NON-DISCLOSURE
You shall not disclose any of the Company’s information received during your Probation which you
know or have reason to believe to be confidential or proprietary in nature, including technical and
financial information, business plans and marketing structure, customer-related information,
intellectual property, amongst other information to any person or legal entity. You shall be under
the non – disclosure obligation post expiry/termination of this Offer Letter.
a. You acknowledge and agree that during the Probation, and for a period of 1 (one) year after
termination of your association with the Company, you shall not engage, own, manage, operate,
join, control, participate or be connected with any other gainful or commercial employment,
business or activity, part-time or full-time, directly or indirectly, or engage in any other profitable
business connected with the dealings or activities of the Company in any way.
b. You further acknowledge and agree that during your Probation and for a period of 6 (six) months
after the termination of your association with the Company, you shall not solicit or contact any
established clients or customers in business with the Company with a view to induce or encourage
such established clients and customers to discontinue or limit any business relationship with the
Company. You agree not to induce or encourage any established clients or customers of the
Company to withdraw, limit or discontinue business with the Company.
5. TERMINATION
a. During the period of probation, you can terminate your appointment with the Company by giving
at least 30 (Thirty) day’s prior written notice or by paying 30 (thirty) days’ salary in lieu of shortfall
of notice to the Company. However, the same shall be solely determined by the Company. Your
notice period will be revised to 60 (sixty) days upon completion of your probation period.
b. At any time during this probationary period, due to any default in services or breach of the terms of
this letter, the Company may terminate your probation immediately, as per the Company’s sole
discretion. If this occurs, we would have no further obligation to you, financial or otherwise.
c. You may be terminated from duties in case you do not report to work continuously for 3 working
days without prior information or approvals. Such cases will be considered as ‘Absconding from
Duties’. If this occurs, we would have no further obligation to you, financial or otherwise. In such
cases, no relieving or experience letter will be provided.
d. Please note that upon acceptance of this offer, a background check will be conducted. Negative
response on Background Check may also lead to termination from duties with immediate effect. If
this occurs, we would have no further obligation to you, financial or otherwise.
e. At the time of leaving the Company, you shall hand over to the Company, all the information and
documents available with you, whether in electronic or physical form, in which the Company holds
any proprietary interest along with any device, gadget and other accessories and properties issued
to you by the Company during the Probation.
All the rights, title and interest in respect of ownership, assignment and transfer of any and all the
intellectual property developed by you during the Probation shall be exclusively retained by the
Company and shall be the Intellectual Property of the Company and you shall have no right over the
same. Further, any unauthorized use, assignment or transfer of any of the intellectual property of
the Company shall attract penalty and/or legal proceedings under the applicable laws.
7. CONFLICT OF INTEREST
You are advised to avoid conflicts of interest between you as an employee and the interest of the
Company in dealing with suppliers, customers, vendors, individuals and other organizations doing
or seeking to do business with the Company. If any potential conflict of interest does arise, you will
be under the obligation to promptly notify this to the management.
8. REPRESENTATIONS
a. You acknowledge and agree that you are competent to understand and sign this letter and are
capable of carrying out the duties associated as per the terms and conditions of this letter.
b. You further agree that all the information and particulars furnished by you in your resume and
testimonial for the purpose of this employment are true and correct to the best of your knowledge
and nothing contained therein is misleading.
Your rights and obligations hereunder shall be governed by and construed and interpreted in
accordance with the laws of India and shall be subject to the exclusive jurisdiction of the court
situated at Noida, Uttar Pradesh.
ACCEPTANCE:

provided herein and agree to be bound by the same.
