    PARTNERSHIP DEED

    This deed of partnership made this ___th day of September, 2014 at Lahore by and
    between :-

    1. Mr. Muhammad Ali S/O Muhammad Omer, Muslim, adult, resident of House No.
    123, Block G, Model Town, Lahore. Lahore hereinafter called the party of the first
    part.

    2. Taimoor Khan S/O Naeem Chaudhary, Muslim, adult, resident of House No. 123,
    Block K, Model Town, Lahore hereinafter called the party of the second part.

    WHEREAS the party of the first part and the party of the second part hereto have
    AGREED to join hands to carry on business in partnership on certain terms and conditions.

    NOW THIS DEED OF PARTNERSHIP WITNESSETH AS UNDER:-


    1. The name of the partnership shall be “SANA JEWELLERS” Shop No. 20, Ground Floor,
    City Centre, 30-Main Boulevard Road, Gulberg III, Lahore.

    2. That the principal place of the partnership business shall be located at Shop No. 20,
    Ground Floor, City Centre, 30-Main Boulevard Road, Gulberg III, Lahore, never the
    less business may be carried out anywhere within or outside Pakistan.

    3. The nature of the business at present shall be the sale, purchase, supplies,
    manufacturing, import and export of all kinds of Gold Jewellery.

    4. The capital in the business shall be as per books of accounts.

    5. The proportion of profit and loss of the partners irrespective of their capital
    investment shall be as under :--

    Sr.No. Name of the partner. Share in profit/loss.

    01. Muhammad Ali 50%

    02. Taimoor Khan 50%

    Any fresh capital if needed will be invested by the partners as will be agreed mutually.

    6. That the books of the firm shall be closed on 30th June each year.

    7. That the partnership is AT WILL and may be dissolved by any party giving notice of
    one month in writing to other party.

    8. That bank account/bank accounts shall be opened in the name of the firm anywhere
    in Pakistan for the purpose of the business. All such accounts shall however be
    opened and operated by the first party.

    9. That the firm shall be deemed to have effect from ___th September, 2014.

    10. That the parties hereto may draw for their personal expenses such sum of money
    as may mutually/jointly be decided such drawings, however, shall be debited to
    their personal accounts and adjusted at the close of the year.

    11. That each party shall be personally liable for individual income tax liabilities.

    12. That the event of the death of any partner his legal heirs shall step into his shoes
    and can be made a partner in this firm with mutual consent of the serving partner
    and legal heirs of the deceased.

    13. That the books of account shall be maintained and kept at the principal place of the
    business and all the parties hereto shall have equal right and access to examine and
    take copies thereof.

    14. The case of any dispute among the parties. It shall be settled mutually and shall be
    referred to arbitrators accordingly to law.

    15. That the provision of partnership act shall apply to all matter not specifically
    provided for above.

    In witnesses whereof the parties to this deed have fixed their signature in the presence
    of the witnesses on the day and year above mentioned.
