MEMORANDUM OF AGREEMENT
This AGREEMENT made and entered into by and between:
RIZZA PERCIA, of legal age, Filipino, single and a resident of Zone 5, Bubulusan,
Guinobatan, Albay, hereinafter referred to as the FIRST PARTY;
-and-
ELAINE MARI A. MURO, of legal age, Filipino, married and a resident of 0552 Santol St.,
Pag-asa, Rawis, Legazpi City, hereinafter referred to as the SECOND PARTY;
WITNESSETH:
That the PARTIES herein agreed to put up a “PISONET” Business which will be located at
Pag-asa, Rawis, Legazpi City and shall consists initially of ten (10) pisonet units and one (1)
pisoWIFI unit under the following terms and conditions, to wit:
1. TERM. The business shall commence on the 1 st week of February, 2020 or after the
completion of all the permits and licenses for the operation of the business and shall
continue until terminated as provided herein;
2. CAPITAL. The capital of the partnership shall be contributed in cash by the partners as
follows: A joint account shall be maintained for the partnership. The net monthly income
shall be deposited every end of the month and thus be divided equally by the partners.
Upon the demand of either partner, the joint account of the partners shall be maintained at
all times in the proportions in which the partners share in the profits and losses of the
partnership.
3. PROFIT AND LOSS. The net profits of the partnership shall be divided equally between
the partners and the net losses shall be borne equally by them.
4. SALARIES AND DRAWINGS. Neither party shall receive any salary for services rendered
to the partnership. Each partner, may from time to time, withdraw the credit balance in the
joint account.
5. MANAGEMENT DUTIES AND RESTRICTIONS. The partners shall have equal rights in
the management of the partnership business, and each partner shall devote her entire time
to the conduct of the business. Without the consent of the other partner neither partner shall
on behalf of the partnership borrow or lend money, or make, deliver or accept any
commercial paper, or execute any mortgage, security agreement, bond, lease, purchase or
contract to purchase, or sell or contract to sell any property for or of the partnership other
than the type of property bought and sold in the regular course of business.
6. BANKING. All funds shall be deposited in its name in such Savings account or accounts as
shall be designated by the partners. All withdrawals are to be made upon proper knowledge
of both parties.
7. VOLUNTARY TERMINATION. The partnership may be dissolved at any time by

agreement of the partners, in which event the partners shall proceed promptness to liquidate
the business of the partnership. The assets of the partnership shall be used and distributed in
the following order: (a) to pay or provide for the payment of all the partnership liabilities
and liquidating expenses and obligations; (b) to equalize the income accounts of the
partners; (c) to discharge the balance of the income accounts of the partners ; (d) to equalize
the capital accounts of the partners; (e) to discharge the balance of the capital accounts of the
partners.
IN WITNESS WHEREOF, we have hereunto set our hands this ___ day of
