DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale of Large Cattle (“Deed”) is made, executed and
entered into by and between:

[NAME], single/widowed/married to ________, [both] Filipino,


of legal age, with postal address at __[Address]________,
hereinafter referred to as the “SELLER”;
- and -
 
[NAME], single/widowed/married to ________, [both] Filipino,
of legal age, with postal address at __[Address]________,,
hereinafter referred to as the “BUYER”
 
WITNESSETH: That

1. CATTLE

The SELLER has agreed to sell to the BUYER, and the BUYER has agreed to
purchase, under the terms and conditions specified herein, the following
described cattle (hereafter “the SUBJECT PROPERTY”):

The subject property is located at [address] and will remain in such location,
pending delivery to the BUYER, unless otherwise agreed or instructed by the
latter.

2. DELIVERY

All cattle are to be delivered with a clear title. Delivery of the cattle shall be

3. WARRANTY OF GOOD CONDITION

All cattle are to be of sound and merchantable condition, and free of any
contagious disease(s).

The warranties made by the SELLER have been relied upon by the BUYER, and
are material considerations for the BUYER in having agreed to purchase the
SUBJECT PROPERTY.
Cattle that are blind, crippled, locoed, lump-jawed, or otherwise deformed and
unmerchantable, may be rejected by BUYER

4. CONSIDERATION

For and in consideration of the foregoing premises, which are essential


conditions of this Deed, the BUYER agrees to pay to the SELLER the total sum
of ________________ PESOS (PhP ________________ ) Philippine currency.

A down payment of (PhP _________________ ) shall be paid by the BUYER upon


execution of this Deed, receipt of which is hereby acknowledged by the SELLER.

The balance of the purchase price amounting to (PhP _________________ ) shall


be paid by the BUYER upon completion of delivery under the above-described
terms in this Deed.

Upon full payment of the consideration and completion of delivery, the SELLER
hereby CEDES, SELLS, TRANSFERS and CONVEYS unto the BUYER, his
assigns and successors-in-interest, the SUBJECT PROPERTY and all the
SELLER’S rights, title and interests to such SUBJECT PROPERTY.

5. TAXES, DUTIES AND FEES

All costs arising from the implementation of this Deed, including but not limited
to taxes, insurance, bank charges, documentation fees, processing fees, broker
fees, customs fees, notarial fees, and other miscellaneous charges, shall be for
the account of the BUYER.

6. BINDING EFFECT

This Deed shall inure to the benefit of and shall be binding upon the heirs,
executors, successors, administrators and assigns of both parties.
