1 A Just in a general sense, control person is somebody

2 that controls the company, but from a strictly, you know,

3 legal sense I would go by officer, director, 10 percent

4 shareholder.

5 Q And how long have you had that understanding about

6 control person?

7 A I don't know.

8 Q Again, for purposes of filing registration

9 statements, do you have an understanding of the term

10 promoter?

11 A I know that there's a legal definition of promoter,

12 but I don't know, you know, again, I just sort of all into

13 the affiliate class.

14 Q And how long have you had that understanding?

15 A I don't know.

16 Q At least 15 years?

17 A Yes.

18 Q Is that the same for control person?

19 A Yes.

20 Q Let me now hand you what today has been marked as

2 Q Now, it says Anslow & Jaclin LLP attorney trust

3 2004. What is that?

4 A Just our trust account, Anslow & Jaclin trust

5 account.

6 Q Who prepares these types of documents, or who

7 prepared these types of documents during the Anslow & Jaclin

8 period?

9 A When you say prepared, the ledgers, who kept the

10 ledgers?

11 Q It was usually Jen Zammit.

12 Q And did she also have responsibility for entering

13 the data?

14 A Yes.

15 Q Do you have an understanding as to how Ms. Zammit

16 received the data in order to prepare the ledgers?

17 A Wires would come into the bank account and they

18 would e-mail us with confirmation of the wire coming in, or

19 in the case of checks the sole wires, but in case of checks

20 she would get the check and make sure it was deposited into

21 the trust account.

22 BY MR. BENDELL:

23 Q When you say they would send an e-mail confirming a

24 wire, do you mean the bank?

25 A The bank, Wells Fargo, Wachovia, whatever, over

5 Q Who received copies of the attorney ledgers?

6 A I'm not sure I fully like in general, I mean

7 nobody, unless they were printed out or somebody asking them,

8 you know, nobody would get copies. In a general sense.

9 Q Did you ever ask for copies?

10 A Yeah, there would be times, yeah.

11 Q So there was no regular circulation of attorney

12 trust ledgers?

13 A No.

14 Q Did anyone else other than Ms. Zammit receive

15 copies of the e-mails that a wire had been received?

16 A I'm not even so sure she got them. I know I got

17 them. I know Rich got them, Rich Anslow. I'm pretty sure my

18 office manager got them, Karen Helfgott, H-E-L-F-G-O-T-T. I

19 don't remember if Jen got them or we got them and then sent

20 them on to Jen, I just don't remember. She got them. I

21 think she got them also. Sorry.

22 Q Why did you get them?

23 A Just so we knew when buyers came into the trust

24 account. We also get them for the business account too.

25 Q Now, what are these amounts what do these amounts

13 at the list and let me know if you recognize those names?

14 A I know Harvey Kesner, he's an attorney.

15 Q And do you work have you worked with Mr. Kesner

16 before?

17 A Yes.

18 Q What type of work have you done with him?

19 A Securities work.

20 Q What type, you've covered a lot.

21 A Reverse mergers.

22 Q Anything else other than reverse mergers?

23 A Not that I could recall off the top of my head. He

24 is a partner at Sichenzia Ross Friedman Ference, so he was

25 technically my partner for a month.
