    necessary to be concluded to carry the objectives and operations of the
    Program, including but not limited to the use and/or availment of certain
    facilities and resources of MCC; and

    (ii) to sign, execute and deliver any and all applications,


    contracts, documents, forms, instruments and/or other similar writing with
    the signature of any one ( ) any two ( ) or all of them ( ), for and in
    behalf of the Partnership.

    RESOLVE FINALLY, as it is hereby resolved, that the partnership ratifies and


    confirms the acts of the named signatories signing in the manner indicated above
    relative to the authorities and powers herein granted them.”

    3. That the foregoing resolutions have not, in any way, be amended, rescinded, or
    revoked, and are in full force and effect as of date hereof.
