    At a meeting of Board of Directors of XXX (“Corporation”) at 7F Villa, Bldg. Osmena Ave.


    Cebu City on _________ of which the quorum was present and acting throughout the
    meeting:

    WHEREAS, DEF. will donate to XXX a property located at Magallanes-


    Maragondon Road, Cavite, Philippines consisting of 12 hectares more or
    less covered by Transfer Certificate of Title No. ____;

    WHEREAS, I2I will accept the said donation;

    NOW, THEREFORE, BE IT RESOLVED, AS IT IS HEREBY


    RESOLVED, that ABC is hereby authorized to sign the Deed of Donation
    as having accepted on behalf ofXXX the donation of DEF Inc,

    IT IS, FUTHER, RESOLVED THAT ABC is also hereby vested with


    authority to process the payment of the donor’s tax, transfer of title and
    all other processes necessary following the execution of the deed of
    donation or appoint someone for these purposes without need of a
    Special Power of Attorney (SPA).
