CONTRACT OF LEASE

This agreement made and entered into by and between ARLENE S. QUIMPO, of
legal age, Filipino citizen, married, and with residence and postal address at Panday St.,
Goa, Camarines Sur, hereinafter referred to as the LESSOR;

AND

BLESIDLA L. ALFON, of legal age, married, Filipino citizen, and with residence
and postal address at Maymatan, Goa, Camarines Sur, hereinafter referred to as the
LESSEE;

WITNESSETH:

1. TERMS- The lease shall be for one (1) year renewable at the option of the parties but
if any one would like to terminate the term before its expiration, a notice in writing will
be provided by either party to the other within six (6) months from the date of this
contract, and from the date of notice, the lessor agrees to give the lessee six (6) months
to prepare the latter to vacate or leave the leased premises;

2. AMOUNT OF RENT- The LESSEE shall pay a monthly rental of Five thousand five
hundred pesos (Php 5,500), net of tax, without any deduction whatsoever, to be paid in
full, every last week of each month, such payment to be made to the LESSOR and/or her
authorized collector;

3. All electric, water, telephone and other charges shall be for the account of the
LESSEE;

4. USE OF PREMISES – The premises hereby leased shall be used exclusively for
commercial/restaurant purposes and shall not be diverted to any other purpose without
the consent of the LESSOR;

5. ALTERATIONS, ADDITIONS, IMPROVEMENTS, ETC. – The LESSEE shall not make any
alteration, addition or improvement without the prior written consent of the LESSOR. All
such alterations, additions or improvements made by either party in the leased
premises except the movable furniture put in at the expense of the LESSEE and
removable without defacing or injuring the leased premises shall become the property
of the LESSOR and remain upon and be surrendered with the premises as part thereof
upon the termination of the lease, without the compensation of the LESSEE;

6. SUBLEASE AND TRANSFER OF RIGHTS – The LESSEE shall not assign or transfer her
right in this contract to the third party not leases premises at all times;

7. That in the event of the withholding tax, value added tax, or substitute statutory
imposition is implemented, the LESSEE agrees to assume the tax or such statutory
imposition;
8. CARE OF LEASED PREMISES – The LESSEE shall, at her expense, maintain the leased
premises in a clean and sanitary condition at all times;

9. INSPECTION OF PREMISES – The LESSOR or her authorized agent shall, by previous


arrangement with the LESSEE, have the right to enter the leased premises at any
reasonable time to examine the same, make alterations or repairs, or for the operation
or maintenance of the building or its installations;

10. REPAIRS AND RENOVATION – The LESSEE obligates herself to undertake on her own
account minor repairs and renovations on the premises and facilities therein without
any reimbursement on the part of the LESSOR;

IN WITNESS HEREOF, the parties hereto set their signatures this ________ day of
