    NOTICE OF PRE-TERMINATION OF
    MEMORANDUM OF AGREEMENT

    Madam:

    In accordance with the “Pre-termination clause” of the Memorandum of


    Agreement executed September 6, 2006, with a term of five (5) years
    or until September 6, 2011, the herein parties hereby serve this Notice
    of Pre-termination, which shall take effect within thirty (30) days from
    receipt hereof, on the following grounds:

    1. Failure to provide technical assistance to the Corporation since


    execution of the subject Memorandum of Agreement resulting to
    substantial losses of the Corporation;

    2. Failure to provide other form of assistance, such as fertilizers,


    pesticides, aerial spray that resulted to the poor quality of
    Corporation’s produce, hence, the latter has not been provided
    with “plant code” of the buyer.
