    Dear Sir,

    RE: EXCLUSIVE AGENCY AGREEMENT

    We refer to our agency appointment letter dated August 5, 2013 and wish to
    augment and supplement the terms of the said letter as follows :-

    1. Appointment

    We confirm the appointment of Ara Ofsshore Engineering & Services Sdn.


    Bhd. (“Ara Offshore”) as (company name) (“?”) agent on the terms as set
    out hereunder and in the attached Appendix 1

    2. Duration and Commencement

    The appointment of “Ara Offshore” shall be for a period of 2 years


    commencing from August 5 2013. Any renewal thereafter shall be in
    writing between ? and Ara Offshore.

    Any termination of this agency before the stated expiration shall be


    mutually agreed between ? and Ara Offshore.

    3. Scope of Agency

    The appointment of Ara Offshore shall be for the marketing, distribution and
    application of all of company name products such as STDN Omnipure (Marine
    Sewage Treatment) , STDN Sanilec (Sea Water Electrochlorination), STDN
    Seaclor (Sea Water Electrochlorination),UAT Membrane Filtration (Reverse
    Osmosis – Watermaker) and any other product developed and owned by ? and
    other related matters to be undertaken in the oil and gas market in the territory of
    Malaysia.
    4. Exclusivity

    ARA Offshore shall be ? exclusive agent in the oil and gas market in
    Malaysia during the period of the appointment. During such time, ?. shall
    not appoint any other party to undertake that which has been provided to
    ARA Offshore herein.

    Similarly, during the period of appointment, ARA Offshore shall not


    compete with ?. or assist any other party to compete with ?. or collaborate
    with any competitor of ?.

    5. After Sales Service

    The after sales service to be provided by ?. shall be the standard service


    customarily offered by ?. unless otherwise agreed between ?. and ARA
    Offshore.

    6. Training

    ARA Offshore shall make available the relevant personnel to be trained by


    ?. with regard to the products and services offered by ?. The training shall
    be at such time and for such duration as may be agreed between ?. and
    ARA Offshore.

    7. Governing Law

    The governing law in respect of the appointment of ARA Offshore and the
    terms applying thereto shall be Malaysian law.

    Please signify your agreement to the matters here by signing and returning to us
    a duplicate copy of this letter.
