AGREEMENT WITH ACCOUNTANT

$(/+ !)E&E,(&E+ in consideration of the 01t1al covenants set forth herein and intending to be legally
bo1nd+ the parties hereto agree as follows7
1. PARTIES TO THIS AGREEMENT
!he Client+ in order to properly cond1ct its b1siness+ e0ploys the Acco1ntant. !he Acco1ntant is d1ly
licensed by the laws of this state and engaged in the b1siness of providing independent acco1nting
services and assistance to clients.
2. SERVICES TO BE PROVIDED
%1ring the length of this contract+ the Acco1ntant shall serve the Client and perfor0 any and all services
in acco1nting and ta9 0atters as the Client re;1ires in connection with the Client<s b1siness incl1ding the
preparation of acco1nting state0ents+ ta9 reports and ret1rns. !he Acco1ntant will also provide
s1pervisory and advisory services to the Client when re;1ested.
3. PAYMENTS TO ACCOUNTANT
!he Client agrees to pay the Acco1ntant for services at the following rates7

4. WHEN PAYMENTS ARE DUE
!he Acco1ntant shall bill the Client on a reg1lar basis for services rendered which bills will be d1e and
payable 1pon receipt.
5. TERM OF AGREEMENT
!his agree0ent shall beco0e effective 5%A!E6 and shall contin1e in effect 1ntil 5%A!E6 or 1ntil ter0inated
in accordance with this agree0ent.
6. TERMINATION OF THIS AGREEMENT
!his agree0ent 0ay be ter0inated by either party on 5$U.*E&6 days notice to the other party. All s1ch
notices shall be by certified 0ail or delivered personally.
7. ENTIRE AGREEMENT
!his contract e9presses the entire agree0ent between the Client and the Acco1ntant regarding this
0atter. !his agree0ent can only be 0odified with another written agree0ent signed by both the Client
and the Acco1ntant. !his agree0ent shall be binding 1pon both the Client and the Acco1ntant and their
respective heirs+ legal representatives and s1ccessors in interest.
8. LEGAL FEES
f either party brings a law s1it in order to enforce or interpret the provisions of this agree0ent+ the
prevailing party shall be entitled to reasonable attorney<s fees in addition to any other relief to which that
party 0ay be entitled.
9. GOVERNING LAW
!his agree0ent shall be interpreted according to the laws of the State of 5S!A!E:P&(-$CE6.
10. INDEPENDENT CONTRACTORS

*oth the Acco1ntant and the Client agree that the relationship created by this agree0ent is that of
independent contractor and not that of e0ployee and e0ployer. !he Acco1ntant is responsible for the
pay0ent of any ta9es+ incl1ding witho1t li0itation+ all ,ederal+ State and local personal and b1siness
inco0e ta9es+ sales and 1se ta9es+ other b1siness ta9es and license fees arising o1t of the activities of
the Acco1ntant.
