Plaintiff Red I lead, Inc. ("RI.II") alleges on knowledge will] respect to its owl)
2 actions and those of" its attorneys and on information and belief with respect to all other matters as
3 follows:
5 1. Renowned rock musician Sammy I lagar has developed trademarks, trade dress and
6 other valuable intellectual property associated with the Cabo Wabo brand, which are used in
7 connection with restaurants, nightclubs, and merchandise. The Cabo Wabo brand is highly
8 ;distinctive and has achieved recognition with the consuming public as being associated with
9 premium duality goods and services. RI-11 licensed the Cabo Wabo trademarks and trade dress as
10 well as Sammy Ilagar's likeness and name to defendant Fresno Rock 'taco L,L,C ("Rock "haco") for
II use at the Fresno Cabo Wabo Cantina, developed, owned, and managed by defendant Rock "faco.
N 12 JThe Fresno Cabo Wabo Cantina is itself part of the Fresno Granite Park project being developed by

V- 0 13 defendant Rack Taco's principal, Milton I3arbis. Rock Taco has breached the license agreement (the

m 14 "License Agreement") by among other things failing to pay any royalties and refusing to provide
15 books and records necded to perform audits required by the license. The Fresno Cabo Wabo Cantina
16 is a disaster, as is the entire Granite Park development. The mismanagement by defendant and its
17 principal I3arbis, their failure to pay employees, vendors, lenders, and even the City of Fresno, and
18 the poor duality of the goods and services they have offered under the Cabo Wabo brand have
19 denigrated and continue to devalue the Cabo Wabo brand and the name and likeness of Sammy
20 Hagar with which the Cabo Wabo brand is inextricably associated. Defendant has diverted revenues
21 from the Fresno Cabo Wabo Cantina to other projects being developed by defendant's principal,
22 I3arbis, while refusing to pay royalties owed to RI-II. Defendant's conduct has caused a flood of
23 negative publicity about the Fresno Cabo Wabo Cantina and the development of which it is a part.
24 No later than November 6, 2008, RHI notified defendant that it was in breach of the license and that
25 it had seven days to cure its breaches. Defendant failed to do so. Accordingly, on November 14,
26 RHI notified defendant that the license was terminated and that defendant's right to use or display
27 any of the Cabo Wabo trademarks and trade dress, and the name and likeness of Sammy Hagar,
28 would terminate 30 days later, on December 14. In those 30 days and to date, defendant has taken

m 14 4. The Court has original subject matter jurisdiction over the Lanham Act claims fior
15 relief under 15 U.S.C. § 1121(a) and 28 U.S.C. §1338(x), The Court has supplemental jurisdiction
16 over the claims for relief arising under California law under 28 U.S.C. § 1367.
17 5. The Court has personal jurisdiction over defendant because defendant Rock Taco is a
18 California entity with its principal place of business in California during the time relevant to this
19 complaint.
20 6. Venue is proper in this district under 28 U.S.C. § 1391(b) because this is the district
21 in which Plaintiff and Defendant entered into the License Agreement that is at issue.
22 7. Jurisdiction and venue is additionally proper in this district under paragraph 19 of the
23 License Agreement.
24 PARTIES
26 California. RI-11's business is to market and license the intellectual property created by Sammy Hagar

located in Fresno, California. Rock Taco is doing business as the restaurant and nightclub in Fresno,
2 Cabo Wabo Cantina ("Fresno Cabo Wabo"). Milton 13arbis, not named as a party at this time, is a

19 12. RIII is the licensor of the Cabo Wabo trademarks and trade dress for use in
20 connection with restaurant , bar, and night club services, and associated retail merchandise. RI-II is

21 ! also the licensor of the Sammy Hagar name and likenesses for use in connection with restaurants,
22 ` nightclubs , and merchandise . The Cabo Wabo trademar ks and trade dress and the name and likeness
23 of Sammy I-Iagar are sometimes referred to collectively as the "Cabo Wabo Marks."
24 13. Sammy Hagar is a rock legend, both on his own and as the lead singer for the rock
25 group, Van flalen. In 2007 he was inducted into the Rock and Roll Hall of Fame. Fans associate the
26 Cabo Wabo name and marks with Sammy Hagar . Sammy Hagar has always had a special
27 relationship with his fans in Fresno and regularly makes Fresno a stop on his conceit tours.
28 14. The Cabo Wabo trademarks consist of distinctive text and images. Some Cabo Wabo

15. Certain Cabo Wabo trademarks are federally registered tradcnaarl<_s. The marks arc
5 invalid and incontestable under the Lanham Act, 1.5 U.S.C- § 1065. A list of the relevant trademarks
7 { 16. The Cabo Wabo distinctive trade dress, includes among other things a restaurant in
8 the style of a beach cantina , part of which is built to resemble the trademark Cabo Wabo lighthouse.
9 The ulterior and exterior of the restaurant is adorned with Sammy Hagar images and memorabilia,

13 to the words, images and trade dress that it has diligently sought to protect as part of the Cabo Wabo

15 1^distinctivc or had acquired secondary meaning prior to the execution of the License Agreement.
16 18. Plaintiff has the right to license the Cabo Wabo trademarks and trade dress under ail
17 agreement with the owner of the trademarks and trade dress, Cabo Wabo LI-C. The agreement also
1.8 gives RHI the right to protect the marks by legal action brought in its own name. R1-11 also has the
19 right to license the name and likeness of Sammy Hagar by agreement with Sammy Hagar, and to
20 bring legal action in its own name to protect that intellectual property.
21 19. The Cabo Wabo Marks are extremely valuable assets to RH1 because of the goodwill
22 they represent, and Rf11`s business, which derives from its licensing activities, relies on the duality
24 20. On or about December 7, 2006, RI-11 and Rock Taco entered into the License
25 Agreement. The License Agreement authorized Rock Taco to use the Cabo Wabo Marks in
26 connection with a restaurant, night club, and retail establishment, the Fresno Cabo Wabo, that was to
27 be constructed in The Village of Granite Park in Fresno. The License Agreement also gave Rock
28 Taco the right to use the Sammy Hagar name and likeness in connection with the Fresno Cabo Wabo

I restaurant. A truc and correct copy of the License Agreement is submitted under seal as I:?yhibit A
21. The Fresno Cabo Wabo incorporates the Cabo Wabo Marks. The restaurant
4 resembles a beach cantina with large signs inside and outside bearing the Cabo Wabo name and
images. One entire outside wall of the restaurant is painted with a neural of Sammy Hagar that is
6 ^ captioned "Where The Land l:snds., .Thc Party Begins," The restaurant includes the Cabo Wabo
lighthouse as one of the main structural features. Sammy Hagar's name and likeness are displayed
8 throughout the Fresno Cabo Wabo. Sammy Hagar memorabilia are also displayed throughout.
9 Photographs of the Fresno Cabo Wabo taken on or about Friday, December 19 are attached as
10 13xhibit C.
11 22. Defendants have breached the License Agreement in at least the following respects.
12 They have failed to pay any royalties since the restaurant opened. Indeed, the bank refused payment
13 on the one royalty check that defendants purported to provide to RHI, They have refused access to
14 necessary books and records to perform required audits. `fhey have denigrated and devalued the
5 Cabo Wabo Marks by their mismanagement, by providing poor quality goods and services, and by
6 failing to pay employees, vendors, lenders, and even the City of Isresno. While failing to pay IZHI or
17 its vendors and employes, defendants have diverted funds from the revenues of the Fresno Cabo
18 Wabo to entities related to Barbis. Defendants' misconduct has caused a flood of negative publicity
19 for the Fresno Cabo Wabo and the Cabo Wabo brand. Attached as Exhibit Dare examples of the
20 negative publicity surrounding the Fresno Cabo Wabo, and defendant Rock Taco, and defendant's
21€ principals.
22 23. Accordingly, on November 6, 2008, RI T notified Rock 'faro in writing that it was in
23 breach of the License Agreement and that it had seven days to cure its breaches. Rock Taco failed to
24 cure.
25 24. On November 14, 2008, Rl l notified Rock Taco in writing that it had failed to cure
26 ' and that the License Agreement was terminated. RHI further notified Rock Taco that it had thirty
27 days, to December 14, to remove and cease use of all the Cabo Wabo Marks licensed under the
28 agreement.

1 13 25. In those 30 days and to date, defendants have taken virtually no steps to remove or
2 cease use ofthe Cabo Wabo trademarks and trade dress or the namc and likeness o(Sannny }'lagar•.

3j 26. On December 10, 2008 RIII sent Rock Taco its terrnination r'eduiremcnts for
d. removing Cabo Wabo branding from the premises, returning property obtained from R HI, and
5 dismantling or converting; the trade dress. At one point, defendants claimed that they had sought a
6 permit to remove or change the Cabo Wabo lighthouse, a key element of the Cabe Wabo Marks.
7 RI-11 asked for evidence that defendants had sought or obtained the required permits. Defendants
8 refused.
9 27. On December 15, 2008, RHI confirmed Rock Taco that the 30 day period had
10 expired on December 14 and with it any right to display or use the Cabo Wabo Marks.
11 28, To date, Fresno Cabo Wabo continues to operate under the Cabo Wabo name, Rock
12 Taco has failed to remove virtually any of the signage, paint over the images of Sammy Hagar, or
13 obtain the building permits necessary to remove or change the structural aspects of the lighthouse.

15 29. Every day that the restaurant and night club operates under the Cabo Wabo brand
16 soils the name, reputation, and good will that the Cabo Wabo Marks have developed over the years,
a 17 Rock Taco's unauthorized use of the Cabo Wabo marks and trade dress, and Sammy I lagar's name
18 and likeness, irreparably harms the ability to maintain the distinction and value of its .marks, and
19 damages Sammy Hagar's reputation. The damage is particularly great because Sammy Hagar holds
20 his Fresno fans in high esteem, and Sammy Hagar and the Cabo Wabo Marks have long been popular
21 in the Fresno area. It will take a great deal of effort and time to restore that popularity in the Fresno

27 31. Plaintiff is licensed to use and enforce the Cabo Wabo registered trademarks and
28 trade dress. The Cabo Wabo registered trademarks and trade dress are in full force and effect, and

10 regarding the source of defendants' services, and causes harm to plaintiff and the public. Customers

14 materials is likely to cause confusion or mistake, or likely to deceive the public, thereby constituting
15 infringement of the Cabo Wabo Marks in violation of Section 32 of the I_,anhain Act, 15 U.S.C.
16 1114.
17 36. As a proximate result of def'endants' actions, RI-11 has suffered and will continue to
18 suffer ongoing and irreparable injury for which RIII has no adequate remedy at law.
19 37. Defendants' acts of infringement have been and continue to be deliberate, willful and
20 wanton, making this an exceptional case within the meaning of 15 U.S.C. § 1117.
21 38. For the foregoing reasons, RIJI is entitled to a preliminary and permanent injunction,
22 as well as all other remedies available under the Lanham Act, including, without limitation,
23 ' compensatory damages, treble damages, disgorgement of profits, costs and reasonable attorneys'

18 ° both while they operated under the License Agreement and after the License Agreement was
19 ternrinated. By using the Cabo Wabo Marks in commercial advertising or promotion, defendants
20 misrepresent the nature, source and quality of defendants' goods and services.
21 46, Such use is likely to cause mistake and/or confusion, or to deceive customers, and

22 has caused such confusion and mistake, regarding the source of defendants' goods and services, and
23 causes harm to plaintiff and the public. Customers who frequent the Fresno Cabo Wabo are likely to
24 believe that defendants' restaurant and nightclub goods and services are still affiliated with,
25 authorized by, or sponsored by plaintiff and Sammy Hagar, and their licensees. Defendants' conduct
26 has harmed plaintiff's ability to do business and to distinguish its goods and services in the
27 marketplace. Defendants' wrongful use in commerce of the Cabo Wabo Marks in their promotion
28 and advertising materials is likely to cause confusion or mistake, or to deceive members of the public

25 72. Plaintiff, as licensor of the Cabo Wabo Marks has the right to authorize, control the
26 use of, and enforce the Cabo Wabo brand by legal action in its own name.
27 73. Defendants' hold overuse of the Cabo Wabo Marks unlawful trademark

Changes are planned at Fresno's Cabo Wabo as the relationship between Milt Barbis, the
club's owner/developer, and chain founder Sammy Hagar continues to strain.
Cabo Wabo -- one of the cornerstones of Barbis' financially troubled Granite Park complex --
has stopped serving lunch and is now open only Tuesday-Saturday starting at 4 p.m.
Lindsey Ashjian, the publicist for Granite Park, said on Wednesday that more changes will
be announced next week, but she would not give specifics.
"There are some changes we'll be
announcing in due time," Ashjian said. "All
those changes will be wonderful for the
club, Weil have a little more freedom to do
the things that we are wanting to do."
This comes in response to rumors swirling
around Fresno 's music and entertainment
circles this week about the future of Cabo
Wabo -- most of them having to do with
the relationship between Barbis and
Hagar , and their agreement to license the
Cabo Wabo brand.
Ashjian denied rumors that Cabo Wabo is
closing this week, that Cabo Wabo Enterprises filed a cease-and-desist order against Barbis.
and that Hagar is suing Barbis.
"There's absolutely no lawsuit," Ashjian said. She said Cabo Waha is not closing and that
events are planned for later this week and even into January.
Sammy's son, Aaron Hagar, has performed and booked bands to play at Fresno's Cabo
Wabo. Asked whether he had any insight to offer, Aaron Hagar responded by e-mail: "I
certainly do, but unfortunately I cannot respond. It is a legal matter I suppose."
Representatives for Hagar and Cabo Wabo corporate would not comment.
Cabo Wabo opened in August after a few years in the works and much anticipation, it drew
big crowds upon opening, most notably for a free show by Hagar in October.
Around that time, Granite Park's financial troubles were brought to light. Despite the crowds
at Cabo Wabo and its nearby restaurants, the Granite Park development as a whole had
mounting bills, had a city-backed $5.5 million loan that hadn't been paid in a year and faced
the possibility of foreclosure.
Barbis, at the time, cited a lack of financing but said he had things under control.
"Things may go slow, but, in the end, I come through," he said in October.
In November, Barbis' relationship with Hagar saw its first public fracture, when the ex-Vail
Halen rocker issued this statement:
"I want to be very clear on one point -- the Cabo Wabo Cantina in Fresno is not owned or
run by me or anyone associated with the Cabo Wabo organization...."
"Through our licensing agreement, I have granted the use of the Cabo Wabo name and
logo, as well as my name and image to Fresno Rock Taco, LLC. If Mr. Barbis cannot meet
the established guidelines for use of those trademarks, I am well within my rights to cancel
the contract with his company."
While the drama brews, Cabo Wabo is trying to bulk up its evening entertainment options. it
recently started a weekly Thursday night showcase for local bands. Tonight's show will
include Suppressors, DB & The Struggle and More Than Without.
Ashjian also confirmed upcoming blues concerts with Tommy Castro (Jan. 8) and Elvin
