Surrender of Sublease
WHEREAS by a sublease dated (the “Sublease”) the Subtenant leased from the
Sublandlord certain premises described as which premises are more particularly described
in the Sublease (the “Leased Premises”), for a term of as provided therein (the “Term”);
AND WHEREAS the Subtenant desires to surrender the Sublease and vacate the Leased
Premises as of (the “Termination Date”);
NOW THEREFORE in consideration of the mutual covenants and agreements herein contained
and for other good and valuable consideration (the receipt of which is hereby acknowledged), the
parties hereto agree as follows:
1. Surrender of Sublease. The Subtenant shall and does hereby surrender and yield up unto
the Sublandlord, its successors and assigns, the Sublease and the Leased Premises to the
intent that the unexpired residue of the Term subsequent to the Termination Date and any
renewal, option, right or privilege created by the Sublease and all other estate and interest
of the Subtenant in the Leased Premises subsequent to the Termination Date shall be
terminated.
2. Covenant of Subtenant. The Subtenant, for himself, his heirs, executors, administrators
and assigns, or for itself, its successors and assigns, as the case may be, covenants with the
Sublandlord, its successors and assigns, that the Subtenant has good right, full power and
authority to yield up and surrender the Sublease and the Leased Premises and appurtenant
rights in the manner aforesaid, and that the Subtenant has not at any time done any act
whereby the unexpired residue of the Term has been or may be in any way charged or
encumbered.
3. Vacant Possession. The Subtenant shall yield up vacant possession of the Leased
Premises in accordance with the Sublease and permit a right of entry thereto by the
Sublandlord as at 5:00 p.m. on the Termination Date.
4. Agreement to Pay. The Subtenant agrees to pay to the Sublandlord all rentals and other
charges accruing due under the Sublease to the Termination Date.
6. Enurement. This Agreement shall enure to the benefit of and be binding upon the parties
hereto and the heirs, executors, administrators and assigns, or successors and assigns, as
the case may be, of the Subtenant, and the successors and assigns of the Sublandlord.
