PREAMBLE
We the baptized members of the Church of Christ, responding in faith to the call of the
Holy Spirit through the Gospel, desiring to unite together to preach the Word, administer
the Sacraments, and carry out Gods mission, do hereby adopt this constitution and
solemnly pledge ourselves to be governed by its provisions and, in so doing, abide by the
basic tenets contained in the Catechism of the Evangelical Catholic Church (ECC). In
the name of the Father, and of the Son, and of the Holy Spirit, Amen.
Chapter 1

NAME AND INCORPORATION

C1.01

The name of this congregation shall be HOLY COMMUNION CHURCH.

C1.02

For the purpose of this constitution and the accompanying bylaws, the
congregation is hereinafter designated as this congregation.

C1.03

This congregation shall be incorporated under the laws of the State of


Oregon.

Chapter 2

PROFESSION OF FAITH

C2.01

This congregation shall worship the One True Triune God Father, Son,
and Holy Spirit.

C2.02

This congregation shall be part of Gods Kingdom, unconditionally


embracing all persons of faith, and all persons seeking to discover or
rediscover their faith.

C2.03

This Church shall be subject to the creedal statements established by the


Ecumenical Councils of the Universal Church at Nicaea,

Constantinople, Ephesus, and Chalcedon.


C2.04

This congregation accepts, as the definition of Christianity, the creed


defined by the Ecumenical Council of Constantinople of AD 381,
and commonly referred to as the Nicene Creed.

C2.05

This congregation accepts the Apostles Creed, the ancient creed of


Baptism, as a valid statement of faith to recall our Baptismal
Covenant. This is the creed cited at the Eucharist.

C2.07

This congregation accepts the Athanasian Creed as a valid statement


of Trinitarian theology and Christology.

Chapter 3

NATURE OF CHURCH

C3.01

This congregation accepts the definition of Church as the Body of which


Jesus Christ is the Head and of which all baptized persons are members.
The Church is further described as one, holy, catholic, and apostolic.

C3.02

All power in the Church belongs to our Lord Jesus Christ, its head. All
actions of this congregation are to be carried out under His rule and
authority.

C3.03

The Church exists both as an inclusive fellowship and as local


congregations gathered for worship and Christian service. Congregations
find their fulfillment in the universal community of the Church and the
universal Church exists in and through congregations. The Evangelical
Catholic Church, (hereinafter referred to as ECC), therefore, derives its
character and powers both from its inherent nature as an expression of the
broader fellowship of the faithful. In length, it acknowledges itself to be
in the historic continuity of the communion of saints; in breadth, it
expresses the fellowship of believers and the congregations in our day.

Chapter 4

STATEMENT OF MISSION

C4.01

The Church is a people created by God in Christ, empowered by the Holy


Spirit, called and sent to bear witness to Gods creative, redeeming, and
sanctifying activity in the world.

C4.02

To participate in Gods mission, this congregation, as a part to the Church


shall:
a. Worship God in proclamation of the Word and administration of the
Sacraments and through lives of prayer, praise, thanksgiving, witness
and service.
b. Carry out Christs Great Commission by reaching out to all people to
bring them to faith in Christ and by doing all ministries with a global
awareness consistent with the understanding of God as Creator,
Redeemer, and Sanctifier of all.
c. Serve in response to Gods love to meet human needs, caring for the
sick and the aged, advocating dignity and justice for all people,
working for peace and reconciliation among the nations, standing with
the poor and powerless, and committing itself to their needs.
d. Nurture its members in the word of God so as to grow in faith and
hope and love, to see daily life as the primary setting for the exercise

of their Christian calling, and to use the gifts of the Holy Spirit for
their life together and for their calling in the world.
e. Manifest the unity given by the Holy Spirit to the people of God by
living together in the love of Christ and joining with other Christians
in prayer and actions.
C4.03

To fulfill its mission, this congregation shall:


a. Provide services of worship at which the Word of God is preached and
the Sacraments are administered.
b. Provide pastoral care and assist all members to participate in this
ministry.
c. Challenge, equip, and support all members in carrying out their calling
in their daily lives and in this congregation.
d. Teach the Word of God.
e. Witness to the reconciling Word of God in Christ, reaching out to all
people.
f. Respond to human need, work for justice and peace, care for the sick
and suffering, and participate responsibly in society.
g. Motivate its members to provide financial support for this
congregations ministry and the ministry of other parts of the ECC.
h. Foster and participate in an interdependent relationship with other
congregations, the Diocese of the Northwest, and the church wide
organization of the ECC.
i. Foster and participate in ecumenical relationships consistent with
church policy.

C4.04

This congregation shall develop an organizational structure for


incorporation into the bylaws. The Church Council shall prepare
descriptions of the responsibilities of each committee, task force, or other
organizational group and shall periodically review their actions.

C4.05

This congregation shall, from time to time, adopt a mission statement that
will provide specific direction for its programs.

Chapter 5

POWERS OF THIS CONGREGATION

C5.01

The powers of this congregation are those necessary to fulfill its mission.

C5.02

The powers of this congregation are defined by this constitution, together


with integral bylaws. Nothing herein is intended to replace, modify, or
supersede the specific provisions contained in the Code of Law of the
Evangelical Catholic Church (ECC). In the event of a material conflict
between the provisions of this constitution and the Code of Canon Law of
the ECC, those of the Code shall govern.

C5.03

This congregation is authorized to:

Consult with and advise the local ordinary in the selection


process of clerical assignments to the parish. James Alan
Wilkowski, Bishop of the Evangelical Diocese of the
Northwest, currently serves as the local ordinary.
Consult with and advise the local ordinary in matters of
clerical inabilities to fulfill their pastoral assignment.
Appoint or terminate the appointment of associates in
ministry in conformity with applicable policy of the ECC.
Approve the annual budget.
Acquire real personal property by gift, devise, purchase, or
other lawful means.
Hold title to use its property for any and all activities
consistent with its purpose.
Sell, mortgage, lease, transfer, or otherwise dispose of its
property by any lawful means.
Elect its Church Council and require them to carry out their
duties in accordance with this Constitution, the Bylaws, and
continuing resolutions.
Terminate its relationship with the ECC as provided in
Chapter 6.
Amend or modify this constitution in the manner as defined
in the Bylaws.

Chapter 6

CHURCH AFFILIATION

C6.01

This congregation shall be an interdependent part of the ECC or its


successor, and of the Diocese of the Northwest of the ECC.

C6.02

This congregation agrees to abide by the Code of Canon Law of the ECC,
and its beliefs are consistent with those contained in the Catechism of the
ECC and the formal pastoral positions of the ECC.

C6.03

This congregation acknowledges its relationship with the ECC in which:


a. This congregation agrees to be responsible for its life as a Christian
community in accordance with the tenants of the Catechism of the
ECC.
b. This congregation pledges its financial support and participation in the
life and mission of the ECC.
c. This congregation agrees to collaborate with the local ordinary in the
selection and appointment of all ECC clerics to this Church.
d. This congregation agrees to consider associates in ministry,
deaconesses, and diaconal ministers for appointment to other staff
positions in this congregation according to the procedures of the ECC.

e. This congregation agrees to file this constitution and any subsequent


revisions to this constitution with the ECC for review to ascertain that
all of the provisions are generally consistent with the Bylaws,
Catechism, and Code of Canon Law of the ECC.
C6.04

Affiliation with the ECC may be terminated as follows:


a. This congregation takes action to dissolve such affiliation.
b. This congregation ceases to exist.
c. This congregation is removed from membership in the ECC
according to the procedures for discipline of the ECC.
d. This congregation follows the procedures outlined in C6.05

C6.05

This congregation may terminate its relationship with the ECC by the
following procedure:
a. A resolution indicating the desire of this congregation to terminate its
relationship must be adopted at a legally called and conducted special
meeting of this congregation by a two-thirds majority of the voting
members present.
b. The secretary of this congregation shall submit a copy of the resolution
to the local ordinary and shall mail a copy of the resolution to voting
members of this congregation. This notice shall be submitted within
ten days after the resolution has been adopted.
c. The local ordinary shall consult with this congregation during a period
of at least 90 days.
d. If this congregation, after consultation, still desires to terminate its
relationship, such action may be taken at a legally called and
conducted special meeting by a two-thirds majority of the voting
members present, at which meeting the local ordinary or an authorized
representative shall be present. Notice of the meeting shall be mailed
to all voting members at least ten days in advance of the meeting.
e. A certified copy of the resolution to terminate its relationship shall be
sent to the local ordinary, at which time the relationship between this
congregation and the ECC shall be terminated.
f. Notice of the termination shall be forwarded by the local ordinary to
the secretary of this congregation and published in the periodical of
this church.

C6.06

If this congregation considers purchasing or developing a site to be used


regularly for worship, it shall confer with the local ordinary before any
steps are taken leading to such action.

Chapter 7

PROPERTY OWNERSHIP

C7.01

If this congregation ceases to exist, title to undisposed property shall pass


to the ECC.

C7.02

If this congregation is removed from membership in the ECC according to


its procedure for discipline, title to all property shall continue to reside in
this congregation.

C7.03

If a two-thirds majority of the voting members of this congregation


present at a legally called and conducted special meeting of this
congregation vote to become independent or relate to a non-ECC church
body, title to all property of this congregation shall continue to reside in
this congregation.

Chapter 8

MEMBERSHIP

C8.01

Any person baptized, confirmed, or received into full membership,


according to the approved liturgical and sacramental rites of the ECC by a
deacon, priest or bishop in good standing, shall be entitled to membership
in this congregation.

C8.02

Any person who meets the criteria set forth below shall be eligible for
membership in this congregation.
a. Baptized members are those persons who have been received by the
Sacrament of Baptism in this congregation, or have been baptized in the
name of the Triune of God in another parish, congregation, or faith
denomination.
b. Confirmed members are those persons who have been baptized and (i)
have received the Sacrament of Confirmation in this or another Catholic
congregation, or (ii) have been confirmed in another faith denomination.
c. At Large members are those persons who desire to participate in the life
and mission of this congregation while remaining active members in
another congregation. At large members are not eligible for elected office
in this congregation, including the Church Council.

C8.03

Both Baptized and Confirmed members, who regularly attend services in


this congregation, actively support the mission of this church, and freely
share of their God-given gifts (time, talent, & treasure) for the benefit of
this congregation and the greater community, are eligible to be Voting
members.

C8.04

In order to be a Voting member of this congregation, a person needs to


provide to the Church Council either (i) a signed written affirmation or (ii)
documented evidence that they have been baptized or confirmed.

C8.05

Membership in this congregation shall be terminated by any of the

following: (i) death, (ii) resignation, (iii) transfer or release, or (iv)


removal from the roll due to inactivity as defined in the Bylaws.
C8.06

This Church declares itself to be an open and affirming Catholic faith


community that welcomes ALL regardless of ethnicity, gender, sexual
orientation, or religious preference. It welcomes those who have been
injured or disenfranchised through religious bigotry or hatred, fear or
ignorance. This Catholic faith community welcomes individuals and
couples who have been divorced and remarried.

C8.07

A person may terminate their membership with this Church through the
sacramental rite of reception within another faith community, or by
submitting a letter of intention to the pastor or the local ordinary.

C8.08

A person who terminates their membership with this Church may petition
for readmission by submitting a written request to the pastor or to the local
ordinary.

C8.09

Any member who undermines the Body of Christ by word or deed against
the sacramental, liturgical or spiritual life of any parish, diocese,
religious institution or any person thereof, shall have their membership
terminated through the processes of Canon 2.5.

Chapter 9

THE PASTOR

C9.01

All clerical appointments to this congregation are the canonical


responsibility of the local ordinary. The local ordinary shall solicit the
input of this congregation, through the Church Council, in the selection of
potential pastoral candidates for this congregation. The local ordinary and
the Church Council, after consulting with the voting members of this
congregation, shall mutually agree on a short list of no more than two (2)
finalists for the pastoral position. The local ordinary shall then make the
final selection from the agreed short list and install his choice as the pastor
of this congregation.

C9.02

Only a member of the clergy roster of the ECC or a candidate for clerical
incardination by the ECC who has been recommended for this
congregation by the local ordinary may be installed as the pastor of this
congregation.

C9.03

Once this congregation and the local ordinary reach agreement on a


pastoral candidate, such candidate shall be installed by the local ordinary
in accordance with the provisions of the Code of Canon Law of the ECC.

C9.04

Consistent with the faith and practice of the ECC:


a.
Every ordained pastor shall:
1.
Preach the word.
2.
Administer the Sacraments.
3.
Conduct public worship.
4.
Provide pastoral care.
5.
Speak publicly to the world in solidarity with the poor and
oppressed, calling for justice and proclaiming Gods love
for the world.
b.
Each ordained pastor, who is installed as the head of a
congregation shall, within the congregation:
1.
Offer instruction, confirm, marry, visit the sick and
distressed, and bury the dead.
2.
Supervise all schools and organizations of this
congregation.
3.
Install regularly elected members of the Church Council.
4.
With the Church Council, administer discipline as required.
c.
Every ordained pastor shall:
1.
Seek out and encourage qualified persons to prepare for the
ministry of the Gospel and strive to extend the Kingdom of
God in the community, in the nation, and abroad.
2.
Impart knowledge of this church and its wider ministry
through distribution of its periodicals and other
publications.
3.
Endeavor to increase the support given by this congregation
to the work of the ECC church-wide organization and of
the Diocese of the Northwest of the ECC.

C9.05

The specific duties of the pastor, compensation and other matters


pertaining to the service of the pastor shall be set forth in writing and,
shall be attested to by the president of this congregation and by the local
ordinary.

C9.06

The terms of the offer established, when accepted by a pastor, shall


constitute a continuing mutual relationship and commitment which, except
in the case of the death of the pastor, shall be terminated only following
consultation with the local ordinary and for the following reasons:
1. Mutual agreement to terminate the employment relationship
or the completion of a specific term of employment.
2. A written resignation of the pastor, which shall become
effective, unless otherwise agreed, 30 days after the date on
which it was submitted to the local ordinary and Church
Council.
3. Inability to conduct the pastoral office effectively in this
congregation in view of local conditions, without reflection

on the competence or the moral and spiritual character of


the pastor.
The physical or mental incapacity of the pastor.
Disqualification of the pastor through discipline on grounds
of doctrine, morality, or continued neglect of duty.
The dissolution of this congregation.
Suspension of this congregation as the result of a
disciplinary proceeding.
Unless otherwise stated in an employment agreement, the
pastor is considered an Employee-at-Will.

When formal written allegations of physical or mental incapacity of the


pastor or ineffective conduct of the pastoral office have come to the
attention of the local ordinary, the local ordinary shall establish a Special
Committee comprised of one ordained priest and one Voting member of
this congregation. The local ordinary, with the assistance of the Special
Committee, shall investigate such matters personally.
In the course of reviewing the concerns or issues regarding the ability of
the pastor from fulfilling his or her duties, the local ordinary, assisted by
the Special Committee, will solicit all relevant medical information, with
the consent of the pastor and in compliance with HIPPA laws, regarding
the medical status of the pastor. If the pastors physician and/or medical
team recommend that the pastor is medically unable to fulfill his or her
pastoral obligations, the local ordinary shall place the pastor on a medical
leave of absence until such time as it can be determined that the pastor is
capable of returning to active service.
Should the pastor be placed on a medical leave of absence, the associate
pastor shall temporarily assume all duties assigned to the pastor until such
time as another cleric of the ECC is assigned as the Pastoral Vicar of the
congregation in accordance with the provisions as set forth in Chapter 9 of
this constitution.
In the case that other matters arise that imperil the effective functioning of
this congregation, the local ordinary, together with the Special Committee,
shall decide on the course of action to be recommended to the pastor and
this congregation. If they agree to carry out such recommendations, no
further action shall be taken.
If the Special Committee concludes that there may be grounds for
disciplinary action, the committee shall make recommendations
concerning disciplinary action to the local ordinary who may bring
charges in accordance with the provisions of the Code of Canon Law of
the ECC.

C9.07

At a time of pastoral vacancy, an interim pastor may be appointed by the


local ordinary with the consent of the Church Council.

C9.08

During the period of service, an interim pastor shall have the rights and
duties in this congregation of a regularly seated pastor and may delegate
the same in part to a supply pastor with the consent of the local ordinary
and the Church Council. The interim pastor and any ordained pastor
providing assistance shall refrain from exerting influence in the selection
of a regularly installed pastor.

C9.09

This congregation shall make satisfactory settlement of all financial


obligations to a former pastor before seating a successor. A pastor shall
make satisfactory settlement of all financial obligations to this
congregation.

C9.10

With the consent of the local ordinary, this congregation may retain a
pastor for a specific term. Details of such employment shall be in writing,
setting forth the purpose and conditions involved. Prior to the completion
of a term, the local ordinary, or a designated representative, shall meet
with the pastor and representatives of this congregation for a review of the
pastors service. Such employment may also be terminated before its
expiration in accordance with the provisions of C9.06 (1-7).

C9.11

The pastor shall ensure that accurate parochial records of all baptisms,
confirmations, marriages, burials, communicants, members received and
members dismissed, or members excluded from this congregation are kept
and shall submit a summary of such statistics annually to the local
ordinary. The pastor shall be a member of this congregation.

Chapter 10

CONGREGATIONAL MEETING

C10.01

The annual meeting of this congregation shall be held at a time to be


specified in the Bylaws (ref. B1.01).

C10.02

A special congregation meeting may be called by the pastor, by the


Church Council, or by petition of one-third of the voting members of this
congregation. The agenda for each special meeting shall specify the
purpose for which it is to be held, and no other business shall be transacted
at said meeting other than an approval of previous meeting minutes.

C10.03

Notice of a meeting of this congregation, including a written meeting


agenda, shall be given verbally at each mass and in the church bulletin on
two consecutive Sundays, and by mail to all voting members at least 10
days in advance of the date of the meeting. Notice shall also be posted on
the Churchs website and on social media regularly used by this Church to
communicate with its members.

C10.04

One-fifth of the voting members shall constitute a quorum.

C10.05

Voting by proxy or by absentee ballot shall not be permitted.

C10.06

All actions by this congregation shall be by majority vote except as


otherwise provided in this constitution.

C10.07

Roberts Rules of Order, latest edition, shall govern parliamentary


procedure of all meetings of this congregation.

Chapter 11

OFFICERS (Ref. Chapter 2, Bylaws)

C11.01

The officers of this congregation are those members duly elected to have
fiduciary and/or corporate responsibilities.

C11.02

The officers of this congregation shall be a president, vice-president,


recording secretary, and treasurer.
a. Duties of the officers shall be specified in the Bylaws.
b. The officers shall be voting members of this congregation.
c. The officers of the congregation shall be the officers of the Church
Council.

C11.03

The congregation shall elect its officers. They shall serve for one year and
their term of office ends when their successors have been elected.

C11.04

No officer shall hold more than one office at a time. No officer shall be
eligible to serve more than two consecutive terms as an officer of this
congregation.

C11.05

Should any officer cease to be active, through resignation or any other


reason during the term of office, the Church Council shall elect by a
majority vote, a successor from their membership to fill the remainder of
the term of office until the next annual meeting.

Chapter 12

CHURCH COUNCIL (hereinafter referred to as Council)

C12.01

The Council shall be the primary governing body of this congregation.

C12.02

The membership of the Council shall number nine, including the pastor,
who is a permanent ex-officio member. All members of the Council have
one vote during deliberations except the president, who is the moderator of
the Council, and hence can only vote to break a tie or if there is a secret
ballot. Only Voting Members of this congregation can be elected to the
Council.

C12.03

The election of Council members is to take place at the annual meeting.


Members are to be elected for a three-year term and are eligible to serve
two consecutive terms. One-third of the Council will end their term of
office each year, other than during the first three years that this
congregation is governed by this constitution.

C12.04

Each Council member shall serve on a standing committee of the


congregation.

C12.05

Should a members place on the Council be declared vacant, the Council


shall elect, by a majority vote, a successor to fill the remainder of the
vacant term of office until the next annual meeting.

C12.06

The Council shall have oversight of the life and activities of this
congregation, to ensure that everything is done in accordance with the
Word of God and the faith and practice of the ECC. The ongoing duties of
the Council shall include:
a. To lead this congregation in long-range planning, to set goals and
priorities and to evaluate its activities in light of its mission and goals.
b. To involve all members of this congregation in worship, learning,
witness, service, and support.
c. To oversee and provide for the administration of this congregation to
enable it to fulfill its functions and perform its mission.
d. To maintain supportive relationships with the pastor and staff, and to
formally evaluate and discuss their performance annually.
e. To be examples individually and corporately of the style of life and
ministry expected of all baptized persons.
f. To promote a congregational climate of peace and goodwill and as
differences and conflicts arise, to foster mutual understanding.
g. To arrange for pastoral service during the sickness or absence of the
pastor.
h. To emphasize association with the Diocese of the Northwest and
church-wide units of the ECC, as well as cooperation with other
congregations, subject to established policies of the ECC as
appropriate.
i. To recommend and encourage the use of program resources produced
or approved by the ECC.
j. To seek out and encourage qualified persons to prepare for the
ministry of the Gospel.
k. To collaborate with the local ordinary in the selection of the pastor for
this congregation, and to seek input from the Church membership
during the pastoral selection process.

C12.07

The Council shall be responsible for the financial and property matters of
this congregation.

a. The Council shall be the board of trustees of this congregation, and as


such shall be responsible for maintaining and protecting its property
and the management of its business and fiscal affairs. It shall have the
powers and be subject to the obligations that pertain to such boards
under the laws of the State of Oregon except as otherwise provided
herein.
b. The Council shall not have the authority to buy, sell, or encumber real
property unless specifically authorized to do so by a meeting of this
congregation.
c. The Council may enter into contracts for emergencies, except for
insurance covered commitments, and non-emergency items not
included in the budget.
d. The Council shall prepare an annual budget for adoption by this
congregation and shall supervise the expenditure of funds in
accordance therewith following its adoption. The budget shall include
this congregations agreed share in support of the wider ministry being
carried out by the Diocese of the Northwest and the greater ECC.
e. The Council shall be responsible for the financial affairs of this
congregation and shall ensure that qualified and highly competent
financial and accounting professionals are undertaking such affairs.
f. The Council shall be responsible for overseeing this congregations
investments and its total insurance program.
C12.08

The Council shall see that the provisions of this constitution and its bylaws are carried out.

C12.09

The Council shall provide for an annual review of the Church membership
roster. The roster shall be updated on a yearly basis in accordance with
the Bylaws (ref B1.02).

C12.10

The Council shall be responsible for overseeing the employment and


supervision of the staff of this congregation. Nothing in this provision
shall be deemed to affect the congregations responsibility for the call,
terms of call, or termination of call of any employees who are on the roster
of this church.

C12.11

The Council shall submit a comprehensive report to this congregation at


the annual meeting.

C12.12

The Council shall meet in formal session not less than once each month.
A special meeting may be called by the pastor or by any officer of this
congregation.
Special meetings can also be at the request of
approximately one-half of the members of the Council; three days notice
of each special meeting shall be given to all Council members. The notice
shall state the purpose of the special meeting.

C12.13

A quorum for the transaction of business shall consist of a majority of


members of the Council, including the pastor. The conduct of business is
not restricted by the absence of any Council member, nor does it require
prior approval from any Council member.

C12.14

Roberts Rules of Order, latest edition, shall govern parliamentary


procedures of Council meetings, if a consensus cannot be reached.

Chapter 13

CONGREGATION COMMITTEES (Ref. Chapter 4 and Chapter 5,


Bylaws)

C13.01.

The officers of this congregation and the pastor shall constitute the
Executive Committee.

C13.02

The Council shall elect a Nominating Committee, comprised of a


minimum of three members of this congregation, two who shall be out
going members of the Council. Members of the Nominating Committee
are not eligible for consecutive re-election.

C13.03

The Council shall elect a Finance Committee, comprised of a minimum


of three voting members, at least one of who shall be a member of the
Council. Term of office shall be three years, with one member elected
each year. Members shall be eligible for re-election.

C13.04

Other congregation committees may be formed as the need arises, by


decision of the Council, (Chapter 5 By-laws).

C13.06

Duties of congregation committees shall be specified in the By-laws and


in written job descriptions.

Chapter 14

THE CONGREGATION

C14.01

The congregation shall oversee all of its organizations.

C14.02

The Council shall review polices and activities. All organizations in the
congregation shall submit an annual report of membership, work, and
finances.

C14.03

Special interest groups, other than those of the official organizations of the
ECC, may be organized after the Council has given authorization.

Chapter 15 DISCIPLINE OF MEMBERS AND ADJUDICATION


C15.01

Denial of the Christian faith as described in this constitution, conduct


grossly unbecoming a member of the Church of Christ, or persistent
trouble making in this congregation are sufficient cause for discipline of a
member. Prior to disciplinary action, reconciliation will be attempted
following Matthew 18:15-17, proceeding through these successive steps:
a.
Private admonition by the pastor,
b.
Admonition by the pastor in the presence of two or three witnesses,
and
c.
Citation to appear before the Council.

C15.02

A member charged with the offenses shall appear before the council
having received a written notice, specifying the exact charges that have
been made against the member, at least 10 days prior to the meeting.

C15.03

Should the allegations be sustained by a two-thirds vote of the members of


the Council and renewed admonition proved ineffectual, the Council shall
impose one of the following disciplinary actions.
a.
Censure before the Council or the congregation.
b.
Suspension of membership for a defined period of time.
c.
Exclusion from membership in this congregation.
Disciplinary actions b. and c. shall be delivered to the member in writing.

C15.04

The member against whom the disciplinary action has been taken by the
Council shall have the right to appeal the decision to the local ordinary of
the ECC. Such right may not be abridged and the decision of the local
ordinary shall be final.

C15.05

When there is a disagreement among factions of this congregation on a


substantive issue that cannot by resolved by the parties, members of this
congregation shall have access to the Bishop of the Diocese of the
Northwest for consultation and mediation.

Chapter 16

BYLAWS

C16.01

This congregation shall adopt bylaws. No bylaw may conflict with this
constitution.

Chapter 17

AMENDMENTS

C17.01

An amendment to this constitution shall:


a. Be approved at a legally called Congregation Meeting according to
this constitution by a majority of those present and voting.

b. Be ratified without change at the next annual meeting by a two-thirds


vote of those present and voting.
c. Have the effective date included in the resolution and noted in the
constitution.
Chapter 18

CONTINUING RESOLUTIONS

C18.01

The congregation, in a legally called meeting of the Church Council, may


enact continuing resolutions. Such continuing resolutions may not conflict
with the constitution or bylaws of this congregation.

C18.02

Continuing resolutions shall be enacted or amended by a majority vote of


the congregation OR a two-thirds vote of all members of the Church
Council.

Chapter 19

INDEMNIFICATION & LIABILITY INSURANCE

C19.01

Consistent with the provisions of the laws of the State of Oregon, this
congregation may adopt provisions providing indemnification for each
person who, by reason of the fact that such person is or was a Church
Council member, officer, employee, agent, or other member of any
committee of this congregation, was or is threatened to be made a party to
any pending, or completed civil, criminal, administrative, arbitration, or
investigative proceeding.

C19.02

This congregation can also approve liability insurance for its officers as
well as other members of the Church Council.

BYLAWS OF HOLY COMMUNION EVANGELICAL CATHOLIC CHURCH


AUTHORITY VESTED IN THESE BYLAWS
These Bylaws are an integral part of the Constitution of Holy Communion Evangelical Catholic
Church and the Constitution cannot be considered separate from the Bylaws. These Bylaws have
the same relevancy and force as the rest of the Constitution.
Chapter 1

CONGREGATIONAL MEETING (REF. C10.01)

B1.01

An annual meeting of this congregation shall be held each year on a Sunday in


January. Business to be conducted shall include (i) election of Church Council
members, (ii) a review of the financial position of the Church at December 31 of the
prior year (iii) approval of the annual budget for the current fiscal year, and (iv) any
other business appropriate for action by the congregation.

B1.02

Prior to the Congregational Meeting, the Council will review the membership roster
for the purpose of determining who is a member. In general, a member who has
moved, has not attended church services in the past year, or is no longer actively
supporting the church with their God-given gifts will not be considered an active
member and therefor will not be eligible to vote at the annual meeting. The pastor
will be encouraged to call on such members and advise the Council of the members
situation. The Council shall then discuss and decide if such member should be
stricken from the membership roster.

B1.03.

The fiscal year of the congregation shall be a full calendar year, namely January 1
through December 31.

Chapter 2

DUTIES OF CHURCH OFFICERS (Ref. Chapter 11, Constitution)

B2.01

PRESIDENT
a.
The president presides at all congregation and Church Council meetings.
b.
The president provides leadership and leadership development in the
congregation and Council.
c.
The president, in consultation with the pastor, develops the written agendas
for every meeting of the congregation and the Council.

B2.02

VICE-PRESIDENT
In the absence of the president, the vice-president assumes the duties of the president
as defined in B2.01

B2.03

RECORDING SECRETARY
a.
The recording secretary keeps the minutes of the congregation, Council, and
Executive Committee meetings.
b.
In the absence of both the president and the vice-president, the recording
secretary shall preside over congregation, Council, and Executive Committee
meetings.

The recording secretary has custody of all documents of Holy Communion


Church and shall organize all documents belonging to the congregation and
Council.
All Council correspondence shall be the responsibility of the recording
secretary.
If the recording secretary is absent, a meeting of the Council or congregation
must select a secretary pro-tem to serve for the duration of the meeting.

The treasurer has responsibility for overseeing the financial activities of the
congregation.
The treasurer shall keep books of account delineating the various categories
of income and disbursement. Income shall be counted and reported on a
weekly basis. Invoices submitted for payment are to be properly approved
and promptly paid.
The treasurer shall present a monthly financial report to the Council and
quarterly report to the congregation. The treasurer shall present and discuss
the annual financial statements of the Church at the annual meeting of the
congregation.
The treasurer shall retain, on a periodic basis, an independent Certified Public
Accountant, approved by the Executive Committee, to conduct an audit of the
financial records of the church. The findings of the audit shall be reported to
the Church Council and to the congregation at the annual meeting.
The treasurer shall alert the Executive Committee in a timely manner if a
crisis in finances appears imminent.
The treasurer shall supply data and recommendations to the Finance
Committee to assist with the preparation of the annual church budget.

B4.01

EXECUTIVE COMMITTEE
a.
The Executive Committee shall be comprised of the officers of the
congregation and the pastor.
b.
The Executive Committee shall respond to immediate emergencies on behalf
of the Council and congregation as needed.

B4.02

NOMINATING COMMITTEE (Ref. C13.03)


The Nominating Committee will consist of two Council members and two nonCouncil members as appointed by the president of the congregation for a nonconsecutive one-year term.

1. The Nominating Committee shall announce its list of recommended


candidates for the Council and the officer positions to the congregation in
writing at least ten days before the annual meeting.
2. At the meeting, the slate of candidates previously announced shall be
placed in nomination by a member of the Nominating Committee
3. Nominations from the floor are open at the annual congregational
meeting.
4. No candidate may be placed in nomination unless he/she has first agreed
to serve.

B4.03

Election is accomplished in two steps:


1. Election of Council: If two or more people are nominated for an open
council position, a written ballot shall be distributed to all voting members
present, with space for floor nominations. Voters may vote for no more
candidates than there are council vacancies. If there are more candidates than
council vacancies, those receiving the most votes are elected.
2. Election of Officers: Officer candidates must be either sitting Council
members, or those members just elected to the council.

FINANCE COMMITTEE
a. The Finance Committee shall issue a report to include in the annual Treasurers
report, which shall include a comprehensive review of the congregations annual
finances.
b. The Finance Committee shall provide consultation to the Council, as needed, and
develop the annual congregational budget.

Chapter 5

STANDING COMMITTEES (C13.0)


These committees will be established as needed and administered by either the
Church Council or pastor.

B5.01

FELLOWSHIP COMMITTEE
The Fellowship Committee is to develop personal relationships among members and
prospective members. It is to coordinate and sponsor, as required, church, family,
and community activities within the church, including, but not limited to dinners for
special occasions such as weddings and funerals

B5.02

STEWARDSHIP COMMITTEE
The purpose of the Stewardship Committee is to:
a.
Encourage and inspire members of the congregation to fully utilize their Godgiven gifts of time, talent, and treasure in furtherance of attaining the
Churchs mission.
b.
Conduct an annual Stewardship campaign.

B5.03

WORSHIP COMMITTEE
The Worship Committee shall work in partnership with the pastor to enhance the
worship and devotional life of the congregation. The Worship Committee shall
provide opportunities for the congregation to increase its understanding of the liturgy
and to fully participate in the life and ministries of the congregation.

Chapter 6

PROCEDURES FOR AMENDING THESE BYLAWS


These Bylaws are to be amended by the congregation in accordance with accepted
rules of order. Any member or group of members can offer an amendment to the
constitution.

B6.01

These Bylaws can be amended at an annual meeting of the congregation, provided


that a copy of the complete text of any proposed amendment had been given to every
voting member.

B6.02

A majority vote of the quorum is required to approve the amendment.

B6.03

A two-thirds vote of the membership at the next annual meeting is required to give
final approval of an amendment.

B6.04

The amendment is immediately effective, unless the motion to amend specifies


another time.
