PLEASE READ THIS END USER LICENSE AGREEMENT (THE )AGREEMENT*+

N#TICE T# USER BY RECEVNG AND/OR USNG THS ACD SYSTEMS NTERNATONAL NC.
(ACD) SOFTWARE YOU ACCEPT AND AGREE TO BE BOUND BY THE FOLLOWNG USER
AGREEMENT. THS AGREEMENT S A BNDNG LEGAL AGREEMENT BETWEEN ACD AND THE
PURCHASERS, USERS OR EVALUATORS (YOU) OF THS SOFTWARE. F YOU DO NOT AGREE
TO BE BOUND BY THS AGREEMENT, REMOVE THS SOFTWARE FROM YOUR COMPUTER NOW
AND, F APPLCABLE, PROMPTLY RETURN TO ACD BY MAL ANY COPES OF THS SOFTWARE
AND RELATED DOCUMENTATON AND PACKAGNG N YOUR POSSESSON.
/. De0%n%t%on$ Software means the computer software program that accompanies this Agreement
and includes any available software user manuals, reference manuals and installation guides, or
portions thereof, either in electronic or printed form, in any media whatsoever. Use of this Software
means that You have loaded, installed, or run this Software on a computer or similar device. Backup
Copy means one non-transferable copy of this Software created for archival purposes only that is not
installed or Used on any computer or workstation (or number of users covered in a multi-user or site
license) except for back-up use during emergency situations. Evaluation Version means that You may
evaluate the Evaluation Version of this Software without purchasing a license for a maximum of thirty
(30) calendar days (the "Evaluation Period").
2. U$er Agree1ent
2.1 Grant Subject to the terms of this Agreement, ACD grants to You a limited, non-exclusive,
non-transferable, worldwide license, without right to sub-license: to Use or evaluate the object code
version of this Software in accordance with this Agreement and any other written agreement with ACD.
ACD does not transfer title to this Software to You; the license granted to You is not a sale.
2.2 E2a34at%on er$%on U$e -You may evaluate this Software without purchasing a license (the
Evaluation Version) for a maximum of 30 days (the Evaluation Period). On or before the expiration of
the Evaluation Period, You must purchase a license from ACD (or an authorized reseller or distributor)
in order to continue to use this Software, or You are required to remove this Software and any Back-Up
Copy from Your computer immediately following the expiration of the Evaluation Period. For more
information about purchasing a license to use this Software, please contact ACD Customer Service.
2.3 A5t%2at%on o0 So0t6are Once You have purchased a license from ACD in order to continue
to use the Software, You may be required to activate the Software through the nternet. There are
technological measures within the Software that are designed to prevent unlicensed use of the
Software. ACD will use those measures to confirm You have a valid licensed copy of the Software. ACD
will not collect any personally identifiable information from Your computer location or workstation during
this process.
2.4 E2a34at%on er$%on D%$tr%74t%on The Evaluation Version of this Software may be freely
distributed, provided that: (a) such distribution includes only the original archive supplied by ACD. You
may not alter, delete or add any files in the distribution archive or modify this Software in any way; (b)
the limited evaluation nature of this Evaluation Version Software is not misrepresented; (c) no money is
charged to the person receiving this Evaluation Version Software, beyond reasonable cost of packaging
and other overhead; (d) You provide prior email or written notice to ACD that You are distributing this
Evaluation Version and, if this Software is being distributed with other media or software, ACD's prior
written approval is required. To obtain prior written approval, please contact ACD. You may be required
to report to ACD the number of units of this Evaluation Version Software distributed from time to time.
2.5 In$ta33at%on an& U$e You are responsible for installation of this Software. Your license to
use this Software is limited to the number of licenses purchased by You. For more information about
purchasing additional licenses of this Software please contact an authorized reseller or ACD directly

You shall not allow others to Use, copy or evaluate copies of this Software. Others may obtain a copy of

2.6 Porta73e Co1'4ter U$e f You have purchased a license to use this Software and installed
it on Your desktop computer, You may install a second copy of this Software on Your portable computer
for Your exclusive use only.
2.7 U$e Re$tr%5t%on$ - You shall Use this Software in compliance with all applicable laws and not
for any unlawful purpose. Without limiting the foregoing, Use, display or distribution of this Software
together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive,
promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual
orientation or age is strictly prohibited. Each licensed copy of this Software may be used on one single
computer location or workstation. f You install this Software onto a multi-user platform, server or
network, each and every individual user of this Software must be licensed separately or included by a
multi-user or site license. Others may not Use or install Your copy of this Software. The assignment,
sublicense, networking, sale, or distribution of copies of this Software is strictly forbidden without the
prior written consent of ACD. t is a violation of this Agreement to assign, sell, share, loan, rent, lease,
borrow, network or transfer the Use of this Software. Upon request by ACD, You agree to give ACD
access to Your site during regular business hours solely for the purpose of ensuring compliance with
this Agreement.
2.8 Tran$0er Unless otherwise authorized herein, this Software and the license herein granted
shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole
or in part except that You may make one Backup Copy for back-up use during emergency situations.

2.9 Inte33e5t4a3 Pro'ert8 Re$tr%5t%on$ ACD's name, trademarks, logo and graphics file that
represents this Software shall not be used in any way to promote products developed with this
Software. This Software contains copyrighted material, trade secrets and other proprietary material. You
will not deliver, disclose, or convey to any third party, either directly or indirectly, the contents of this
Software. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile
this Software or alter or remove any proprietary rights or copyrights notice or identification which
indicates ACD's ownership of this Software. You shall not create any derivative works or other works
that are based upon or derived from this Software in whole or in part. ACD retains sole and exclusive
ownership of all right, title and interest in and to this Software and all intellectual property rights relating
thereto. This Software is protected without limitation by Canadian copyright law and international
copyright treaty provisions. All rights not expressly granted hereunder are reserved by ACD.
2.10 L%1%te& -arrant8 an& D%$53a%1er - You hereby acknowledge that You are solely responsible
for selecting and installing the Software and that the Software may not satisfy all your requirements or
be free from defects. ACD specifically does not warrant that the Software will operate uninterrupted or
error free. THE SOFTWARE S PROVDED 'AS S' WTHOUT ANY REPRESENTATON, WARRANTY
OR CONDTON BY ACD OF ANY KND, EXPRESS OR MPLED, NCLUDNG, WTHOUT
LMTATON, ANY WARRANTY OR CONDTON OF MERCHANTABLTY, MERCHANTABLE
QUALTY, DURABLTY OR FTNESS FOR A PARTCULAR PURPOSE OR TTLE OR NON-
NFRNGEMENT AND THOSE ARSNG BY STATUTE OR OTHERWSE N LAW OR FROM A
COURSE OF DEALNG OR USAGE OF TRADE. NO ORAL OR WRTTEN NFORMATON OR
ADVCE GVEN BY ACD OR THER RESPECTVE EMPLOYEES, AGENTS, SUPPLERS OR
DSTRBUTORS WLL CREATE A WARRANTY. ACD DOES NOT WARRANT, GUARANTEE OR
MAKE REPRESENTATONS REGARDNG THE USE, OR THE RESULTS OF USE OF THE
SOFTWARE N TERMS OF CORRECTNESS, ACCURACY, RELABLTY, CURRENTNESS OR
OTHERWSE. F SUCH DSCLAMER OF REPRESENTATONS, WARRANTES AND CONDTONS
S NOT PERMTTED BY LAW, THE DURATON OF ANY SUCH MPLED WARRANTES OR
CONDTONS S LMTED TO NNETY (90) DAYS FROM THE DATE OF DELVERY. SOME
JURSDCTONS DO NOT ALLOW THE EXCLUSON OF MPLED WARRANTES OR CONDTONS
OR LMTATONS ON HOW LONG AN MPLED WARRANTY OR CONDTON MAY LAST, SO SUCH
LMTATONS OR EXCLUSONS MAY NOT APPLY TO YOU.
2.11 L%1%tat%on o0 Re$'on$%7%3%t8 - You will indemnify, hold harmless, and defend ACD, its
employees, agents and distributors against any and all claims, proceedings, demands and costs
resulting from or in any way connected with Your use of this Software. N NO EVENT WLL ACD BE
LABLE ON ANY THEORY OF LABLTY, WHETHER BASED ON CONTRACT, STRCT LABLTY,
NDEMNTY, TORT (NCLUDNG NEGLGENCE), OR OTHERWSE, FOR DAMAGES WHCH, N THE
AGGREGATE, EXCEED THE PURCHASE PRCE OF THE SOFTWARE (MAXMUM BENG THE
LESSER OF THE AMOUNT PAD BY YOU AND THE SUGGESTED RETAL PRCE AS LSTED BY
ACD) N EXCHANGE FOR THE RETURN OF THE PRODUCT, ALL COPES, REGSTRATON
PAPERS AND MANUALS, AND ALL MATERALS THAT CONSTTUTE A TRANSFER OF LCENSE
FROM YOU BACK TO ACD. SUCH REMBURSEMENT WLL ONLY OCCUR F THE SOFTWARE
WAS PURCHASED DRECTLY FROM ACD. F YOU PURCHASED THE SOFTWARE THROUGH A
RESELLER, DSTRBUTOR, RETALER, OR THRD PARTY, YOU NEED TO REQUEST A REFUND
DRECTLY FROM SUCH PARTES. N NO EVENT WLL ACD TS EMPLOYEES, AGENTS,
SUPPLERS OR DSTRBUTORS BE LABLE FOR ANY SPECAL, NCDENTAL, NDRECT,
EXEMPLARY, PUNTVE, AGGRAVATED OR CONSEQUENTAL DAMAGES N CONNECTON WTH
OR ARSNG OUT OF OR RELATED TO THS AGREEMENT, THS SOFTWARE OR THE USE OR
NABLTY TO USE THS SOFTWARE OR THE FURNSHNG, PERFORMANCE OR USE OF ANY
OTHER MATTERS HEREUNDER HOWEVER CAUSED, NCLUDNG BUT NOT LMTED TO
BUSNESS NTERRUPTON, LOSS OF DATA OR NFORMATON, LOSS OF PROFTS, BUSNESS
OPPORTUNTES, OR GOOD WLL EVEN F NOTFED OF THE POSSBLTY OF SUCH DAMAGES,
AND NOTWTHSTANDNG THE FALURE OF ESSENTAL PURPOSE OF ANY REMEDY.
2.12 E9'ort Co1'3%an5e You agree not to export or re-export the Software except in compliance
with international trade laws, the export laws of any country where this Software is used and the United
States Department of Commerce Bureau of ndustry and Security Export Administration Regulations
(EAR), including but not limited to compliance with EAR restrictions on export or re-export of the
Software:
i) to an embargoed country;
ii) to individuals and organizations prohibited from receiving US exports; and
iii) in support of a prohibited end use
The license granted to You under this Agreement is on the condition that You comply with applicable
trade and export laws and You acknowledge that this license will be revoked if You do not comply with
this section.
2.13 Go2ern%ng La6 - This Agreement shall be governed exclusively by the laws of the Province of
British Columbia and the laws of Canada applicable therein excluding application of any conflict of laws
principles and excluding the United Nations Convention on Contracts for the nternational Sale of
Goods and excluding the International Sale of Goods Act (B.C.). You hereby irrevocably attorn and
submit to the non-exclusive jurisdiction of the courts of Victoria, British Columbia, and any competent
courts of appeal therefrom.
2.14 Ter1%nat%on - Any failure by You to comply with the terms and conditions of this Agreement will
result in automatic and immediate termination of this Agreement including the license hereunder. Upon
termination of this Agreement for any reason, You agree to immediately cease Use of this Software and
destroy all copies of this Software. The rights and obligations in Sections 2.7, 2.9, 2.10, 2.11, 2.13 and
4 shall survive the termination of this Agreement.
3. Reg%$trat%on
3.1 Reg%$trat%on - To register this Software You can do one of the following: 1) complete and mail
the printed registration card (if applicable) to ACD; 2) submit the registration information online through
the registration screen found within this Software (if applicable); or 3) submit the registration information
online through ACD's Support pages at http://www.acdsee.com/support/. As a registered user, You will
have the option to receive helpful information and special email offers for ACD customers, as well as
ACD's monthly newsletters featuring tips, tricks, updates and savings.
3.2 Con$ent to U$e o0 Data - You agree that ACD may collect and use information gathered in
any manner as part of the product support services provided to You, if any, related to this Software.
ACD may also use this information to provide notices to You which may be of use or interest to You.
You can elect to not receive any further notices from ACD, either by 1) unsubscribing directly to any e-
mail You receive or 2) by visiting our preference center at: http://www.acdsee.com/community/ which
lists the publications You are subscribed to and allows You to unsubscribe or change Your preferences
(You can log-in to the preference center once You have submitted Your e-mail address to ACD and it
has been processed). The Software contains components that enable and facilitate the use of certain
nternet-based services. You acknowledge and agree that ACD may automatically check the version of
this Software that You are utilizing and may provide upgrades or fixes to this Software. n order to
receive such upgrades or fixes, You must agree to the download when prompted. You are not obligated
to download any upgrades or fixes to this Software that are provided by ACD. To review ACD privacy

4. Genera3 Pro2%$%on$
No failure or delay in enforcing any right or exercising will be deemed a waiver of any right or remedy.
f any provision of this Agreement is unenforceable or invalid for any reason whatever, such
unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions of
this Agreement and such provision shall be severable from the remainder of this Agreement.
This Agreement constitutes the entire agreement between You and ACD with respect to the subject
matter hereof and supersedes all prior and contemporaneous proposals, agreements, understandings,
representations and communications, whether oral or written.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective
successors and permitted assigns.
The English version of this Agreement shall be used for interpreting and construing the meanings of any
provisions herein.

Agreement.

oder hnlichen Gert geladen, installiert oder ausgefhrt haben. ,Sicherungskopie bezeichnet eine
nicht-bertragbare Kopie dieser Software, die ausschlielich zu Archivierungszwecken erstellt wurde
und die auer in Notfllen nicht auf einem Computer oder einer Workstation (oder von einer Reihe von
Benutzern, fr die eine Multi-User- oder Firmenlizenz erworben wurde) installiert oder benutzt wird.

beschrnkte, nicht exklusive, nicht bertragbare, weltweite Lizenz ohne das Recht auf die Vergabe von
Unterlizenzen, die Benutzung oder Auswertung der maschinenlesbaren Version (,Object Code
Version) dieser Software in bereinstimmung mit dieser Vereinbarung und allen anderen schriftlichen
Vereinbarungen mit ACD. ACD bertrgt hnen nicht den Rechtstitel an der Software; die hnen
gewhrte Lizenz gilt nicht als Kauf.
4.2 Ben4tB4ng &er De1o2er$%on Sie knnen diese Software maximal dreiig (30) Tage lang
(der ,Testzeitraum) testen, ohne eine Lizenz zu erwerben (die ,Demoversion). Am oder vor dem
Datum des Ablaufs des Testzeitraums mssen Sie eine Lizenz von ACD (oder einem autorisierten
Wiederverkufer oder Vertriebshndler) erwerben, um diese Software weiter nutzen zu knnen.
Andernfalls mssen Sie diese Software und jegliche Sicherungskopie unverzglich nach Ablauf des
Testzeitraums von hrem Computer entfernen. Weitere nformationen ber den Erwerb einer Lizenz zur
Nutzung dieser Software erhalten Sie vom ACD Kundenservice.
4.3 A<t%2%er4ng &er So0t6are Nachdem Sie von ACD eine Lizenz zur weiteren Benutzung der
Software erworben haben, kann es sein, dass Sie die Software ber das nternet aktivieren mssen.
Die Software ist mit technologischen Merkmalen zur Verhinderung der nicht lizenzierten Benutzung der
Software ausgestattet. ACD vergewissert sich anhand dieser Merkmale, dass Sie eine gltige
lizenzierte Version der Software besitzen. ACD erfasst whrend dieses Vorgangs keine persnlich
identifizierbaren nformationen von hrem Computer oder hrer Workstation.
4.4 -e%terga7e &er De1o2er$%on Die Demoversion der Software kann kostenlos
weitergegeben werden, vorausgesetzt: (a) eine solche Weitergabe beinhaltet nur das von ACD
bereitgestellte Originalarchiv. Sie drfen keine Dateien aus dem Weitergabearchiv lschen oder zum
Archiv hinzufgen oder diese Software in irgendeiner Art und Weise modifizieren; (b) der
eingeschrnkte Democharakter dieser Demoversionssoftware wird nicht falsch dargestellt; (c) der
Person, die diese Demoversionssoftware erhlt, werden keine Kosten mit Ausnahme angemessener

Gegenstands dieser Vereinbarung dar und ersetzt alle frheren und aktuellen Angebote,
Vereinbarungen, Abreden, Zusicherungen und Mitteilungen, ob mndlicher oder schriftlicher Art.
Diese Vereinbarung ist fr die Parteien dieser Vereinbarung und ihre jeweiligen Rechtsnachfolger und

MMDATEMENT CE LOGCEL DE VOTRE ORDNATEUR ET, LE CAS CHANT, RENVOYEZ PAR
VOE POSTALE ACD TOUTE COPE DE CE LOGCEL ET LES DOCUMENTS ET EMBALLAGES
AFFRENTS EN VOTRE POSSESSON.
/. DI0%n%t%on$ "Logiciel" dsigne le logiciel qui accompagne ce Contrat et inclut tous les manuels de
l'utilisateur, de rfrence et d'installation disponibles, ou tout extrait de ceux-ci, sous forme lectronique
ou imprime, quel qu'en soit le support. "L'Utilisation" du logiciel signifie que Vous avez charg, install
ou excut ce Logiciel sur un ordinateur ou un appareil similaire. "Copie de sauvegarde" signifie une
copie non transfrable de ce Logiciel cre pour des raisons d'archivage uniquement et qui n'est pas
installe ou Utilise sur un ordinateur ou une station de travail (ou par le nombre d'utilisateurs couvert
par une licence multi-utilisateurs ou d'utilisation sur site) sauf pour une sauvegarde en cas de situation
d'urgence. "Version d'valuation" signifie que Vous pouvez valuer la Version d'valuation de ce
Logiciel sans acheter de licence pendant un maximum de trente (30) jours civils (la "Priode
d'valuation").
2. Contrat utilisateur
6.1 Con5e$$%on Sous rserve des conditions de ce Contrat, ACD Vous accorde une licence
mondiale limite, non exclusive et non transfrable, sans droit de concder de sous-licence : pour
Utiliser ou valuer la version du code objet de ce Logiciel conformment ce Contrat et tout autre
contrat crit conclu avec ACD. ACD ne Vous cde pas la proprit de ce Logiciel ; la licence qui Vous
est accorde n'quivaut pas une vente.
6.2 Ut%3%$at%on &e 3a 2er$%on &GI2a34at%on - Vous pouvez valuer ce Logiciel sans acheter de
licence (la "Version d'valuation") pendant un maximum de 30 jours (la "Priode d'valuation").
l'chance ou avant l'expiration de la Priode d'valuation, Vous devez acheter une licence auprs
d'ACD (ou auprs d'un revendeur ou distributeur agr) afin de continuer utiliser ce Logiciel, faute de
quoi Vous devrez supprimer de votre ordinateur ce Logiciel ainsi que toute Copie de sauvegarde
aussitt la Priode d'valuation expire. Pour plus d'informations concernant l'achat d'une licence pour
utiliser ce Logiciel, veuillez contacter le service clientle d'ACD.
6.3 A5t%2at%on &4 Log%5%e3 Une fois que Vous aurez achet auprs d'ACD une licence afin de
continuer utiliser le Logiciel, il se peut que Vous deviez activer le Logiciel par le biais d'nternet. l
existe l'intrieur du Logiciel des mesures technologiques conues pour empcher toute utilisation
frauduleuse du Logiciel. ACD utilisera ces mesures pour confirmer que Vous possdez bien une copie
sous licence valide du Logiciel. Durant ce processus, ACD ne collectera aucune information
personnelle partir de Votre ordinateur.
6.4 D%$tr%74t%on &e 3a 2er$%on &GI2a34at%on La Version d'valuation de ce Logiciel peut tre
librement distribue, condition que : (a) cette distribution ne concerne que l'archive d'origine fournie
par ACD. Vous ne pouvez pas altrer, supprimer ni ajouter aucun fichier dans l'archive distribue ou
modifier ce Logiciel d'une quelconque faon ; (b) la nature limite de la Version d'valuation de ce
Logiciel ne soit pas prsente de manire inexacte ; (c) la personne recevant la Version d'valuation de
ce Logiciel ne dbourse pas d'argent, en dehors des frais d'emballage et autres frais gnraux
normaux ; (d) Vous envoyiez pralablement ACD un email ou une notification crite stipulant que
Vous distribuez cette Version d'valuation et, si ce Logiciel est distribu avec d'autres contenus
multimdias ou logiciels, que vous obteniez au pralable l'accord crit d'ACD. Afin d'obtenir cet accord
crit pralable, veuillez contacter ACD. ACD peut exiger que Vous lui signaliez, de temps autre, le
nombre d'units de la Version d'valuation du Logiciel distribues.
6.5 In$ta33at%on et 4t%3%$at%on Vous tes responsable de l'installation de ce Logiciel. Votre
licence d'utilisation de ce Logiciel se limite au nombre de licences que Vous avez achetes. Pour plus
d'informations concernant l'achat de licences supplmentaires de ce Logiciel, veuillez contacter un

Logiciel et que vous l'avez install sur Votre ordinateur de bureau, Vous pouvez installer une seconde
copie de ce Logiciel sur Votre ordinateur portable, pour votre usage personnel uniquement.
6.7 Re$tr%5t%on$ &G4t%3%$at%on Vous devez Utiliser ce Logiciel conformment toutes les lois en
vigueur et non dans un quelconque dessein illicite. Sans limiter ce qui prcde, l'Utilisation, la
prsentation ou la distribution de ce Logiciel en association avec des contenus pornographiques,
racistes, vulgaires, obscnes, diffamatoires, injurieux, encourageant la haine, discriminatoires ou
affichant des prjugs bass sur la religion, l'origine ethnique, la race, l'orientation sexuelle ou l'ge est
strictement interdite. Chaque copie sous licence de ce Logiciel ne peut tre utilise que sur un seul
ordinateur ou une seule station de travail. Si Vous installez ce Logiciel sur une plate-forme, un serveur
ou un rseau multi-utilisateurs, chaque utilisateur de ce Logiciel devra obtenir une licence part ou tre
inclus dans une licence multi-utilisateurs ou d'utilisation sur site. Aucune tierce personne ne pourra
Utiliser ou installer Votre copie de ce Logiciel. Toute attribution, concession de sous-licence, mise en
rseau, vente ou distribution de copies de ce Logiciel est strictement interdite sans l'accord crit
pralable d'ACD. L'attribution, la vente, le partage, le prt, la location, l'emprunt, la mise en rseau et le
transfert d'Utilisation de ce Logiciel seront considrs comme des violations de ce Contrat. la
demande d'ACD, Vous acceptez de donner ACD la possibilit d'accder Votre site durant les heures
de bureau uniquement dans le but de s'assurer que vous respectez ce Contrat.
6.8 Tran$0ert Sauf indication contraire aux prsentes, ce Logiciel et la licence accorde par les
prsentes ne doivent pas tre copis, partags, distribus, revendus, proposs la revente, transfrs
ou concds par sous-licence en tout ou partie. Vous pouvez nanmoins effectuer une Copie de
sauvegarde en cas d'urgence. Pour plus d'informations concernant la redistribution de ce Logiciel,

6.9 Re$tr%5t%on$ 3%Ie$ J 3a 'ro'r%ItI %nte33e5t4e33e - Le nom, les marques de commerce, le logo
et le fichier image d'ACD reprsentant ce Logiciel ne devront en aucune faon tre utiliss pour
promouvoir des produits dvelopps avec ce Logiciel. Ce Logiciel contient des documents soumis au
droit d'auteur, des secrets industriels et autres documents propritaires. Vous vous engagez ne pas
livrer, rvler ni transmettre une tierce personne, directement ou indirectement, le contenu de ce
Logiciel. Vous ne devez en aucun cas tenter de modifier, rtroconcevoir, dsassembler ou dcompiler
ce Logiciel ni altrer ou supprimer tout avis de droit propritaire ou tout droit d'auteur indiquant la
proprit d'ACD sur ce Logiciel. Vous ne devez pas crer d'ouvres drives ou d'autres travaux
inspirs du Logiciel en tout ou partie. ACD conserve la proprit exclusive de tout droit, titre et intrt
concernant ce Logiciel et tout droit de proprit intellectuelle affrent. Ce Logiciel est protg sans
restriction par la loi canadienne sur le droit d'auteur et par les dispositions du trait international sur le
droit d'auteur. Tous les droits non expressment accords par les prsentes sont rservs ACD.

Vous tes seul responsable de la slection et de l'installation du Logiciel et qu'il est possible que le
Logiciel ne rponde pas pleinement vos attentes ou ne soit pas exempt de dfauts. ACD ne garantit
pas que le Logiciel fonctionnera de manire ininterrompue ou sans erreur. LE LOGCEL EST FOURN
'TEL QUEL' PAR ACD, SANS REPRSENTATON, GARANTE OU CONDTON QUELLES QU'ELLES
SOENT, EXPRESSES OU TACTES, Y COMPRS, SANS S'Y LMTER, TOUTE GARANTE OU

JOURS COMPTER DE LA DATE DE LVRASON. CERTANES JURDCTONS N'AUTORSENT
PAS L'EXCLUSON DE CONDTONS, DE LMTATONS OU DE GARANTES TACTES

dfendre ACD, ses employs, agents et distributeurs contre toute rclamation, procdure et contre tout
cot rsultant ou li Votre utilisation de ce Logiciel. EN AUCUN CAS, PAR SUTE D'UNE THORE
DE RESPONSABLT, QU'ELLE SOT BASE SUR LE CONTRAT, UNE RESPONSABLT
OBJECTVE, UNE NDEMNT, UN DLT (Y COMPRS UNE NGLGENCE) OU AUTRE, ACD NE
POURRA TRE PASSBLE DE DOMMAGES QU, DANS L'ENSEMBLE, EXCDENT LE PRX
D'ACHAT DU LOGCEL (AU MAXMUM LE MONTANT QUE VOUS AVEZ PAY OU LE PRX DE
VENTE AU DTAL CONSELL TEL QUE RPERTOR PAR ACD, LE MONTANT LE PLUS PETT
TANT RETENU) EN CHANGE DU RETOUR DU PRODUT, DE TOUTES LES COPES, DES
DOCUMENTS D'ENREGSTREMENT ET DES MANUELS, ANS QUE DE TOUS LES DOCUMENTS
QU CONSTTUENT UN TRANSFERT DE LCENCE DE VOUS ACD. CE REMBOURSEMENT NE
PRENDRA EFFET QUE S LE LOGCEL A T ACHET DRECTEMENT AUPRS D'ACD. S VOUS
AVEZ ACHET LE LOGCEL AUPRS D'UN REVENDEUR, D'UN DSTRBUTEUR OU D'UNE
TERCE PARTE, VOUS DEVREZ DEMANDER UN REMBOURSEMENT DRECTEMENT CES
PERSONNES. EN AUCUN CAS ACD, SES EMPLOYS, AGENTS, FOURNSSEURS OU
DSTRBUTEURS NE POURRONT TRE TENUS RESPONSABLES DE DOMMAGES
CONSCUTFS, NDRECTS, PARTCULERS OU EXEMPLARES D'AUCUNE SORTE LS OU
RSULTANT DE CE CONTRAT, DE CE LOGCEL OU DE L'UTLSATON OU DE L'NCAPACT
UTLSER CE LOGCEL OU LES ACCESSORES, DU FONCTONNEMENT OU DE L'UTLSATON
DE TOUT AUTRE LMENT AUX TERMES DES PRSENTES, ET CE QUELLES QU'EN SOENT
LES CONSQUENCES, Y COMPRS, MAS SANS S'Y LMTER, L'NTERRUPTON
D'EXPLOTATON, LA PERTE DE DONNES OU D'NFORMATONS, LA PERTE DE BNFCES OU
DE FONDS COMMERCAUX, MME S'LS ONT T AVERTS DE LA POSSBLT DE TELS
DOMMAGES ET NONOBSTANT L'CHEC DES FNS ESSENTELLES DE TOUTE ACTON EN
JUSTCE.
6.12 Re$'e5t &e$ 5on&%t%on$ &Ge9'ortat%on Vous acceptez de ne pas exporter ou rexporter le
Logiciel sauf conformment aux lois du commerce international, aux lois d'exportation de tout pays
dans lequel est utilis ce Logiciel et aux lois sur le contrle des exportations (EAR) du ministre du
commerce, de l'industrie et de la scurit des tats-Unis, y compris, mais sans s'y limiter, le respect
des restrictions EAR sur l'exportation ou la rexportation du Logiciel :
iv) vers un pays soumis l'embargo ;
v) vers des personnes ou des organisations qui il est interdit de recevoir des exportations des
tats-Unis ; et
vi) en vue d'une utilisation finale interdite
La licence Vous est accorde en vertu de ce Contrat la condition que Vous vous conformiez aux lois
sur le commerce et les exportations en vigueur et que Vous reconnaissiez que cette licence sera
rvoque en cas de non respect de cet article.
6.13 Lo% a''3%5a73e Ce Contrat sera rgi exclusivement par les lois de la province de Colombie
Britannique et les lois du Canada applicables aux prsentes sauf application de principes relatifs des
conflits de loi, sauf la convention des Nations Unies concernant les contrats de vente internationale de
marchandises et sauf la loi s$r la 'ente internationale de (archandises (B.C.). Par les prsentes, Vous
reconnaissez et Vous vous soumettez la juridiction non exclusive des cours de Victoria, en Colombie
Britannique, et de toute cour d'appel locale comptente.
6.14 RI$%3%at%on Tout manquement aux conditions gnrales de ce Contrat de Votre part
entranera la rsiliation automatique et immdiate de ce Contrat ainsi que de la licence. En cas de
rsiliation de ce Contrat pour quelque raison que ce soit, Vous acceptez de cesser immdiatement
d'Utiliser ce Logiciel et de dtruire toutes les copies de ce Logiciel. Les droits et obligations des articles
2.7, 2.9, 2.10, 2.11, 2.13 et 4 survivront la rsiliation de ce Contrat.
7. Enreg%$tre1ent
7.1 Enreg%$tre1ent Vous pouvez enregistrer le Logiciel de l'une des faons suivantes : 1)
remplissez et envoyez ACD la carte d'enregistrement imprime (le cas chant) ; 2) envoyez vos
informations d'enregistrement en ligne par le biais de l'cran d'enregistrement inclus dans le logiciel (le
cas chant) ; 3) ou envoyez vos informations d'enregistrement en ligne par le biais des pages de
l'assistance d'ACD l'adresse http://fr.acdsee.com/support/. En tant qu'utilisateur enregistr, Vous
aurez la possibilit de recevoir par email des informations utiles et des offres spciales destines aux
clients ACD, ainsi que les lettres d'informations mensuelles d'ACD comprenant des astuces, des mises
jour et des offres.
7.2 Con$ente1ent J 3G4t%3%$at%on &e$ &onnIe$ Vous acceptez qu'ACD collecte et utilise les
informations recueillies de quelque faon que ce soit dans le cadre de ses services d'assistance, le cas
chant, relatifs au Logiciel. ACD peut aussi utiliser ces informations pour Vous envoyer des
notifications pouvant Vous intresser. Vous pouvez choisir de ne pas recevoir d'autres notifications de
la part d'ACD, soit 1) en rsiliant directement votre abonnement aux emails que Vous recevez ou 2) en
vous rendant sur notre centre des prfrences l'adresse suivante : http://fr.acdsee.com/community/
qui rpertorie les publications auxquelles Vous tes abonn et Vous permet de vous dsabonner ou de
changer Vos prfrences (Vous pourrez vous connecter au centre des prfrences une fois que Vous
aurez envoy Votre adresse lectronique ACD et qu'ACD l'aura traite). Le Logiciel contient des
lments qui permettent et facilitent l'utilisation de certains services sur nternet. Vous reconnaissez et
acceptez qu'ACD vrifie automatiquement la version du Logiciel que Vous utilisez et qu'ACD puisse
vous fournir des mises niveau ou des corrections pour ce Logiciel. Afin de recevoir ces mises
niveau ou ces corrections, Vous devez en accepter le tlchargement lorsque vous y tes invit. Vous
n'tes pas oblig de tlcharger les mises niveau ou les corrections au Logiciel fournies par ACD.

Aucune dfaillance ni aucun retard lors de la mise en vigueur ou de l'excution d'un droit ne sera
considr comme une renonciation ce droit ou une action en justice.
Si une disposition de ce Contrat, quelle qu'elle soit, est inapplicable ou nulle pour une raison ou une
autre, l'inapplicabilit ou la nullit n'affectera pas la force excutoire ou la validit des dispositions
restantes du Contrat et cette disposition sera sparable du reste du Contrat.
Ce Contrat constitue la totalit du contrat entre Vous et ACD dans le cadre de l'objet des prsentes et
remplace toutes les propositions, reprsentations et communications, ainsi que tous les accords et
arrangements oraux ou crits pralables ou contemporains.
Ce Contrat sera obligatoire pour et s'appliquera au profit des parties aux prsentes ainsi qu' leurs
hritiers et ayants droit agrs respectifs.
C'est la version anglaise de ce Contrat qui sera utilise pour interprter la signification de toute
disposition des prsentes.

reproduits ci-dessous, avis que vous reconnaissez et que vous acceptez de respecter ainsi que le reste

Les bibliothques Xalan et Xerces sont sous licence d'Apache License, Version 2.0 (la "Licence"). Vous
ne pouvez pas utiliser ce fichier sauf conformment la Licence. Vous pouvez obtenir une copie de la
