Whereas, the undersigned parties are mutually desirous of doing business with respect to the arranging,
selling and buying and in cooperation with one another and with third parties for their mutual benefit. The
documents which are going to follow this agreement like letters of intent, full corporate offers, bank
comfort letters, contract terms and conditions, banking details or pre-advised payment instruments and/or
any information contained in such documents will not be passed, under any circumstance, onto another
intermediary or broker or trader or whatever company or private persons who are not end buyers or end
suppliers without prior specific written consent of the party(s) providing such information.

Onde as partes abaixo assinadas, tendo mutuamente acordado em fazer negcios com respeito a
entendimentos prvios, vendendo e comprando em cooperao conjunta e com terceiros, para benefcios
mtuos. Os documentos que se seguiro a este acordo, como Cartas de Inteno, Ofertas Corporativas, Cartas
de Aval Bancrio, termos e condies de contrato, detalhes bancrios ou instrumentos de pr-aviso de
pagamento, assim como toda e qualquer informao contida em tais documentos no ser passada, sob
quaisquer circunstncias, para outro intermedirio, agente ou trader, ou qualquer empresa ou pessoas fsicas
que no sejam os compradores finais ou fornecedores finais, sem o especfico consentimento escrito da(s)
parte(s) que providenciou as ditas informaes.

This agreement is made and entered into on this date, shall obligate the undersigned parties and their
partners, associates, employers, employees, affiliates, subsidiaries, parent companies, any nominees,
representatives, successors, clients and assigns hereinafter referred to as The Parties jointly severally,
mutually and reciprocally for the terms and conditions expressly state and agree to below, and that this
agreement may be referenced from time to time in any document(s), or written agreements, the terms and

information, personal or corporate names, contracts initiate by or involving the parties and any addition,
renewal, extension, rollover amendment, renegotiations or new agreement hereinafter referred to as The
Transaction (Project/Transaction) for the purchase of all commodities, products, Equipment.

Este acordo feito e selado nesta data obriga as partes abaixo assinadas e seus scios, associados,
funcionrios, afiliados, subsidirias, matrizes, bem como qualquer representante ou sucessores nomeados,
clientes e signatrios, aqui referidos apenas como as partes, selando severa, mutua e reciprocamente os
termos e condies expressamente declarados e acordados abaixo, e, portanto este documento pode ser
referendado de tempos em tempos em qualquer documento(s) ou acordo(s) escrito(s); os termos deste
documento devem se aplicar a qualquer troca de informaes, pessoal ou corporativa, contratos que
envolvam as partes e qualquer por adio, renovao, extenso, emendas, renegociaes ou novo acordo,
aqui referido simplesmente como A Transao (Projeto/Transao) para a compra de todos os commodities,
produtos e equipamentos.

The intending parties hereby legally, and irrevocably bind themselves into guarantee to each other that
they shall not directly or indirectly interfere with, circumvent or attempt to circumvent, avoid, by-pass or
obviate each others interest or the interest or relationship between The Parties with procedures, seller,
buyers, brokers, dealers, distributors, refiners, shippers, financial instructions, technology owners or
manufacturers, to change, increase or avoid directly or indirectly payments of established or to be
established fees, commissions, or continuance of pre-established relationship or intervene in un-contracted
relationships with manufacturers or technology owners with intermediaries entrepreneurs, legal council or
initiate buy/sell relationship or transactional relationship that by-passes one of The Parties to one
another in connection with any ongoing and future transaction or project.

As partes abaixo assinadas declaram atravs deste, legal e irrevogavelmente, selar de um para outro a
garantia de que no interferiro, circularo ou tentaro circular,direta ou indiretamente, evitar, atravessar ou
esquecer os interesses um do outro ou o relacionamento entre as partes com procedimentos, compradores,
vendedores, agentes, contratantes, distribuidores, refinarias, agencies martimas, instituies financeiras,
proprietrios de tecnologia ou fabricantes, para alterar, aumentar ou evitar direta ou indiretamente
pagamento de valores, comisses e taxas pr-estabelecidas, ou continuidade de relacionamentos pr-
estabelecidos, ou intervir em relaes no contratadas com fabricantes ou proprietrios de tecnologia com
empresrios intermedirios, conselhos legais ou iniciar relaes de compra/venda que atravessem quaisquer
das Partes abaixo assinadas em qualquer projeto ou transao futura.

ACORDO DE SIGILO

The Parties irrevocably agree that they shall not disclose or otherwise reveal directly or indirectly to a
third party any confidential information provided by one party to the other or otherwise acquired,
particularly contract terms, product information or manufacturing processes, prices, fees, financial
agreement, schedules and information concerning the identity of the sellers, producers, buyers, lenders,
borrowers, brokers, distributors, refiners, manufacturers, technology owners, or their representative and
specifically individuals names, addresses, principals, or telex/fax/telephone numbers, references product
or technology information and/or other information advised by one party(s) to be one another as being
confidential or privileged without prior specific written consent of the party(s) providing such information.

As Partes concordam irrevogavelmente que no devem divulgar ou de qualquer maneira revelar direta ou
indiretamente para uma terceira parte qualquer informao confidencial providenciada de uma parte para a
outra, assim como adquirir, particularmente os termos de contrato, informao de produtos ou processos de
fabricao, preos, taxas, acordos financeiros, itinerrios e informaes concernentes identidade de
compradores, vendedores, agentes, contratantes, distribuidores, refinarias, agencies martimas, instituies
financeiras, proprietrios de tecnologia ou fabricantes ou seus representantes e especificamente nomes
individuais, endereos, diretores, ou nmeros de telex/fax/telefone, numero ou referencia de produtos,
informaes tecnolgicas e/ou outras informaes passadas por uma das partes outra, sendo que tais
informaes devem ser tratadas como confidenciais e/ou privilegiadas, sem a especifica autorizao por
escrito da parte que submeteu tais informaes.

AGREEMENT TO HONOR COMMISSIONS

ACORDO PARA HONRAR AS COMISSES

Commissions, fees, compensation or remuneration to be paid as part of transaction covering The Parties
to this agreement, shall be agreed upon by separate written agreement by The Parties concerned and
shall be paid at the time such contract designated, concluded or monies changing hands between buyers
and sellers, unless otherwise agreed among The Parties.

The Parties hereby irrevocably and unconditionally agree and guarantee to honor and respect all such
fees and remuneration, arrangements made as part of a commission transaction even in the event that
The Parties are not an integral member to a specific commission and fee, remuneration agreement.
Comisses, taxas, compensaes ou remuneraes a serem pagas como parte da transao envolvendo As
Partes deste acordo, devem ser acordados em documento escrito separadamente e devem ser pagas e
concludas no tempo designado por tal instrumento, com a devida troca de mos dos valores entre
compradores evendedores, a menos que seja acordado de outra forma entre As Partes concernentes.

As Partes abaixo assinadas concordam, irrevogvel e incondicionalmente, e garantem honrar tais taxas e
remuneraes, acordos de comisso feitos como parte da transao, ainda no evento de QUE As Partes no
sejam elegveis para uma comisso ou taxa, ou acordo de remunerao.

ACORDO DE INFORMAO

In specific deals where one of The Parties acting as an agent allows the buyers or buyers mandate, and
the seller to deal directly with one another, the agent shall be informed of the development of the
transactions by receiving copies of the correspondence made between the buyer or buyers mandate and
the seller.

Em casos especficos onde uma das Partes atuando como agente permite ao comprador ou a seu
representante o contato direto com o(s) fornecedor(es) e estes tratam diretamente um com o outro, o agente
deve ser informado do desenvolvimento das negociaes, atravs de cpia da correspondncia feita entre o
comprador e/ou seu representante, com o fornecedor.

TERM
VIGNCIA

This agreement shall be valid for five (5) years commencing from the date of this agreement.
This agreement has an option to renew for a further period of five (5) years subject to and upon the terms
and conditions agreed between both parties.
This agreement shall apply to:

All transactions originated during the term of this agreement.

All subsequent transactions that are follow up, repeat, extended or renegotiated transactions of
transactions originated during the term of this agreement.

Este acordo ser vlido por cinco (5) anos comeando na data da ltima assinatura postada no mesmo.
Este acordo tem uma opo de renovao por igual perodo de cinco (5) anos, sujeito aos termos e condies
acordados entre todas as partes.
Este acordo aplica-se aos:
Todas as transaes originadas durante a vigncia deste acordo.
Todas as subseqentes transaes que se seguem, repetem, extenses e renegociaes ou transaes
originadas durante a vigncia deste acordo.

ARBITRATION
MEDIAO

All disputes arising out of or in connection with the present contract shall be finally settled under the rules
of arbitration of the International Chamber of Commerce (ICC) by one or more Arbitrators appointed in
accordance with the said rules.
Every award shall be binding on The Parties and enforceable at law.

By submitting the dispute to arbitration under these rules, The Parties undertake to carry out any award
without delay and shall be deemed to have waived their right to any form of recourse insofar as such
waiver can validly be made.

Each of The Parties subject to the declared breach shall be responsible for their own legal expenses until
an award is given or settlement is reached, provided however, That Party found in default by The
Arbitrator(s) shall compensate in full the aggrieved party its heirs, assignees and/or designs for the total
remuneration received as a result of business conducted with The Parties covered by this agreement,
plus all its arbitration costs, legal expenses and other charges and damages deemed fair by The
Arbitrator(s) for bank, lending institutions, corporations, organizations, individuals, lenders, or borrowers,
buyers or sellers that were introduced by the named party, notwithstanding any other provisions of the
award.

Todas as disputas originadas de ou em conexo com o presente contrato devem ser finalmente resolvidas sob
as regras de mediao da Cmara de Comercio Internacional (ICC), por um ou mais Mediadores
apontados de acordo com as ditas regras. A deciso obrigar As Partes e tem fora de lei.Submetendo a
disputa mediao destas regras, As Partes se obrigam a cumprir as decises sem demora e reconhecem
sua renncia a qualquer tipo de recurso medida que tal renncia possa ser feita.Cada uma das Partes
sujeita ao cumprimento do contrato deve ser responsvel pelas prprias despesas legais at que a deciso
seja pronunciada pela mediao; Contudo, A Parte indeferida pelo Mediador deve compensar
plenamente a parte ofendida, seus herdeiros, associados e/ou designados, pelo total da remunerao
recebida como resultado da negociao conduzida com As Partes envolvidas neste acordo, acrescida de
todas as despesas de mediao, despesas legais e outras custas e prejuzo julgados como devidos pelo
Mediador, aplicveis a bancos, instituies financeiras, corporaes, organizaes, individuais, tomadores
ou fornecedores de emprstimos, compradores e fornecedores que foram apresentados pela parte indicada,
semprejuzo de outras indicaes do mediador em sua deciso.

FORCE MAJOR
FORA MAIOR

A party shall not be considered or adjudged to be in violation of this agreement when the violation is due
to circumstances beyond its control, including but not limited to act of God, civil disturbances and theft or
appropriation of the privileged information or contract(s) without the intervention or assistance of one or
more of The Parties.

Nenhuma das Partes deve ser considerada culpada ou em violao deste acordo quando a dita violao se
der por circunstncias alm de seu controle, incluindo, mas no limitado a, atos de Deus, distrbios civis e
roubo de informaes privilegiadas do contrato sem a assistncia ou interveno de uma ou mais das
Partes.

ENTITIES OWNED OR CONTROLLED

EMPRESAS DE PROPRIEDADE OU CONTROLADAS

This agreement shall be binding upon all entities owned or controlled by a party and upon the principal(s),
employee(s), assignee(s), family and heirs of each party.
Neither party shall have the right to assign this agreement without the express written consent of the
other.

seus diretores, funcionrios, representantes, famlia e seus herdeiros.

ACORDO DE CONFIDENCIALIDADE

The Parties agree not to circumvent or attempt to circumvent this agreement in an effort to gain fees,
commissions, remunerations or considerations to the benefit of the one or more if The parties while
excluding other or agree to benefit to any other party.

As Partes concordam em no divulgar ou tentar divulgar este acordo com a inteno de receber quaisquer
valores, sejam estes taxas, comisses, remuneraes ou consideraes que beneficiem uma ou mais das
Partes, excluindo quaisquer dos envolvidos ou em beneficio de terceiros.

NOT PARTNERSHIP AGREEMENT

ACORDO DE NO SOCIEDADE

This agreement in no way shall be construed as being an agreement of partnership and none of The
Parties shall have any claim against any separate dealing, venture or assets of any other party or shall any
party be liable for any other.

Este acordo de maneira alguma dever ser considerado com constituindo sociedade entre As Partes, e
nenhuma das partes ter direito a nenhuma compensao por negcios separados, empresas ligadas s
partes ou lucros de qualquer natureza que no sejam oriundos do presente contrato.

TRANSMISSION OF THIS AGREEMENT

TRANSMISSO DESTE ACORDO

The transmission of this agreement through Yahoo Messenger, MSN Messenger or any similar programs,
telefax or e-mail shall be legal and binding.

A transmisso deste acordo atravs do Yahoo Messenger, MSN Messenger ou qualquer outro programa
similar, telefax ou email deve ser legal e obrigar as partes.

EDT (Transmisso Eletrnica de Documentos)

EDT (Electronic document transmissions) shall be deemed valid and enforceable in respect of any
provisions of this Contract. As applicable, this agreement shall be:-

1- Incorporate U.S. Public Law 106-229, Electronic Signatures in Global and National Commerce Act or
such other applicable law conforming to the UNCITRAL Model Law on Electronic Signatures (2001)
and

2- ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, May 2000) adopted by the United
Nations Centre for Trade Facilitation and Electronic Business (UN/CEFACT).

3- EDT documents shall be subject to European Community Directive No.95/46/EEC, as applicable.

Either Party may request hard copy of any document that has been previously transmitted by
electronic means provided however, that any such request shall in no manner delay the parties
from performing their respective obligations and duties under EDT instruments.

EDT (Transmisso Eletrnica de Documentos) ser considerada vlida e obrigar as partes, com respeito ao
contedo deste Contrato. Como aplicvel, este acordo deve:

1- Incorporar a Lei Pblica dos USA nr. 106-229, Assinaturas Eletrnicas no Comrcio Nacional e
Global ou qualquer outra lei aplicvel conforme o modelo de Assinaturas Eletrnicas UNCITRAL
(2001) ;

2- ACORDO DE COMRCIO ELETRNICO (ECE/TRADE/257, Genebra, Maio 2000) adotado pelo Centro de
Comercio Exterior e Negcios Eletrnicos das naes Unidas (UN/CEFACT);

3- Transmisso Eletrnica de Documentos est sujeita s Diretivas da Comunidade Europeia

Nr.95/46/EEC, conforme aplicvel. Cada parte pode solicitar fotocpias de qualquer documento que
tenha sido previamente transmitido eletronicamente, contanto que tal pedido no provoque demora
nas obrigaes e deveres especificados no instrumento transmitido eletronicamente.

Amrica, sem qualquer nus, ou taxas locais e sem restries, protestos, impedimentos, ou atrasos, a
menos que seja acordado por escrito por ambas as partes.

Address), agree to immediately execute any and all additional documents as may be necessary or required to
effectuate the intention contained here within. The undersigned confirms and warrants that this Irrevocable
Master Fee Protection Agreement will be lodged with each parties respected Bank before the
commencement of the transaction(s). Payments are to be made from Seller's Bank or designated Paymaster's
Bank directly to the above named Intermediate via Bank Wire Transfer to the banking coordinates of the Fee
Recipient listed herein.
2.1.Ns,____________________, _________________,__________________,_________________,
concordamos em executar imediatamente todo e qualquer documento adicional que seja necessrio ou
solicitado para a efetivao desta inteno contida nesta carta. Os beneficirios confirmam e garantem
que este documento de proteo ao pagamento de comisses (IMFPA), ser logado com cada parte de
acordo com o Banco mencionado antes do incio da transao.
Os pagamentos sero feitos pelo Banco do Vendedor ou Outro Banco de Primeira Linha autorizado,
diretamente via transferncia bancria para a conta de cada intermedirio aqui mencionado.

2.2 Wire Transfer payments shall be made subject only to the bank fees for normal transfer of funds. The
recipient shall be responsible to provide his / her Tax Identifier information as appropriate.
2.2. Os pagamentos via transferncia bancria devero estar sujeitos somente as taxas bancrias normais
cobradas pela transferncia de fundos. O beneficirio dever ser responsvel em informar o seu/sua
informao de taxa se apropriado.

2.3 It is understood and agreed that the parties shall each be individually responsible for the payment of their
own respective taxes and government charges that may be applicable.
2.3. Fica entendido e acordado que as partes devero ser responsveis pelo pagamento de suas prprias
taxas e impostos governamentais que forem cobrados.

3.1 This Irrevocable Master Fee Protection Agreement shall remain unchanged until the transaction has been
completed and terminated.
3.1. Este IMFPA, no poder ser modificado at que a transao esteja completa e encerrada.

4.1 This agreement is Non-Transferable, Non-Assignable, Non-Divisible, and conditional to the terms and
covenants contained herein. This agreement shall be effective upon the commencement stated here within
paragraph 1.1 for the said transaction and shall remain in full force and effect for the full term of the said
transaction, and shall apply to all renewals, extensions, rollovers, or additions pertaining thereto not to
exceed five (5) years from the date of this agreement.
4.1.Este acordo no Transfervel, No assinvel, No divisvel, e condicional aos termos e convenincias
aqui mencionados. Este acordo dever ser efetivado assim que der incio as clusulas mencionadas no
pargrafo 1.1, a fim de que se valide e se mantenha em vigor at o final do termo em vigor, e dever ser
aplicvel para todas as revalidaes, extenses, complementaes, ou adies pertinentes , desde que no
exceda (5) anos a partir da data de assinatura deste acordo.

5.1 Both parties hereto agree not to directly or indirectly disclose, circumvent and / or bypass any of the

parties to this transaction(s) for a period of five (5) years and parties shall comply with all terms, conditions,
and obligations of the Non-Circumvention, Non-Disclosure, Confidential Agreement signed and dated 17 of
June of 2014, spell out the month the NCNDA was signed with Our Corporation). Parties hereby agree that
this Irrevocable Master Fee Protection Agreement is to be made as an addendum to the Non-Circumvention,
Non-Disclosure, Confidential Agreement referred to herein and binds the parties, their employers,
employees, associates, agents, affiliates, subsidiaries, and Parent Company.
5.1. Ambas as partes concordam em diretamente ou no diretamente sobrepor qualquer uma das partes
envolvidas nesta transao pelo perodo de (5) anos e as partes devero concordar com todos os
termos,condies, e obrigaes dispostas na NCND assinada e datada em 17 de Junho de 2014. As partes
aqui mencionadas concordam que esta IMFPA, feita como um adendo a NCND, referindo-se e
assegurando s partes, seus funcionrios, empregados, associados, agentes, afiliados, subsidirios, e
alguma filial.

6.1 This Irrevocable Fee Pay Order is valid upon the signing of the Purchase and Sale Agreement herein
referred to as "Contract" by and betweenthe Seller and Seller's acceptance of Buyer's
operative payment instrument(s) and shall remain valid and enforceable for the full term of the contract.
6.1. Esta irrevogvel ordem de pagamento vlida somente com a assinatura do contrato de compra e
venda aqui mencionado como Contrato entre como Comprador e Sr.

em receber o instrumento de pagamento pelo Comprador e dever permanecer vlido e irremedivel at o

Non-Circumvention, Non-Disclosure, Confidential Agreement obligations and commission distribution. Parties
signing below vow that they have full legal and corporate authority to enter into this agreement.
