Genetska istraživanja koja se odnose na ljude, kao i komercijalizacija njihovih rezultata protkan... more Genetska istraživanja koja se odnose na ljude, kao i komercijalizacija njihovih rezultata protkani su zamršenim etičkim pitanjima. S jedne strane, ovakva istraživanja smatraju se bitnima za pospješivanje razvoja znanosti s mogućim ogromnim potencijalom u liječenju do sada neizlječivih bolesti, kao što su Parkinsonova bolest, dijabetes ili srčane bolesti. S druge strane, moralne dvojbe postavljaju se glede opravdanosti istraživanja, poput onih koje se odnose na ljudske embrionalne matične stanice ili manipuliranje ljudskim biološkim materijalom. To ujedno i stoga što još uvijek nije sigurno hoće li se spomenuti potencijali ostvariti, a uslijed nedostatnosti stručnog znanja i tehnologije u tome području u ovom trenutku. Namjera ovog članka nije rasprava o pitanjima sukoba različitih sustava vrijednosti, suprotnih prava i obveza ili suprotstavljenih interesa. Zastupanje nekog mišljenja ili priklanjanje nekoj od interesnih skupina isključiva su prava svakog pojedinca i svakog društva, uključujući svakog hrvatskog građanina i hrvatskog društva kao cjeline. Međutim, pluralističko društvo implicira povećanje svijesti šire javnosti o ovim pitanjima ne bi li građani mogli voditi obaviještene rasprave i donositi sudove koji za podlogu imaju poznavanje problematike. Dok su neki postupci o kojima je bilo riječi u ovome članku komercijalizirani, drugi još nisu i uređeni su samo u stadiju istraživanja. Hoće li izumi temeljeni na takvim istraživanjima postati patentibilni u budućnosti pitanje je ravnoteže koju država treba održavati između njihovih prednosti i nedostataka, imajući na umu interese ulagatelja u istraživanja, gospodarsko i društveno blagostanje društva, slobodu istraživanja, kao i etički osjetljive aspekte vezane za ljudska prava, ljudsko dostojanstvo i vjerska i druga uvjerenja njezinih građana. Pri tome, povijest razvoja znanosti i njezinih (zlo)uporaba u praksi zasigurno mogu poslužiti kao ogledan primjer i upozoriti na potrebu povećanja svijesti o potencijalnim štetnim posljedicama koje naivno prihvaćanje obećavajućih novih tehnologija može imati na čovječanstvo.

Intellectual Property Contracts in EU Conflict of Laws and the Interpretative Role of the CLIP Principles

The Regulation (EC) No 593/2008 of the European Parliament and of the Council of 17 June 2008 on ... more The Regulation (EC) No 593/2008 of the European Parliament and of the Council of 17 June 2008 on the law applicable to contractual obligations (hereinafter: the Rome I Regulation) applies to contractual obligations in civil and commercial matters in the event of a conflict of laws, with certain specific exclusions. The contracts relating to intellectual property rights thus fall under the scope of the Rome I Regulation. This paper examines to what extent may competent bodies applying the Rome I Regulation benefit from the Principles for Conflict of Laws in Intellectual Property prepared by the European Max Planck Group on Conflict of Laws in Intellectual Property (hereinafter: the CLIP Principles). While the CLIP Principles encompass issues of conflict of laws, international jurisdiction and recognition and enforcement of foreign judgments in the field of intellectual property law, this paper is limited by the scope of the instrument in its focus, the Rome I Regulation.

As a process of raising monetary contributions from a large number of persons, crowdfunding may t... more As a process of raising monetary contributions from a large number of persons, crowdfunding may take many forms: from traditional benefit events and television fundraising campaigns to increasingly popular internet platform fundraising. The online environment in which the newest forms of CF emerge facilitates its unprecedented ability to cross borders and attract persons from various countries. This having been said, the same environment complicates legal assessment. The issues that inevitably arise in cross-border dealing are particularly intricate: which court decides and which law applies? At the outset, one must differentiate between various types of CF models. Furthermore, the tripartite structure of the CF model involving the specialised internet platforms adds another layer of complexity because the conflict of laws analysis demands the preliminary identification of legal relationships and their legal characterisation. Finally, there is a constant debate about whether investors may be legally characterised as consumers or not, which may significantly affect conclusions on jurisdiction and applicable law. In answering these questions, the author considers national and supranational legal instruments containing provisions on international jurisdiction and applicable law, with the focus on the EU ones. In the course of legal analysis, the interpretational principles set by the Court of Justice of the European Union will be taken into account. Since no such principle is directly related to the internet-based CF, they need to be assessed in terms of their relevancy and potential to be used as starting points in analogical reasoning. Besides drawing a clearer image about the conflict of laws issues for participants in CF, the aim of this article is also to assess the validity of some of the legal terms under which these participants join the CF process.

Defining Internationally Mandatory Rules in European Private International Law of Contracts

Internationally mandatory rules represent a private international law method that has acquired a ... more Internationally mandatory rules represent a private international law method that has acquired a certain degree of recognition in case law, legal codifications and scholarship. Yet, there seems to be insufficient clarity regarding their conceptual features. This article looks into the two basic conditions under which a rule may be characterised as being internationally mandatory, particularly within the framework of the European Union private international law: the interest criterion and the overriding criterion. It discusses the development and analyses the wording of the provisions contained in the Rome Convention and the Proposal for its conversion into a Rome I Regulation. It propounds that not only the "interventionist" rules, but also the combined "interventionist-protective" rules may be classified as internationally mandatory.

Increasing economic interdependence on a global scale has brought about the need to engage intens... more Increasing economic interdependence on a global scale has brought about the need to engage intensely in regulatory activities, which extend beyond state borders. Irrespective of the form it takes, such regulatory globalisation1 is always intended to moderate and manage the undesirable effects appearing in a state that are attributable to the particular normative system or practices established abroad.2 Intensifying economic relations within the framework of the One Belt One Road initiative (OBOR), entails operation of some businesses from the Eurasian countries outside the European Union (EU) on the territory of EU and thus also subject to EU legislation. Nonetheless, these businesses might unexpectedly find themselves subject to EU law also in situations in which their activities were only marginally connected to the EU territory.

Ovaj rad usredotocen je na pitanje međunarodne nadležnosti u postupcima koji se vode povodom povr... more Ovaj rad usredotocen je na pitanje međunarodne nadležnosti u postupcima koji se vode povodom povrede prava intelektualnog vlasnistva, a prema Uredbi Brisel I. Prije rasclambe pojedinih osnova nadležnosti, rad donosi kratki osvrt na polje primjene Uredbe Brisel I kako bi se utvrdilo u kojim postupcima je sud primjenjuje. Slijedi potom opis bitnih obilježja odredbe o opcoj međunarodnoj nadležnosti koja predstavlja temeljno pravilo u Uredbi, da bi se u nastavku rad bavio posebnim vrstama međunarodne nadležnosti. Kljucni problem nastaje u svezi s tumacenjem uvjeta za atrakciju međunarodne nadležnosti, a posebno je naglasen u postupcima povodom povrede prava intelektualnog vlasnistva uslijed njihova obilježja teritorijalnosti. Daljnje dvojbe povezane su s posebnom međunarodnom nadležnoscu na temelju kriterija mjesta nastanka stete i mogucnosti primjene tumacenja toga pojma kod distancijskih delikata u sporovima ciji je predmet povreda prava intelektualnog vlasnistva. Tome valja dodati i dvije osnove nadležnosti ne toliko rabljene u praksi, no koje mogu biti od koristi osobama koje ostvaruju zastitu svojih prava intelektualnog vlasnistva. To su adhezijska međunarodna nadležnost i međunarodna nadležnost prema sekundarnom poslovnom nastanu osobe odgovorne za povredu. Pored toga, rad se podrobnije bavi i izabranom međunarodnom nadležnoscu, njezinim uvjetima i odnosom s drugim vrstama nadležnosti. Sve navedene osnove izberive međunarodne nadležnosti dodatno su opterecene utjecajem iskljucive međunarodne nadležnosti propisane za pitanja valjanosti registriranih prava intelektualnog vlasnistva, pa je i tome pitanju posvecena dužna pažnja na samom kraju rada. Tema međunarodne nadležnosti u postupcima koji se vode povodom povrede prava intelektualnog vlasnistva uz to sto je od znacaja za pripremu naseg pravosuđa pred ulazak u Europsku uniju, uvelike zaokuplja i pravne strucnjake i znanstvenike u postojecim državama clanicama, poglavito od sredine 2006. godine kada je Europski sud pravde donio dvije dalekosežne odluke u ovom podrucju: Roche protiv Primus i Goldenberg te GAT protiv LuK.

Undoubtedly, the exhaustion model has bearing over global and domestic trade and interests of different economic actors. From the macro-perspective, the exhaustion scheme should reflect the effective sense of balance between the concerns for global and national/EEA trade, the national/EU trademark system and the collective interests of consumers. From the micro-perspective, the exhaustion scheme should set the interests of the holder of the trademark against those of the acquirer of the product bearing the trademark. Considering that calls, mostly from the USA, for introducing international exhaustion in the EEA are gradually intensifying, reexamining the philosophies underlying the current regional exhaustion scheme in the EEA seems the desirable option. It is submitted that the at this point it is necessary to examine the need for rebalancing the conflicting interests. Some of the notorious consequences of the trademark exhaustion are splitting the market and price differentiation. With this in mind, it is important not to neglect the transecting concerns of economic development and the protection of consumers' expectations in the global markets for trademarked products. In the absence of internationally agreed standards for exhaustion, the nation states or regional organisations will intend to generate benefits by ensuring free movement of goods and effective competition within national or regions borders, the EEA being one of the obvious examples. Yet the question has to be asked as to whether the system functions satisfactorily within its borders. Although an important justification for granting to the trademark holder the exclusive rights is to ensure the financial return for its investment in the development and improvement of the trademarked product, there is room for accommodation of other interests in a more efficient way than at present. It is submitted that on the scale form no exhaustion at all to international exhaustion (without complementary material-differences standards) there are countless shades of grey that need to be more deeply explored.

Udžbenik je nastavak udžbenika Europsko privatno pravo – opći dio. Jedinstven je i prvi udžbenik ... more Udžbenik je nastavak udžbenika Europsko privatno pravo – opći dio. Jedinstven je i prvi udžbenik o europskome privatnom pravu u našoj zemlji i regiji koji na sustavan i cjelovit način objašnjava pojam i način djelovanja europskoga privatnog prava. U udžbeniku Europsko privatno pravo – posebni dio autorice posvećuju pozornost onim izvorima prava Europske unije i s njima usklađenim, odnosno harmoniziranim domaćim propisima koji su sama jezgra europskoga privatnog prava. Udžbenik se sastoji od dva dijela, a svaki od njih sadržava pet poglavlja o ključnim i ponajprije aktualnim temama europskoga privatnog prava. U prvom dijelu udžbenika autorice podrobno obrađuju složene teme iz područja ugovornih i izvanugovornih odnosa potrošača i trgovaca. Pritom predlažu moguća de lege ferenda rješenja i proučavaju utjecaj novousvojene Direktive (EU) 2019/771 o određenim aspektima ugovora o kupoprodaji robe te Direktive (EU) 2019/770 o određenim aspektima ugovora o isporuci digitalnog sadržaja i digitalnih usluga – mogućnosti implementacije u hrvatsko privatno pravo. Imajući na umu sveobuhvatan smjer razvoja digitalizacije unutarnjeg tržišta, autorice proučavaju posebne načine sklapanja ugovora kao što su ugovori koji se sklapaju na daljinu i elektroničkom trgovinom. Posebnu pozornost autorice posvećuju i kontroli sadržaja ugovora i najnovijem razvoju prakse Suda EU-a koja pokazuje u kojim su situacijama oni koji primjenjuju pravo, posebice sudovi, dužni paziti na primjenu odredaba prema službenoj dužnosti. U drugom dijelu udžbenika autorice obrađuju odabrane teme europskoga privatnog prava. To su: zaštita osobnih podataka uređena glasovitom Općom uredbom o zaštiti podataka, zaštita pojedinaca od nejednakog postupanja, odnosno diskriminacije u privatnopravnim odnosima, te posebno osjetljiva tema obiteljskopravnih odnosa i zajednica. Autorice se bave i vrlo aktualnim pitanjima naknade štete u pravu tržišnog natjecanja i odnosom europskoga i domaćeg uređenja tog iznimno složenog područja. Proučavajući prikazane teme i područja prava iz privatnopravne perspektive, autorice iznimno uspješno prikazuju ključan položaj i važnost uloge koju u današnje vrijeme zauzima europsko privatno pravo. Osim što udžbenik obilježava poseban didaktički pristup, obogaćen je dodatnim digitalnim sadržajem kojem se pristupa s pomoću ZAPPAR kodova. Na taj se način upućuje na relevantne izvore prava i sudsku praksu, pa je po tome prvi kombinirani odnosno hibridni udžbenik prava u Republici Hrvatskoj.

Već desetljećima i knjižničari i pravnici, odnosno pravni znanstvenici, preispituju svoje tradici... more Već desetljećima i knjižničari i pravnici, odnosno pravni znanstvenici, preispituju svoje tradicionalne uloge u sklopu znanstvenog istraživanja i diseminiranja rezultata toga istraživanja. Danas više nego ikad oboje su nužno usmjereni jedni drugima i uzajamnoj suradnji shvaćajući da jedni bez drugih ne mogu postizati ciljeve napretka kojima teže. Ključni čimbenici u tome su znanstveno istraživanje koje za polazište ima cjelinu relevantnih pravnih informacija te znanstveni rezultati koji dopiru do svih potencijalno zainteresiranih korisnika. Ova tradicionalna dvojakost čimbenika uspješnog procesa znanstvenog istraživanja u suvremenim okolnostima postavlja goleme izazove pred sve sudionike pravnoznanstvenih istraživanja. Stoga je teza ovog izlaganja da se uloge (pravnih) znanstvenika i (pravnih) knjižničara redefiniraju kroz neprekidno približavanje vještina i kompetencija za koje je poželjno da ih međusobno razmjenjuju. Time izrastaju u hibridne stručnjake koji svaki sa svoje strane doprinose razumijevanju sustava u kojem djeluju. Digitalno okružje udara poseban pečat ovoj dinamici, posebice zbog pojave interneta i porasta prostora za pohranu golemih količina podataka, dok će umjetna inteligencija zacijelo unijeti još disruptivnih (razornih) elemenata u sustav. Porast količine pravnih informacija te formata i poslovnih modela kroz koje se čine dostupnima, prati i pojava sofisticiranih alata koji omogućavaju njihovo razvrstavanje i pretraživanje. Pravni znanstvenici stoga moraju razvijati posebne informacijske vještine ne bi li iskoristili sve prednosti velike količine dostupnih pravnih informacija. To je dodatno opterećenje uz zahtjeve kojima su pravni znanstvenici izloženi u praćenju isto tako velike količine dostupnih pravnih informacija. Naime, da bi pravnoznanstvena istraživanja danas bila relevantna (i smisleno/istinski kao doprinos pravnoj znanosti i formalno za izbore u zvanja) ona su vrlo specijalizirana, a ujedno redovito i usporednopravna, međunarodno relevantna, interdisciplinarna itd. Navedeno premrežavanje znanosti i specijalizacija u području pojedinih polja ili grana, ali i funkcionalna specijalizacija, knjižničarima također postaje veliki zahtjev u smjeru stjecanja dodatnih kompetencija. „Objaviti ili iščeznuti“ danas znači ne samo naći dobru publikaciju, već naći publikaciju koja će udovoljiti raznim zahtjevima poput uglednosti publikacije, indeksiranosti publikacije, čimbenika odjeka publikacije, priznatosti publikacije za svrhu formalnog znanstvenog napredovanja, niske cijene objave, dostupnosti željenim korisnicima itd. Koliko publikacije u otvorenoj znanosti ispunjavaju ove zahtjeve vrlo je upitno. Stoga je u sukladnosti s politikom otvorene znanosti i FAIR načelima potrebno osmisliti nove pokazatelje i mjerila uspješnosti kako bi se otvorena znanost mogla primjereno valorizirati i zaživjeti u praksi. Uz to je nužno bilo reformirati poslovni pristup nakladnika koji za objavu u otvorenom pristupu zahtijevaju iznimno velike naknade jer to može biti u suprotnosti s načelom slobode znanstvenog istraživanja kao jedne od temeljnih vrijednosti u velikom broju društava. Spregom knjižničara i pravnika, tj. novim hibridom knjižničara pravnika ili pravnika knjižničara okretnih u digitalnom okružju put k informacijskom ekosustavu koji podržava učinkovitu otvorenu znanost bit će također otvoreniji.
